Arrangements with Employees. Subject to the provisions of Sections 4.3 and 9.1.4, substantially all of the Employees shall have accepted employment with Purchaser effective on the Closing Date.
Arrangements with Employees. Substantially all of Seller's Employees shall have accepted employment with Purchaser effective as of the Closing Date and Purchaser shall have entered into arrangements with key Employees of Seller satisfactory to Purchaser in its sole discretion.

From the date hereof until the Effective --------------------------- Time, the Sellers and Allstate shall permit the Company to approach and negotiate with any or all employees of the Allstate, including, but not limited to, managerial staff, in an effort to persuade them to continue in the employ of Allstate pending the Closing and thereafter and the Sellers and Allstate shall use reasonable efforts to assist the Company in such negotiations.
Arrangements with Employees. 5.4.1 In connection with the transaction contemplated by this Agreement, Purchaser currently expects to make offers of employment to those of Seller's employees employed in the Fab Business listed on Schedule 5.4.1, and such employees may accept such offers (employees receiving and accepting such offers being referred to herein as "SMI/Fab Employees"). Purchaser currently expects that any such offers of employment will provide for compensation packages that are substantially similar (though not necessarily on a benefit-by-benefit basis) as were paid or provided to such employees by Seller as of October 4, 2000. Notwithstanding the foregoing, nothing herein shall require Purchaser to offer employment to any particular employee or employees of Seller, whether listed on such Schedule 5.4.1 or otherwise, and any offers of employment that are made by Purchaser shall be on such terms as are determined by Purchaser in its sole discretion.
Arrangements with Employees. Except as set forth in Schedule 3(n) -- Filmworks Intellectual Property Assets all former and current employees of Filmworks have executed written contracts with Filmworks that assign to Filmworks all rights to any inventions, improvements, discoveries, or information relating to the business of Filmworks. No employee of Filmworks has entered into any contract that restricts or limits in any way the scope or type of work in which the employee may be engaged or requires the employee to transfer, assign, or disclose information concerning his work to anyone other than Filmworks.
Arrangements with Employees. All former and current employees of Cinegram have executed written contracts with Cinegram that assign to Cinegram all rights to any inventions, improvements, discoveries, or information relating to the business of Cinegram. No employee of Cinegram has entered into any contract that restricts or limits in any way the scope or type of work in which the employee may be engaged or requires the employee to transfer, assign, or disclose information concerning his work to anyone other than Cinegram.
Arrangements with Employees. The employment of each employee of Seller or any Seller Affiliate is terminable at will without cost to Seller or any Seller Affiliate. All officers and independent contractors of Seller and each Seller Affiliate are paid salaries or other compensation in accordance with the amounts set forth in Schedule 4.1(q) hereto, and Schedule 4.1(q) correctly and accurately sets forth all salaries, expenses, and personal benefits paid to or accrued for all directors, officers, managers, and principal shareholders or members of Seller and each Seller Affiliate as of the date of this Agreement, all of which are reflected as appropriate in the Base Balance Sheet.
Arrangements with Employees. The employment of each employee of USR is terminable at will without cost to USR. All officers and independent contractors of USR are paid salaries or other compensation in accordance with the amounts set forth in Schedule 3.1(r)(iii) hereto, and Schedule 3.1(r)(iii) correctly and accurately sets forth, as of the date hereof, all salaries, expenses, and personal benefits paid to or accrued for all directors, officers, managers, stockholders, independent contractors, agents, or other representatives of USR as of the date of this Agreement, all of which are reflected as appropriate in the USR Base Balance Sheet.
Arrangements with Employees. The employment of each employee of S&W or any subsidiary of S&W is terminable at will without cost to S&W or any subsidiary of S&W.
Arrangements with Employees. 5.4.1 In connection with the transaction contemplated by this Agreement, and notwithstanding Section 5.8, IOTA will make offers of employment to the SMSC employees employed in the FBU Business listed on Schedule 5.4.1, which offers shall be set forth in letters substantially in the form included in such Schedule, and such employees may accept such offers (employees receiving and accepting such offers being referred to herein as "FBU Employees").
