Assignment of Subcontracts. Each subcontract and supply contract for any portion of the Work is hereby irrevocably assigned by the CM/GC to the Owner, provided that such assignment is effective only after termination of the Contract by the Owner, and only for those subcontracts and supply contracts which the Owner accepts by notifying the Subcontractor/supplier and CM/GC in writing. For those subcontracts and supply contracts accepted by Owner, if the Work has been suspended for more than 30 Days, the Subcontractor's/supplier’s compensation shall be equitably adjusted for increases in cost resulting from the suspension. CM/GC shall include a provision in each subcontract and supply agreement whereby the Subcontractor/supplier acknowledges Owner’s rights under this Article 15.5. With respect to any subcontracts/supply contracts that are not accepted by Owner, the provisions of Section J.6.1 of the OSU General Conditions shall apply.

Assignment of Subcontracts. Upon the Completion of the Warranty period, Contractor shall assign to the District all subcontracts with Subcontractors, material suppliers or other vendors that provided Work for the Project. This assignment shall include all purchase orders and any change orders or addenda that were executed with the assigned Subcontractor.
Assignment of Subcontracts. Each Subcontract shall expressly preserve and protect the rights of the Owner under the Contract Documents with respect to the Work to be performed by the Subcontractor so that the subcontracting thereof will not prejudice such rights, and shall include provisions (a) granting to the Design/Builder the right to succeed to the interest of, or otherwise accept an assignment of, such Subcontract, but only in the event of a termination of the Team Subcontract by the Design/Builder (or its assignee) due to the existence of a default by the Team Subcontractor; and (b) granting to the Owner the right to succeed to the interest of, or otherwise accept an assignment of, such Subcontract, but only in the event of a termination of this Agreement by the Owner due to the existence of a Design/Builder Event of Default and a further termination of the Team Subcontract by the Owner. Any such assignment shall be subject to the prior rights of the surety, if any, obligated under bond relating to the Team Subcontract.
Assignment of Subcontracts. In the event of termination by the Owner pursuant to this Article 23 or Exhibit E to this Contract, the Owner may require the Contractor to promptly assign to it all or some of the subcontracts, materials, tools, and equipment to be installed under this Contract, or rental agreements, and any other commitments which the Owner, in its sole discretion, chooses to take by assignment. In such event, the Contractor shall promptly execute and deliver to the Owner written assignments of such commitments.

Assignment of Subcontracts. The Government reserves the right to direct the Contractor to assign to the Government or another Contractor any subcontract awarded under this Contract, including lower-tier subcontracts. This Clause is required as a flow-down Clause in all subcontracts.

Assignment of Subcontracts. All subcontracts between Contractor and its Major Subcontractors shall be in writing and shall, to the extent commercially reasonable, contain provisions, which Contractor shall not waive, release, modify or impair (a) obligating each Subcontractor that may receive access to any Owner Confidential Information, to protect such Owner Confidential Information in accordance with the provisions of this Agreement; (b) as applicable, sufficient to ensure that Contractor has the right to grant the intellectual property licenses and assignments that are granted to Owner herein; (c) giving Contractor an unrestricted right to assign the subcontract and all benefits, interests, rights and causes of action arising under it to Owner, an Affiliate of Owner, a Financial Institution, or an operator of the Facility, as designated by Owner and (d) providing that, following a Default by Contractor and a termination of this Agreement by Owner, upon receipt by Contractor and Subcontractor of written notice from Owner electing same, such subcontract, together with all benefits, interests, obligations, rights and causes of action arising thereunder, shall be deemed to have been assigned from Contractor to Owner effective immediately upon receipt of such notice from Owner without any further action required by any party. At the request of Owner, Contractor shall provide Owner with copies of all warranties of each Major Subcontractor relating to any of the Work, and Contractor shall comply with any request by Owner upon the termination of this Agreement pursuant to Article 23 or prior to the expiration of the Warranty Period to assign the benefit of any Subcontractor warranty to Owner, an Affiliate of Owner, a Financial Institution, or an operator of the Facility, as designated by Owner; provided that, unless otherwise agreed, Contractor shall not be required to assign any rights to claims that Contractor may have against such Subcontractor at the time of the assignment of such benefit.
Assignment of Subcontracts. In the event that Owner terminates the Contract with the CM/GC, each subcontract and supply contract for any portion of the Work is hereby irrevocably assigned by the CM/GC to Owner, effective from the date of termination. This assignment is effective only for those subcontracts and supply contracts that Owner accepts by notifying the Subcontractor/supplier and the CM/GC in writing. For those subcontracts and supply contracts accepted by Owner, if the Work has been suspended for more than 30 days, the Subcontractor's/supplier’s compensation may be equitably adjusted for increases in cost resulting from the suspension. Such adjustments shall be subtracted from the amounts owed by Owner to the CM/GC. The CM/GC shall include a provision in each subcontract and supply agreement wherebythe Subcontractor/supplier acknowledges Owner’s rightsunder this Article
Assignment of Subcontracts. Each Subcontract shall provide for the assignment of the Subcontract to Buyer at Buyer’s election upon termination of these Terms and Conditions or a Purchase Order by Buyer. Such assignment shall provide that if Xxxxx fulfills Contractor’s obligations to Subcontractor, then Subcontractor will perform the Subcontract on behalf of Xxxxx, its successors and assigns.
