Assistance by Licensor. Licensor shall assist Licensee as follows:
Assistance by Licensor. In connection with any NDA, HRD or other application for Regulatory Approval relating to Licensed Product, Licensor shall, at SPL's request, provide to SPL in a prompt manner responses to questions which have been raised by any regulatory authority in connection with such application for Regulatory Approval and further provide to SPL estimates of Licensor's [ * ] costs for
Assistance by Licensor. In connection with any NDA, HRD or other application for Regulatory Approval relating to Licensed Product, Licensor shall, at Schering's request, provide to Schering in a prompt manner responses to questions which have been raised by any regulatory authority in connection with such application for Regulatory Approval and further provide to Schering estimates of Licensor's [ * ] costs for rendering such assistance. Licensor shall assist Schering from time to time, at Schering's request, in the design and implementation of clinical studies. Subject to Licensor's rights under Section 3.3(b), Licensor shall assist Schering to enable Schering to self-source bulk material for the manufacture of Licensed Compound and/or Licensed Product; provided, however, that Schering shall have no obligation whatsoever to purchase any bulk material or Licensed Compound from Licensor.
Assistance by Licensor. Licensee shall have the right to cause its personnel to reasonably visit Licensor's offices, factories, showroom, and other places of business, and also to attend Licensor's sales meetings in order to obtain additional know-how and assistance. The scheduling of such visits shall be at times mutually convenient to the parties hereto. In connection with such visits, Licensee shall bear all airfare to and from, and subsistence expenses of Licensee's representatives. In the event Licensee requests Xx. Xxxxx Xxxxxxxx or any other member(s) of Licensor's staff to make a personal appearance, to attend any function, to visit Licensee's manufacturing plants or facilities or to attend any design meetings, Licensee shall pay all of the reasonable expenses in connection therewith, including air travel and hotel accommodations, and other reasonable services of Licensor's choosing. Licensee shall reimburse Licensor for all reasonable expenses so incurred by Licensor. On at least two (2) months notice, Licensor shall have Xx. Xxxxx Xxxxxxxx appear at Licensee's launch party. At Xx. Xxxxx Xxxxxxxx's personal appearances for other licensed products, Licensor shall make reasonable efforts to have the Licensed Products visually enhanced.
Assistance by Licensor. Licensor shall provide reasonable assistance in the use of the Technical Documentation to the extent such assistance is reasonably necessary for Licensee to make use of the Technical Documentation to manufacture the Licensed Product. Such assistance may include, but will not be limited to, technical assistance, training, testing and limited application engineering services.
Assistance by Licensor. Licensor shall provide creative concepts and fashion direction for each Seasonal Collection. Licensor has ultimate design and creative approval rights, and written approval is required at key dates as indicated in the design, time and action calendar. At least four (4) times during each Annual Period, Licensee may, at its expense, visit Licensor’s offices, factories, showroom, and other places of business, and attend Licensor’s sales meetings to obtain additional know-how and assistance with respect to Licensed Products. The scheduling of such visits shall be at times mutually convenient to the parties hereto. If Licensee requests Mx. Xxxxx Xxxxxxxx or any other member(s) of Licensor’s staff to make a personal appearance, to attend any function, to visit Licensee’s manufacturing plants or facilities or to attend any design meetings, all of the foregoing shall be subject to scheduling availability, if any, and Licensee shall pay all reasonable expenses in connection therewith, including appropriate airfare, lodgings, meals and local transportation consistent with the travel policy of Licensor, understanding and agreeing that if Licensee requests Mx. Xxxxx Xxxxxxxx to make such an appearance, Licensee shall pay all expenses in connection therewith, including appropriate *CONFIDENTIAL PORTION OF THIS EXHIBIT OMITTED AND FILED SEPARATELY WITH THE SEC PURSUANT TO RULE 24b-2 OF THE 1934 ACT airfare, lodgings, meals and local transportation consistent with Mx. Xxxxx Xxxxxxxx’s typical travel arrangements (e.g., private aircraft transportation). Licensor shall at least four (4) times during each Annual Period, upon request by Licensee, make available to Licensee certain samples, designs, colors, samples of materials, Labels and artwork, the cost of which shall be borne by Licensee at the cost incurred by Licensor to provide the same. In addition to the foregoing, for marketing purposes, Licensor shall, upon request, make available to Licensee such of the following that are available to Licensor: (a) reports on marketing policy of Licensor; (b) reports on color, style and fabric trends; (c) at Licensee’s cost, samples of advertising materials; (d) display ideas; and (e) Labels.
Assistance by Licensor. At Licensee’s written request and sole cost and expense, Licensor’s JDC (as defined in Section 4.1 below) representative shall reasonably cooperate with Licensee, taking into account and considering Licensor’s capacity and available resources, to provide assistance or perform activities as may be necessary or useful for: (a) the transfer to Licensee of the Licensed Know-How in the Territory, or any portion thereof; or (b) at Licensor’s discretion, the Development, Manufacturing and Commercialization of Licensed Products in the Territory, including seeking of Regulatory Approval for Licensed Products in the Territory, or any portion thereof; provided that Licensee shall pay Licensor and reimburse Licensor for the costs and expenses incurred in connection with the provision of such assistance.
Assistance by Licensor. Licensor shall provide reasonable assistance to License to enable Licensee and its contractors to manufacture and sell Products. Such assistance will include but is not limited to providing to Licensee or contractors engaged by Licensee (a) instructions, formulas and specifications for the manufacture of Products, (b) designs, tools and tooling and (C) marketing aids, brochures, product literature and similar items.
Assistance by Licensor. A. Licensor shall, from time to time, furnish Licensee with such assistance and information in the following categories as Licensor and Licensee mutually deem necessary to aid Licensee in the production and marketing of Products under this Agreement.
