Benefits During the Term of Employment. (a) Executive shall be eligible to participate in any life, health and long-term disability insurance programs, pension and retirement programs, stock option and other incentive compensation programs, and other fringe benefit programs made available to senior executive employees of the Company from time to time, and Executive shall be entitled to receive such other fringe benefits as may be granted to him from time to time by the Company's Board of Directors. (b) Executive shall be allowed four (4) weeks of vacation with pay and leaves of absence with pay on the same basis as other senior executive employees of the Company. (c) The Company shall reimburse Executive for reasonable business expenses incurred in performing Executive's duties and promoting the business of the Company, including, but not limited to, reasonable entertainment expenses, travel and lodging expenses, following presentation of documentation in accordance with the Company's business expense reimbursement policies. (d) Executive shall be added as an additional named insured under all liability insurance policies now in force or hereafter obtained covering any officer or director of the Company in his or her capacity as an officer or director. Company shall indemnify Executive in his capacity as an officer or director and hold him harmless from any cost, expense or liability arising out of or relating to any acts or decisions made by him on behalf of or in the course of performing services for the Company (to the maximum extent provided by the Company's Bylaws and applicable law).

In addition, Executive shall be entitled to receive a separate long term disability insurance policy in addition to the standard one offered to other employees as a fringe benefit. (b) Executive shall be allowed four weeks of vacation with pay and leaves of absence with pay on the same basis as other senior executive employees of the Company. (c) The Company shall reimburse Executive for reasonable business expenses incurred in performing Executive’s duties and promoting the business of the Company, including, but not limited to, reasonable entertainment expenses, travel and lodging expenses, following presentation of documentation in accordance with the Company’s business expense reimbursement policies. (d) In the event of a relocation of the primary place of employment by the Company at less than 50 miles but more than 25 miles from Executive’s place of employment as of the Effective Date (or such later place of employment as to which he agrees in writing to relocate), then the Board shall offer to Executive a relocation package consistent with relocation packages offered to other executives in similarly situated positions. (e) The Company shall pay or reimburse Executive up to two thousand dollars ($2,000) for his attorney’s legal fees and expenses for review of this Agreement and related documents. (f) The Company shall keep in effect, throughout the Term of Employment, a $1,000,000 term life insurance policy for Executive (subject to Executive’s continued eligibility therefor at a reasonable cost) under which Executive shall be entitled to designate the beneficiaries. Upon termination of employment for any reason, Executive shall assume payment for such policy as of the date of termination. Payments with respect to reimbursement of business expenses will be made in the ordinary course and, in any case, on or before the last day of the calendar year following the calendar year in which the relevant expense is incurred. The amount of expenses eligible for reimbursement, or in-kind benefits provided, during a calendar year may not affect the expenses eligible for reimbursement, or in-kind benefits to be provided, in any other calendar year, and the right to reimbursement or in-kind benefits is not subject to liquidation or exchange for another benefit.

Executive shall be provided with financial planning and tax preparation to an annual maximum of $10,000 (including within such limit a gross-up for any taxes he may incur on the payment for such services), with respect to any year or partial year of employment (such that the Company will, for example, pay for or towards the completion of the income tax returns that pertain to periods of employment even if the year of employment is not completed or the return is due after employment ends). (b) Executive shall be allowed five (5) weeks of vacation with pay and leaves of absence with pay on the same basis as other senior executive employees of the Company. If the employee does not participate in the health/benefit plans, the amount that the company would have contributed will be reimbursed monthly. (b) The Company shall reimburse Employee for reasonable business expenses incurred in performing Employee's duties and promoting the business of the Company, including professional association fees, reasonable entertainment expenses, travel and lodging expenses, following presentation of documentation in accordance with the Company's business expense reimbursement policies.
