Buyer’s Representation. Buyer represents that Buyer has sufficient funds available to close 34 this sale in accordance with this Agreement and is not relying on any contingent source of funds unless otherwise 35 set forth in this Agreement.
Buyer’s Representation. A real estate brokerage representing a buyer must do what is best for the Buyer. • A written contract, called a buyer representation agreement, creates an agency relationship between the buyer and the brokerage, and establishes buyer representation. It also explains services the brokerage will provide, establishes a fee arrangement for the Commercial REALTOR®’s services and specifies what obligations a buyer may have. • Typically, buyers will be obliged to work exclusively with that brokerage for a period of time. • Confidences a buyer shares with the buyer’s agent must be kept confidential. • Although confidential information about the Interested Party cannot be disclosed, a seller working with a Interested Party’s agent can expect to be treated fairly and honestly.
Buyer’s Representation. The Buyer represents that: (a) I am not a foreclosed owner of any of the properties being offered for sale; (b) I am not an immediate family member of the foreclosed owner; (c) I am not in any way acting on behalf of, as an agent of, or as a representative of a foreclosed owner; (d) I am not acting as an agent of any officer, stockholder of a Corporation or general or limited partner of a partnership that is a foreclosed owner of any of the properties being offered for sale; (e) 1 do not own property in the County of Oswego, either individually, jointly with another, through a corporation or partnership, which is tax delinquent; (f) I am not acting on behalf of, as an agent of, or a representative of any of the persons or entities set forth herein (g) I am not an elected or appointed official, (nor the spouse, minor child or dependent, thereof) involved in the assessment, tax levy, budget making or tax rate setting process in any municipality m Oswego County, including but not limited to Assessors, Board of Review members, Town Board members, Town Supervisors, Village Trustees, Village Mayor, County Treasurer, County Attorney, County Legislators, County Clerk and County Real Property Tax Director; (h) by submission of a bid, each bidder and each person, signing on. behalf of any bidder certifies, and in the case of a joint bid, each party thereto certifies that to the best of their knowledge and belief: The prices in a bid have been arrived at independently without collusion, consultation, communication, or agreement for the purpose of restricting competition as to any matter relating to such prices with any other bidder or with any competitor.
Buyer’s Representation. Buyer agrees that the Dog is being bought for herself and will not be sold, adopted, or given to another party without notifying Seller first and giving Seller the option of taking the Dog back. - Buyer agrees that this Dog is being purchased as a family pet and not being bred on Buyer’s behalf. - Buyer agrees to care for the Dog in a humane manner and be a responsible owner. This includes supplying a high-quality food, water, attention, and necessary veterinary medical care. - If the Buyer moves from the address outlined on this agreement, the Buyer shall, within 60 days of the address change, provide the new address and telephone number to the Seller. - Seller guarantees the Dog is in good health and free of communicable diseases at the time of this sale. The Dog has had the first of four sets of canine vaccinations and de-worming as scheduled. - Rabies vaccines must be done after 4 months of age. See medical records for details. - The Seller provides copies of the genetic testing done by for the sire and dam - The bite of the Dog is not guaranteed. - Seller does not warrant any condition, which is deemed by a veterinarian to be a normal aspect of a geriatric age, communicable disease, or conditions related to an injury. - The Dog is up-to-date on vaccinations and worming at the time Buyer takes possession. Included with agreement is a record that lists exact dates and types of vaccinations/worming that have been given. It is important that the Dog receive the necessary vaccinations to keep it protected against infections canine diseases. - Buyer agrees to follow all local, provincial, and federal laws concerning canine Rabies vaccinations. - Buyer agrees to keep the Dog current on all veterinary care, including shots, de-worming, and tick and flea treatment, and seek appropriate care in the event of injury or illness. Buyer is responsible for all veterinary expenses while in their care. - Buyer agrees that veterinary care including dental surgery will be rendered as adult teeth erupt (ie canines). - In the event of accident or injury, the Buyer agrees to immediately inform Seller of condition, diagnosis, and recommendations. - Buyer agrees the Dog will not been allowed to become obese or malnourished, but a healthy weight maintained. - The Buyer agrees that the Dog will not be allowed to climb and descend sets of stairs or jump off furniture prior to the age of one, and not participate in sports such as Agility prior to the age of two. - If at any time,...
Buyer’s Representation. Buyer agrees, represents and warrants, as of the date of execution of this Agreement and as of Close of Escrow, as follows:
(a) Buyer is a corporation, duly formed, existing and in good standing under the laws of the State of Delaware;
(b) Buyer has full legal right, power and authority to execute and fully perform its obligations under this Agreement pursuant to its governing instruments, without the need for any further corporate action; and (c) the persons executing this Agreement and other documents required hereunder on behalf of Buyer are the duly designated agents of Buyer and are authorized to do so.
Buyer’s Representation. The Buyer represents that, on the basis of the Due Diligence and other information of which it is aware at the date of this agreement, it does not have knowledge or belief of any matter which is, or would with the passage of time become, a material breach of any Warranty other than any potential breaches of a Warranty disclosed in the Disclosure Material.
Buyer’s Representation. Buyer represents and warrants that: (a) it has not offered to any of AMS’ employees or members of such employee’s family, any gift, gratuity, or compensation in any form; (b) it has disclosed to AMS the names of all employees of AMS (or their family members) that are employed by, or have any ownership interest in, Buyer; (c) there is no understanding or agreement, express or implied, for the acquisition of any ownership interest in Buyer by such employees (or their family members) that has not been previously disclosed to AMS; and (d) it will not employ any of AMS’ employees (or their family members) or persons who have been employed by AMS in any preceding twelve (12) month period unless approved in advance by AMS. Buyer will be liable for any and all damages resulting from Buyer’s breach of this provision. This provision will survive the termination of this Agreement, regardless of cause, for a period of one (1) year after the delivery of all Parts hereunder.
Buyer’s Representation. In consideration of Seller entering into this Agreement and as inducement to Seller to sell the Property to Buyer, Xxxxx makes the following representations, each of which is material and is being relied upon by Seller (the continued truth and accuracy of which shall constitute a condition precedent to Seller’s obligations hereunder):

(a) Buyer is a corporation which is validly existing and in good standing under the laws of its state of formation, and has all requisite corporate power and authority to own its assets and properties and carry on its business as such business is conducted, to hold record title to the Properties from and after the Closing, to enter into this Agreement and the documents and instruments contemplated hereby, and to perform its obligations under this Agreement and the documents and instruments contemplated hereby. By the time of Closing, Buyer will be duly licensed or qualified to do business as a foreign corporation, if applicable, and will be in good standing in all jurisdictions (other than North Dakota) wherein the Properties lie or the nature of the business conducted by it requires it to be so licensed or qualified. Neither the execution and delivery of this Agreement or the documents and instruments contemplated hereby nor the consummation of the transactions contemplated by this Agreement and the documents and instruments contemplated hereby will violate or be in conflict with, require any consent, approval or notice under or result in acceleration of performance required under (i) Buyer's charter or by-laws or any agreements or instruments to which Buyer is a party or by which Buyer is bound or (ii) any judgment, decree, order, statute, ordinance, rule, regulation or permit applicable to Buyer.
(b) This Agreement and all documents and instruments required hereunder to be executed and delivered by Buyer have been duly authorized by Buyer's Board of Directors. This Agreement has been, and such documents and instruments by the Closing will have been, duly executed and delivered by Buyer through its duly constituted and authorized officers, and this Agreement constitutes and such other documents and instruments will constitute valid, legal and binding obligations of Buyer enforceable in accordance with their terms.
(c) Buyer has incurred no liability, contingent or otherwise for broker's or finder's fees in connection with this transaction for which Seller shall have any responsibility whatsoever.
