C-TPAT Sample Clauses

C-TPAT. Any Supplier providing goods under this Order where the final destination of such goods is the U.S. agrees that it: (a) is certified under C- TPAT; (b) is certified under an Authorized Economic Operator program that is mutually recognized by C-TPAT ( a “Mutually Recognized AEO”); or (c) has developed and implemented or shall develop and implement within sixty (60) days of acceptance of this Order supply chain security procedures compliant with C- TPAT or a Mutually Recognized AEO. Any Supplier providing goods under this Order where the final destination of such goods is the outside of the U.S. agrees that it is either: (i) certified under a government-approved supply chain security program (such as an AEO program or similar program); or (ii) has developed and implemented or shall develop and implement within sixty (60) days of acceptance of this Order adequate supply chain security procedures as determined by Buyer in its sole discretion. If Buyer does not consider Supplier’s supply chain security procedures to be adequate, Buyer may require Supplier to implement measures to improve its supply chain security program. Upon Buyer’s written request and with reasonable advance notice, Supplier shall give Buyer and its designated agents access to Supplier’s records and facilities for the purpose of verifying and auditing Supplier’s compliance with C-TPAT, a Mutually Recognized AEO or applicable government-approved supply chain security program. Supplier agrees to notify Buyer of any event that has resulted in or threatens the loss of Supplier’s C-TPAT, Mutually Recognized AEO or other government-approved supply chain security program certification (if it has such certification) or alternatively jeopardizes Buyer’s C-TPAT certification.

C-TPAT. In connection with providing Goods and Services to AGILENT, Seller shall comply with Customs-Trade Partnership Against Terrorism (C- TPAT) or equivalent supply chain security measures. When requested by AGILENT, Seller shall demonstrate compliance by providing certification thereof to AGILENT.
C-TPAT. Any Supplier providing goods under this Order from a non-U.S. location where the final destination of such goods is the U.S. agrees that it:

C-TPAT. Xxxxx Xxxxxxxx dostarczający towary w ramach niniejszego Zamówienia, w przypadku gdy ostatecznym miejscem przeznaczenia takich towarów xx Xxxxx Zjednoczone, zgadza się, że: (a) posiada certyfikat zgodnie z C-TPAT; b) jest certyfikowany w ramach programu upoważnionego przedsiębiorcy, który jest wzajemnie uznawany przez C-TPAT ("Wzajemnie Uznany AEO"); lub (c) opracował i wdrożył lub opracuje i wdroży w ciągu sześćdziesięciu (60) dni od przyjęcia niniejszego Zamówienia procedury bezpieczeństwa łańcucha dostaw zgodne z C-TPAT lub Wzajemnie Uznanym AEO. Każdy Dostawca dostarczający towary na podstawie niniejszego Zamówienia, w przypadku gdy ostateczne miejsce przeznaczenia takich towarów znajduje się poza Stanami Zjednoczonymi, zgadza się, że: (i) jest certyfikowany w ramach zatwierdzonego przez rząd programu bezpieczeństwa łańcucha dostaw (takiego jak program AEO lub podobny program); lub (ii) opracował i wdrożył lub opracuje i wdroży w ciągu sześćdziesięciu (60) dni od przyjęcia niniejszego Zamówienia odpowiednie procedury bezpieczeństwa łańcucha dostaw określone przez Xxxxxxxxxxxxx według jej wyłącznego uznania. Jeżeli Zamawiający uzna, że stosowane przez Dostawcę procedury bezpieczeństwa łańcucha dostaw nie są odpowiednie, Zamawiający może zażądać od Dostawcy wdrożenia środków mających na celu poprawę programu bezpieczeństwa łańcucha dostaw. Na pisemny wniosek Zamawiającego i z odpowiednim wyprzedzeniem Dostawca udzieli Zamawiającemu i jej wyznaczonym przedstawicielom dostępu do dokumentacji i obiektów Dostawcy w celu weryfikacji i audytu zgodności Dostawcy z C-TPAT, Wzajemnie Uznanym AEO lub innym zatwierdzonym przez rząd programem bezpieczeństwa łańcucha dostaw. Dostawca zgadza się powiadomić Zamawiającego o wszelkich zdarzeniach, które spowodowały lub grożą utratą certyfikatu C-TPAT, Wzajemnie Uznanego AEO lub obowiązującego zatwierdzonego przez rząd programu bezpieczeństwa łańcucha dostaw (jeśli taki certyfikat posiada) lub alternatywnie zagrażają certyfikacji C-TPAT Zamawiającemu.
C-TPAT. Manufacturer acknowledges that Customer is a certified member of C-TPAT. As a C-TPAT member, Customer is required to make periodic assessment of its international supply chain based upon C-TPAT security criteria. Manufacturer agrees to conduct and document an annual security audit at each of its Facilities and to take all necessary corrective actions to ensure the continued participation of Customer in C-TPAT. Manufacturer agrees to share with Customer the results of such annual audits and agrees to prepare and submit to Customer a report on the corrective actions taken in response thereto. In addition, Customer may audit Manufacturer’s Records and Facilities for the purpose of verifying that Manufacturer’s procedures are in accordance with the C-TPAT security criteria, and Manufacturer shall provide Customer with access to Manufacturer’s Records and Facilities reasonably necessary for the purpose of conducting such audit. Manufacturer agrees to notify Customer of any event that has resulted in or threatens the loss of its C-TPAT Benefits (if it is a member of the C-TPAT program) or alternatively jeopardizes Customer’s retention of its own C-TPAT Benefits. In an effort to secure each part of the supply chain, Manufacturer agrees to work in good faith to become a member of the C-TPAT program, if Manufacturer is organized or incorporated in the United States, Mexico or Canada, or the equivalent supply chain security program criteria administered by the customs administration in Manufacturer’s home country if Manufacturer is not organized or incorporated in the United States, Mexico or Canada.
C-TPAT. If a Party is suspended or expelled from C-TPAT or other corresponding programs, each Party shall promptly notify the other Party in writing.

C-TPAT. Seller acknowledges that Buyer is participating in the Customs Trade Partnership Against Terrorism program (“C-TPAT Program”) with the United States Government Customs & Border Protection, the general security recommendations for which are described at xxxx://xxx/xxx/xxx/xx/xxxx/xxxxxx/. In addition, Seller may request a copy of buyers Minimum Security Requirements developed in connection with the C-TPAT Program. The C-TPAT Program applies to Seller if Seller is a foreign entity that is not an affiliate of Buyer and is located outside the U.S., with which Buyer contracts or trades directly, and that manufactures, processes, assembles, evaluates, warehouse, packs, unpacks, transports or distributes Buyer’s assets into the U.S. Seller Agrees that if the Program applies to Seller under the above definition, it will use its best efforts to develop and implement security procedures that compliment and support Xxxxx’s participation in the C-TPAT program in all material respects. Breach of Seller’s obligations under this Section 17 shall be grounds for immediate termination hereunder in Xxxxx’s sole discretion.
C-TPAT. Manufacturer acknowledges that United States Customs and Border Protection (“CBP”) has established an initiative called the Customs Trade Partnership Against Terrorism (C-TPAT). Manufacturer hereby agrees to use its best efforts to support Xxxxxxxx & Xxxxxx’x participation in C-TPAT. This support on the part of Manufacturer includes (i) full compliance with any reasonable requests of Xxxxxxxx & Xxxxxx relating to C-TPAT requirements, (ii) compliance with all CBP security recommendations, (iii) use of commercially reasonable efforts to become a certified and validated member of C-TPAT, (iii) maintaining familiarity with, and ensuring that its employees with responsibilities relevant to C-TPAT are familiar with CBP’s Foreign Manufacturer Security Criteria; (iv) immediately notifying Xxxxxxxx & Xxxxxx if it becomes suspicious or aware of any attempt, potential attempt, or commission of any act of terrorism with respect to the Products, and (v) promptly notifying Xxxxxxxx & Xxxxxx of any breach or suspected breach in the security and safeguard of the Products while within its custody or control, or in the event it otherwise has information regarding any suspected or known breach of security pertaining to the Products.
