CAPACITY TRADE SERVICE. (a) This clause 11 will only take effect on and from the date that is 20 Business Days after the Shipper provides a valid written notice to the Service Provider requesting that this new clause 11 take effect so that the Shipper can use secondary services under this agreement. (b) The Shipper may, in respect of any one or more Delivery Points, acquire Capacity Trade MDQ through an Operational Transfer (including through the Capacity Auction). Except to the extent that this agreement provides otherwise, all of the provisions of this agreement apply to any services acquired through Capacity Trade MDQ and Auction MDQ. (c) The Shipper must comply with the procedures set out in clause 4.4 and subclauses 11 (k) to (n) with respect to Capacity Trades and Exchange Trades. (d) The Shipper must comply with the procedures set out in this clause 11 with respect to Auction MDQ. (e) If AEMO notifies the Service Provider that the Shipper has acquired Auction MDQ through the Capacity Auction, the Service Provider must facilitate the Auction Service by confirming and validating the Auction Service in accordance with the Capacity Transfer and Auction Procedures. The Service Provider may only reject an Auction Service if permitted by the National Gas Rules or the Capacity Transfer and Auction Procedures. (f) The Shipper may nominate Auction Trade MDQ it has acquired through the Capacity Auction by 6:45pm on the Day immediately preceding the Day to which the nomination relates as may be extended through the Capacity Transfer and Auction Procedures. (g) The Shipper must ensure that: (i) its nominations represent its best estimate of the quantities of Gas it wishes to supply and take delivery of on a Day; and (ii) it has all necessary arrangements in place with parties upstream of Receipt Points and downstream of Delivery Points to enable the Shipper to supply at the Receipt Points the quantities of Gas nominated by the Shipper and take at the Delivery Points the quantities of Gas nominated by the Shipper. (h) The Service Provider must accept a nomination for Auction MDQ made in accordance with the terms of this agreement except to the extent that: (i) there is insufficient capacity in the VicHub (including at nominated Receipt Points or Delivery Points) on a Day to meet all the requirements of shippers on the VicHub on that Day in a manner consistent with preserving the operational integrity of the VicHub, taking into account the Priority of Service; (ii) accepting the nominati...

(e) For the calculation of imbalance charges and overrun charges in relation to Purchased Capacity: (i) any reference to the Tariff in respect of imbalance charges relating to a forward haul service will be read as a reference to the Reference Tariff for the Firm Forward Haulage Service; and (ii) any reference to the Tariff in respect of overrun charges will be read as a reference to the Reference Tariff for the relevant Service. (f) The Service Provider and the Shipper must enter into an Annexure (or more if required) in accordance with clause 3.2 to detail the Capacity Trade Services pursuant to this clause 11.

  • Outside Services Consultant shall not use the service of any other person, entity, or organization in the performance of Consultant’s duties without the prior written consent of an officer of the Company. Should the Company consent to the use by Consultant of the services of any other person, entity, or organization, no information regarding the services to be performed under this Agreement shall be disclosed to that person, entity, or organization until such person, entity, or organization has executed an agreement to protect the confidentiality of the Company’s Confidential Information (as defined in Article 5) and the Company’s absolute and complete ownership of all right, title, and interest in the work performed under this Agreement.

  • Interconnection Customer Compensation If the CAISO requests or directs the Interconnection Customer to provide a service pursuant to Articles 9.6.3 (Payment for Reactive Power) or 13.5.1 of this LGIA, the CAISO shall compensate the Interconnection Customer in accordance with the CAISO Tariff.

  • Industry Data The statistical and market-related data included in each of the Registration Statement, the Pricing Disclosure Package and the Prospectus are based on or derived from sources that the Company reasonably and in good faith believes are reliable and accurate or represent the Company’s good faith estimates that are made on the basis of data derived from such sources.

  • Interconnection Customer Provided Services The services provided by Interconnection Customer under this LGIA are set forth in Article 9.6 and Article 13.5. 1. Interconnection Customer shall be paid for such services in accordance with Article 11.6.

  • Supply of Services 7.1 Supplier shall provide the Services to Purchaser in accordance with the Order in all material respects using reasonable care and skill. 7.2 Supplier shall use reasonable endeavours to meet any performance dates for the Services specified in the Order but any dates shall be estimates only and time shall not be of the essence for the performance of the Services. 7.3 Supplier shall have the right to make any changes to the Services which are necessary to comply with any applicable law or safety requirements or which do not materially affect the nature or quality of the Services. 7.4 Purchaser shall: (a) ensure that the terms of Order are complete and (if submitted by Purchaser) the service specification are complete and accurate; (b) co-operate with Supplier in all matters relating to the Services; (c) provide Supplier, its employees, agents, consultants and subcontractors with access to Purchaser’s premises, machinery and other facilities as reasonably required by Supplier to provide the Services; and (d) provide Supplier with such information and materials as Supplier may reasonably require to supply the Services, and ensure that such information is accurate in all material respects. 7.5 If Supplier’s performance of any of its obligations in respect of the Services is prevented or delayed by an any act or omission by Purchaser or failure by Purchaser to performs its obligations (“Purchaser Default”) Supplier shall without limiting its other rights or remedies have the right to suspend performance of the Services until Purchaser remedied Purchaser Default and relieves Supplier from its obligations to the extent the Customer Default prevents or delays Supplier’s performance. Purchaser shall indemnify Supplier against all liabilities costs, losses and expenses which Supplier may incur by reason of Purchaser Default. 7.6 Where the Services consist of any experimental or developmental work, the results supplied or recommendations made under the Services are given in good faith within the limitations of the data available, but no warranty, expressed or implied, is given as to the ability of Supplier to achieve a specific outcome, nor the accuracy of results obtained. 7.7 Any claims by Purchaser which is based on defect in the Services shall be notified to Supplier within twenty-one (21) days of the services being performed and promptly after discovery of defect or failure. The sole and exclusive remedy of Purchaser for such defect hereunder shall be the re-performance or re- fund, at Supplier’s option, of any defective or non-conforming Services.

  • SKILLED TRADES The Company agrees that maintenance employees are engaged to perform wholly maintenance duties, however, they may perform production duties until the set up or repair has been completed. Also, production employees may catty our minor adjustments and repairs. The Company will establish a tool allowance over the lifetime of this agreement of ($210.00 per contract year) to be used as a credit for the purchase of tools deemed necessary or as required by the Company by all Maintenance Men, Maintenance Machinists and Stationary Engineers In the event an employee eligible for a tool allowance terminates their and has exceeded their allowance of per contract year, then such excess will be withheld from their final earnings.   • Transponders a. You agree to obtain a sticker Transponder for each vehicle registered to your Account. b. OCTA agrees to provide you one sticker Transponder for each vehicle registered to your account at no charge. c. To obtain carpool discounts you must purchase a FasTrak Flex Transponder. d. You agree to set the self-declaration switch on your FasTrak Flex Transponder in accordance with applicable laws, regulations, ordinances and policies prior to traveling on the 405 Express Lanes. e. If your FasTrak Flex Transponder fails to operate for reasons other than abuse or improper use, return it to us and we’ll replace it at no charge within five years of purchase of the FasTrak Flex Transponder. All other FasTrak Flex Transponder replacements or additional Transponder(s) will result in $15 for each FasTrak Flex Transponder. You agree to mount your Transponder according to the instructions provided to you and to ensure that your Transponder is in good working order. f. Sticker Transponders will be replaced at no additional charge. You acknowledge that sticker Transponders can only be used on one vehicle and that removing the Transponder will damage it and require you to obtain a new Transponder. g. If you drive on the 405 Express Lanes without a properly mounted Transponder in good working order or your Transponder is not read for any other reason, we may use an image of your license plate number to bill your Account. You agree to pay an administrative fee of $2 per image-based transaction in addition to the toll. If the license plate number is not active on your Account at the time of travel, or if your Account is not in good standing, you may receive a toll evasion violation or a citation by the CHP. You agree that we may charge you an additional processing fee. h. If you sell a vehicle or if your Transponder is lost or stolen, notify us immediately and you will not be liable for any unauthorized use of your Transponder that occurs after such notification.

  • Autism Services This plan covers the following services for the treatment of autism spectrum disorders. • Applied behavior analysis when provided and/or supervised by an individual licensed by the state in which the service is rendered. See the Summary of Medical Benefits for the amount that you pay. • Physical therapy, occupational therapy, and speech therapy services when rendered as part of the treatment of autism spectrum disorder. A benefit limit will not apply to these services. • Psychological and psychiatric services, and prescription drugs are also covered. See Behavioral Health Services and Prescription Drugs and Diabetic Equipment or Supplies for additional information. Coverage for autism spectrum disorders does not affect any obligation of a school district, a state or other governmental entity to provide services to an individual under an individualized family service plan, an individualized education program, or similar services required under state or federal law. Services related to autism that are furnished by school personnel are not covered under this plan.

  • Force Majeure Exclusions 11.4.1 Force Majeure shall not include (i) any event or circumstance which is within the reasonable control of the Parties and (ii) the following conditions, except to the extent that they are consequences of an event of Force Majeure: a. Unavailability, late delivery, or changes in cost of the plant, machinery, equipment, materials, spare parts or consumables for the Power Project; x. Xxxxx in the performance of any contractor, sub-contractor or their agents; c. Non-performance resulting from normal wear and tear typically experienced in power generation materials and equipment; d. Strikes at the facilities of the Affected Party; e. Insufficiency of finances or funds or the agreement becoming onerous to perform; and f. Non-performance caused by, or connected with, the Affected Party’s: i. Negligent or intentional acts, errors or omissions; ii. Failure to comply with an Indian Law; or iii. Breach of, or default under this Agreement.

  • Disposition Services The Manager shall: (i) evaluate and approve potential asset dispositions, sales, or liquidity transactions; and (ii) structure and negotiate the terms and conditions of transactions pursuant to which the assets of the Company may be sold.
