Certain Obligations and Restrictions. You are responsible for your Named Userscompliance with this Agreement. You and your Representatives will not (a) copy, display, distribute, or otherwise use a Product or the MCE Service in any manner or for any purpose not expressly authorized by this Agreement; or (b) create derivative works of or otherwise modify any Product or the MCE Service or any portion thereof except as expressly provided in the Documentation; or (c) modify, tamper with or repair any Product or any other software included in the MCE Service; or (d) reverse engineer, decompile or disassemble any Product or such software or the metadata created by a Product or such software, or apply any other process or procedure to derive the source code of any Product or such software; or (e) interfere with or disrupt the integrity or performance of a Product or the MCE Service; or (f) attempt to gain unauthorized access to a Product or the MCE Service or its related systems or networks; or (g) access or use any Product or the MCE Service in a way intended to avoid incurring fees or exceeding usage limits or quotas; or (h) use a Product or the MCE Service to develop any product or service that is in any way competitive with any of our product or service offerings; or (i) make available to any third-party any analysis of the operation of a Product or the MCE Service, including any benchmarking results, without our prior written consent; or (j) use any Product or the MCE Service to provide time-sharing services, software-as-a-service offering, service bureau services or similar services; or (k) use a Product or the MCE Service to store or transmit (1) material in violation of third-party privacy rights; or (2) libelous, or otherwise unlawful or tortious material; or (3) material that infringes any copyright, trademark, patent, trade secret or other proprietary right of any entity or individual; or (4) viruses, Trojan horses, worms, time bombs, cancelbots, corrupted files, or any other similar software or programs. Certain Obligations and Restrictions. You are responsible for Your Userscompliance with this Agreement. “Content” means, data, text, audio, video, images, or other content that You or any User uploads, creates or transfers to the Hosted Service.

Customer will not (A) make the Polycom Cloud available to anyone other than Authorized Users and their conferencing participants, (B) sell, resell, rent or lease the Polycom Cloud, or any access to or use thereof (in whole or in part), (C) interfere with or disrupt the integrity or performance of the Polycom Cloud or third-party data contained in the Polycom Cloud, (D) attempt to gain unauthorized access to the Polycom Cloud or its related Software, systems or networks, or (E) exceed any established usage limits, if applicable, for the Polycom Cloud.

Customer, including its Users, will not (i) attempt to gain unauthorized access to the Services or the Online Classroom or use or access the Services or the Online Classroom in a way intended to avoid fees, (ii) interfere with or disrupt the Services or the Online Classroom, or (iii) upload to or distribute through the Online Classroom any viruses, Trojan horses, worms, or other similar programs. e. Customer, including its Users, will treat Xxxxx.xxx’s tutors with respect. f. All marketing and other communications by Customer and Customer web pages that refer to the Services must include the Xxxxx.xxx logo as provided by Xxxxx.xxx or the words “Powered by Xxxxx.xxx, a Service of The Princeton Review®.”

Certain Obligations and Restrictions. Customer (i) is responsible for ensuring that each Authorized User and conferencing participant is bound by the terms and conditions of this Agreement and for Authorized Users’ and conferencing participants’ compliance with, and any breach of, the terms and conditions of this Agreement, (ii) is responsible for the accuracy, quality and legality of Customer Data and the means by which Customer acquired Customer Data, (iii) will use reasonable efforts to prevent unauthorized use of the VaaS or their related systems or networks, and will notify Vendor and Polycom promptly of any unauthorized use, and (iv) will use the VaaS only in accordance with its Order, the Documentation, and applicable laws and government regulations. Customer will not (A) make the VaaS available to anyone other than Authorized Users and their conferencing participants, (B) sell, resell, rent or lease any VaaS, (C) interfere with or disrupt the integrity or performance of the VaaS or third-party data contained in the VaaS, (D) attempt to gain unauthorized access to the VaaS or its related Software, systems or networks, or (E) exceed any established usage limits for the VaaS.
Certain Obligations and Restrictions. The Company shall maintain its separate legal existence and hold itself out to the public as a separate legal entity, distinct from its Members or from any other Person and conduct its business solely in its own name and correct any known misunderstanding regarding its separate identity. In addition, the Company: (a) shall not, without the Independent Manager Consent, (i) file or consent to the filing of any petition, either voluntary or involuntary, to take advantage of any applicable insolvency, bankruptcy, liquidation or reorganization statute; (ii) seek or consent to the appointment of a receiver, liquidator or any similar official; or (iii) make an assignment for the benefit of creditors; (b) shall maintain its records, books of account, bank accounts, financial statements, accounting records and other entity documents separate and apart from those of any other Person; (c) shall continue to be duly formed, validly existing, and in good standing in the state of its formation and in all other jurisdictions where it is qualified to do business; and (d) shall observe all organizational formalities required under the Act.
