City’s Covenants. Neither City nor its Agents shall cause any Hazardous Material to be brought upon, kept, used, stored, generated or disposed of in, on or about the Premises or the Property, or transported to or from the Premises or the Property, in violation of any Environmental Laws, provided that City may use such substances in such limited amounts as are customarily used in offices so long as such use is in compliance with all applicable Environmental Laws.
City’s Covenants. The City covenants with the Tenant:
City’s Covenants. During the term of this Agreement, the City expressly waives its right to receive its share in Property Tax Increment Revenues and further agrees not to seek reimbursement of same from the Authority.
City’s Covenants. The City covenants and agrees with CSU as follows with respect to the time period between the Ef ective Date and the Closing Date:
City’s Covenants. 5.01 Prior to construction of any portion of the Project, City shall provide the County with documents evidencing title to each Site, including, but not limited to, deeds, assignments, leases, land contracts, and mortgage instruments. The documents must specify all covenants, restrictions, easements, or other encumbrances on each Site.
5.02 City warrants that it is the legal owner with good, valid, and clear title to each Site and that each Site is accurately described in Exhibit A. City shall hold harmless and defend the County against any claims, demands, penalties, fines, liabilities, settlements, damages, costs or expenses, including but not limited to, court costs and litigation expenses, known or unknown, contingent or otherwise, arising out of or in any way related to an action by a third party to quiet title in any Site described in Exhibit A.
5.03 City shall keep accurate records and account of the Project costs that shall be accessible for inspection and audit by a representative of the County.
5.04 City shall submit to the County no more frequently than once every 30 days, a certified application for reimbursement of acceptable Project costs together with all contractor and subcontractor certified invoices and any required supporting documentation for reimbursement, which shall be made upon receipt and approval of the application for reimbursement. The County is under no obligation to reimburse City for any unapproved costs or costs outside the scope of this Agreement.
5.05 City shall be responsible for financing the Project beyond the financial commitment the County has made as indicated in Section 4.01.
5.06 City shall operate and maintain improvements for public recreation, and that it shall allow each park to be open to the public on equal and reasonable terms and that no individual shall be denied ingress or egress thereto or the use thereof on the basis of sex, race, color, religion, national origin, residence, age or handicap.
5.07 City agrees that in consideration of the financial commitment that the County is providing for the Project, City shall operate each Site as a recreational facility for no less than ten
City’s Covenants. The City agrees to abide by the terms of City of Batavia Ordinance 03-06, “Ordinance Granting a Conditional Use Allowing a B-2 Central Business District Planned Development (Main and Water Residential/Commercial Development”, effective February 17, 2003. The terms and provisions of the above referenced Ordinance (the PD Ordinance) are by this reference incorporated herein and made a part hereof.
City’s Covenants. The City covenants with Licensee that the City has full right and power to execute and perform this Agreement, is a municipal corporation formed and existing under the laws of the State of New York and the individual signing this Agreement has full power and authorization to do so and to bind the City.
City’s Covenants. The City covenants with the Organizer to provide the following assistance:
a) to provide annual funding as set out in section 2.1;
b) to provide access to the City Property, waiving any associated rental fees;
c) to provide City services as described in section 4.1(l) to support the Special Event, at a cost recovery rate;
d) to help promote the Special Event through: social media; the City website; use of the signboards in front of City Hall, space permitting; and posting on video displays in the Galleria at the City’s discretion.
City’s Covenants. The City represents and warrants that it has authority under Illinois Statutes to execute and deliver and perform the terms and obligations of this Agreement.
City’s Covenants. (1) The City covenants with Big Sky as follows:
a. subject to the provisions of paragraph 10, Big Sky shall enjoy the rights granted under this Agreement throughout the Term and any extension thereof without any interruption or disturbance from the City or any other person or persons lawfully claiming by, from or under it and the City warrants its authority to grant the rights contained in this Agreement;
b. from and after such time as the Billboard has been installed, the City shall in no way hinder the visibility of the advertising display material thereon by placing or permitting the placement of other signs in front of or adjacent to the Billboard, or by any other means; and
c. during the Term, the City shall not enter into any agreement with any other party allowing that party to place electronic billboards similar to the Billboard in the City road right-of-way at the intersection of Highway 16A and Xxxxxxxx Xxxx/Campsite Road.
