COMPLIANCE WITH LAWS AND GUIDELINES. 2.1 The client shall abide by all laws, by-laws, regulations, rules, orders, directives, notices, requests prescribed by any regulators or any government agency (whether or not having the force of law) in any jurisdiction relating to : -
2.1.1 the operation of the Client’s Securities Trading Account(s) and to the Client’s trading activities
2.1.2 the provision of the Services ; and
2.1.3 all matters related to the transactions contemplated herein ; including without limitation the rules of Bursa Malaysia Sdn Bhd, rules of Bursa Malaysia Depository Sdn Bhd, rules of Bursa Malaysia Clearing Sdn Bhd, the business rules of Bursa Malaysia Derivatives Berhad, Best Practices for Shariah Investing or any regulatory bodies and authorities and includes any additions, amendments or revisions that may from time to time be introduced and enforced.
2.2 The client agrees to comply with all policies, procedures, guidelines, rules, directives and/or instructions of whatsoever nature presently and from time to time issued given, made and/or established by MSSB.
COMPLIANCE WITH LAWS AND GUIDELINES. The RECIPIENT shall comply with all federal, state, and local laws and all requirements and published guidance set forth regarding the usage of any and all monies appropriated under the ARPA.
COMPLIANCE WITH LAWS AND GUIDELINES. GSK shall use, sell, offer for sale and distribute the Product in the Territory in compliance with all applicable Laws. With respect to the use, sale, offer for sale or distribution of the Product in the USA, GSK shall use Commercially Reasonable Efforts to ensure compliance with the American Medical Association Guidelines on Gifts to Physicians from Industry, the U.S. Office of the Inspector General’s Compliance Program Guidelines for Pharmaceutical Manufacturers, the PhRMA Code, and all Accreditation Council for Continuing Medical Education guidelines, in each case as then in effect, or such other polices or procedures of such nature in accordance with GSK’s then prevailing policies.
COMPLIANCE WITH LAWS AND GUIDELINES. 1. In conclusion and performance of this Agreement and Individual Contract, Party “A” and Party “B” shall comply with laws and regulations and guidance of regulatory agencies, and obey the public order and morals.
2. Party “B” shall comply with the "Dentsu Procurement Guidelines" (hereinafter referred to as "Guidelines") that Party “A” will provide to B, and shall fulfill this Agreement and Individual Contracts.
3. If the content of this Agreement and Individual Contracts conflicts with or is likely to conflict with the preceding two paragraphs, Party “B” shall inform Party “A” and shall take appropriate measures after consultation with Party“A”.
4. In the event that the executive officer or employee of Party “A” violates laws, regulations, guidelines, etc. in transactions with Party“B”, or if there is any doubt, Party “B” shall promptly notify the fact to Party “A”.
COMPLIANCE WITH LAWS AND GUIDELINES. The SUBRECIPIENT shall at all times comply with all applicable federal, state, and local laws and all requirements and published guidance set forth regarding the usage of any and all monies appropriated under the ARPA. The SUBRECIPIENT agrees to execute any further documents necessary for this Agreement and the transfer of funds, as provided herein, to comply with any federal, state, and local laws or requirements under the ARPA.
COMPLIANCE WITH LAWS AND GUIDELINES. (a) Seller shall comply with all applicable federal, state, provincial and local laws and regulations, including, but not limited to, laws and regulations with respect to basic working conditions and human rights, slavery or human trafficking, the protection of the environment, the U.S. Occupational Safety and Health Act of 1970 (OSHA) or the Canadian Hazardous Products Act, as applicable to its activities conducted in connection with this Order. Seller hereby certifies that it is in compliance with all such laws and regulations in the production of the Products, and that the Products are compliant with all applicable laws and regulations. Furthermore, if the Products purchased herein are considered toxic or hazardous under any law or regulation, Seller shall provide a copy of the Material Safety Data Sheet (MSDS) or equivalent under non U.S. law with each shipment or as otherwise specified on this Order.
(b) Seller represents and warrants that it will act in a manner consistent with Buyer’s Business Conduct Guidelines, a copy of which is available upon request. Seller will, at minimum, have or implement appropriate systems, tools, and other necessary processes to ensure that it and its employees are trained, aware of, and comply with all applicable laws, regulations and other legal requirements as well as the general ethical business practices, including those discussed in the Buyer’s Business Conduct Guidelines.
COMPLIANCE WITH LAWS AND GUIDELINES. You represent and warrant that the Approved Use complies with any applicable laws. You further agree to follow WMF’s Trademark Policy, available at xxxx://xxxxxxxxxxxxxxxxxxx.xxx/wiki/Trademark_Policy, and Visual Identity Guidelines, available at xxxx://xxxxxxxxxxxxxxxxxxx.xxx/wiki/Visual_identity_guidelines, which WMF may amend from time to time, with regards to such use of the WMF Marks. You must further comply with the Wikimania Handbook available at xxxxx://xxxx.xxxxxxxxx.xxx/wiki/Wikimania_Handbook.
COMPLIANCE WITH LAWS AND GUIDELINES. Each party hereto shall in all material respects conform its practices and procedures relating to the marketing, detailing and Promotion of the Product in the Territory to all applicable laws, regulations and guidelines, including, but not limited to, the Federal Food, Drug and Cosmetic Act, as amended, the Prescription Drug Marketing Act, as amended, The Medicare and Medicaid Patient Protection Act of 1987, as amended, 42 U.S.C. §1320a-7b, State and Federal False Claims acts, the Generic Drug Enforcement Act of 1992 (the “Debarment Act”), as the same may be amended from time to time, and any regulations with respect to the accounting of samples of the Product, and shall immediately notify the other party of and provide the other party with a copy of any correspondence or other reports with respect to the marketing, detailing and Promotion of the Product submitted to or received from the U.S. Department of Health and Human Services or its components (including the FDA and the Office of the Inspector General), PhRMA or the AMA relating to such laws and regulations. Each party has not used and will not use, in any capacity associated with or related to the Product, the services of any persons who have been, or are in the process of being, debarred under the Debarment Act.
COMPLIANCE WITH LAWS AND GUIDELINES. The Service Provider shall procure that the Advisor performs the Services at all times in compliance with applicable law, regulatory requirements (including any requirements of stock exchanges), the articles of association of the Company, the Company’s organizational regulations, the Company’s code of business conduct and ethics and the Company’s corporate governance guidelines.
COMPLIANCE WITH LAWS AND GUIDELINES. The Subrecipient shall comply with all federal, state, and local laws and all requirements of the IGA, Interim Final Rule, and Compliance and Reporting Guidelines (attached hereto as Attachments A, B, and C). Furthermore, Subrecipient agrees to abide by any future laws or regulations which may apply to the expense of ARPA Funds.
