Compliance with Laws, Policies & Procedures. 9.8.1 The Design Professional will ascertain that all documents it prepares are in accordance with Applicable Law. 9.8.2 The Design Professional will perform all of its Services strictly in accordance with Applicable Law to the satisfaction of the unit of government having jurisdiction. 9.8.2.1 Without limiting the generality of §9.8.2, the Design Professional will comply with the provisions of all Applicable Law and all licensing requirements pertaining to any professional status they hold. The Design Professional will upon request deliver to the Owner copies of all licenses held by it or its Sub-consultants, or the employees of either of them. 9.8.2.2 If the Design Professional performs any Services or permits any Work to be performed in a manner that it knows, or should have known, to be contrary to any Applicable Law, the Design Professional will, without recovery from the Owner, assume full responsibility and will bear all attributable costs (including cost of correction and all fines and penalties). 9.8.3 If the Design Professional identifies potential non-compliance with any Applicable Law, regulations or policies in connection with its provision of the Services, the Design Professional will promptly contact the Owner’s Compliance Hotline at 000-000-0000 and provide details concerning the suspected wrongdoing sufficient to facilitate an investigation by Owner. 9.8.4 The Design Professional will be solely responsible for insuring that any recommendations made in connection with the Services comply with all applicable federal, state, local and Owner laws, rules, regulations, policies and procedures. Unless otherwise expressly provided for in this Agreement, the Design Professional will obtain and comply with all permits, licenses and similar authorizations that are necessary to provide the Services.

Compliance with Laws, Policies & Procedures. Rules & Regulations. 405 AM and all affiliated persons shall comply with District’s policies, procedures, rules, regulations, and/or guidelines, including, but not limited to the District’s policies on smoking, drug and alcohol consumption, conflict of interest, workplace harassment and violence, code of conduct, and harassment and discrimination prevention. 405 AM and all affiliated persons shall comply with all federal, state, local, and/or other applicable laws, rules, regulations, and ordinances applicable to the Property, enacted or promulgated by any public or governmental authority or agency having jurisdiction over the Property, including District, that are now and may in the future become applicable to 405 AM’s and/or its affiliates’ businesses, equipment and personnel covered by this Agreement. Additionally, 405 AM and its employees, agents, and representatives shall strictly comply with all health and safety guidelines consistent with Cal/OSHA and Centers for Disease Controls.

Compliance with Laws, Policies & Procedures. Supplier is advised that the University has established a compliance program to assure compliance with applicable laws and University policies designed to prevent and detect fraud, waste, and abuse. To the extent that University policies provide for reviews or audits of claims or services arising from this Agreement, Supplier agrees to participate in such audit insofar as it is relevant and applicable to Supplier Products and Services and Supplier Personnel’s interaction with University. If Supplier identifies potential non-compliance with any applicable laws, regulations or policies in connection with the provision of the Product and Services, Supplier shall promptly contact the University of Michigan Compliance Hotline at 000-000-0000 and provide details concerning the suspected wrongdoing sufficient to facilitate an investigation by University.
