COMPLIANCE WITH RELEVANT LAWS AND POLICIES. 11.1 In performing its obligations under the Contract, the Supplier shall comply with all applicable Laws, statutes and regulations from time to time in force.
11.2 The Customer may immediately terminate the Contract for any breach of clause 11 by the Supplier.
COMPLIANCE WITH RELEVANT LAWS AND POLICIES. 10.1 In performing its obligations under the Contract, the Supplier shall comply with all applicable laws, statutes, regulations and codes from time to time in force.
COMPLIANCE WITH RELEVANT LAWS AND POLICIES. 13.1 In performing it obligations under the Contract, the Supplier shall:
13.1.1 comply with all applicable laws, statutes, regulations and codes from time to time in force; and
13.1.2 comply with the Customer’s policies on anti-bribery, personal data and privacy, modern slavery and with The Ethical Trading Initiative (ETI) Base Code, available on the ETI website at xxxxx://xxx.xxxxxxxxxxxx.xxx/about-eti
13.2 The Customer may immediately terminate the Contract for any breach of this clause.
COMPLIANCE WITH RELEVANT LAWS AND POLICIES. 13.1 In performing your obligations under the Agreement, you will at all times:
(a) comply with all laws, regulations, regulatory policies, guidelines or industry codes which may apply to you in relation to the provision of the Goods
(b) comply with your obligations under the Mandatory Policies
(c) observe all health and safety rules and regulations and any other site security requirements that apply at any of our premises that you attend.
13.2 A breach of this clause 13 will be a material breach and we may immediately terminate the Agreement as a result.
COMPLIANCE WITH RELEVANT LAWS AND POLICIES. 14.1. In performing its obligations under the Contract, the Supplier shall:
14.1.1. comply with all applicable laws, statutes, regulations and codes from time to time in force including without limitation those applicable to environmental and health and safety matters; and
14.1.2. comply with the following mandatory policies of the Buyer:

COMPLIANCE WITH RELEVANT LAWS AND POLICIES. 11.1 In performing its obligations under the Contract, the Seller shall:
(a) comply with all applicable laws, statutes, regulations and codes from time to time in force; and
(b) comply with the Mandatory Policies (as updated from time to time).
11.2 The Purchaser may immediately terminate the Contract for any breach of clause 11.1 by the Seller.
COMPLIANCE WITH RELEVANT LAWS AND POLICIES. 12.1 In performing Your obligations under the Contract, You shall:
12.1.1 comply with all applicable laws, statutes, regulations and codes from time to time in force including any Relevant Legislation or Codes; and
12.1.2 comply with the Mandatory Policies.
COMPLIANCE WITH RELEVANT LAWS AND POLICIES. 12.1 In performing its obligations under the Supply Agreement, Dynavax and Customer shall comply with all Applicable Laws.
12.2 Dynavax shall manufacture, sample, test and store all Goods and provide a COA in accordance with the Quality Agreement.
12.3 On reasonable prior notice, Dynavax shall provide all reasonable co-operation to any inspection by any Regulatory Authority, and shall permit such Regulatory Authority access to the Dynavax CMO manufacturing site and all relevant records necessary or reasonably desirable, in each case, in support of the use of the Goods as expressly permitted by the Supply Agreement and shall share the results of such inspection promptly with Customer.
12.4 If any Regulatory Authority notifies Dynavax CMO or Dynavax of a violation or deficiency in compliance which would impact the use of the Goods as expressly permitted by the Supply Agreement, Dynavax shall share such notification with Customer within three (3) days of receipt of the same.
COMPLIANCE WITH RELEVANT LAWS AND POLICIES. 13.1 When performing its obligations under the Contract, the Supplier shall comply, and shall procure that any other person associated with the Supplier (Supplier Affiliates) complies, with (a) all applicable laws, statutes, regulations and codes from time to time in force; (b) generally applied or recognised CSR and environmental regulations, (c) the Rosti Group’s Code of Conduct and CSR policies (jointly Relevant Requirements) and (d) ensure that Supplier and Supplier Affiliates does not engage in any activity, practice or conduct which would constitute an offence under the Relevant Requirements. The Buyer may immediately terminate the Contract for any breach of clause 13.
13.2 Buyer may, directly and indirectly, conduct compliance audits at Supplier’s site at any time. Supplier shall provide Buyer reasonable access to inspect, review and audit the site(s) where the Products are tested, handled, stored, distributed, designed and/or manufactured. The Supplier shall provide such supporting evidence of compliance as the Buyer may reasonably request. Supplier agrees to cooperate and ensure traceability of Relevant Requirements, to maintain and record all traceability documentation for five years, and to provide such documentation to the Buyer upon request.
13.3 Supplier warrants that, to its knowledge, (i) no tantalum, tin, tungsten and/or gold (“Conflict Minerals”), contained in any Good, originated from the DRC or an adjoining country, unless the Conflict Minerals were processed by a facility listed as compliant pursuant to the CFSI Conflict-Free Smelter Program; and (ii) no foreign public officials as direct or indirect owners or officers or employees (politically exposed person) at the date of this agreement and will notify the Buyer of any changes of this warranty.
13.4 The Supplier shall notify the Buyer as soon as it becomes aware of any actual, potential or suspected breach whether by the Supplier or elsewhere in a supply chain which has a connection with this Contract.
13.5 The Supplier shall prepare and deliver to the Buyer, reports (signed by an authorised officer) confirming compliance with the Relevant Requirements at the Buyer’s request.
13.6 The Supplier shall indemnify the Buyer against any losses, liabilities, damages, costs (including but not limited to legal fees) and expenses incurred by, or awarded against, the Buyer as a result of any breach of the Relevant Requirements.
COMPLIANCE WITH RELEVANT LAWS AND POLICIES. 14.1 In performing its obligations under the Agreement, the Supplier shall comply with all applicable laws, statutes, regulations from time to time in force.
14.2 Breach of clause 14.1 shall constitute an irremediable material breach of the Contract.
