Computer Operation and Maintenance. 21.3.1 All IT Systems are in good working order, function in accordance with all applicable specifications, and have been and are being properly and regularly maintained and replaced. No part of the IT Systems has materially or consistently failed to function at any time during the 2 years prior to the date of this Agreement.
21.3.2 All IT Services are being and have been provided in accordance with all applicable specifications.

To the best of the Seller's knowledge no part of the It Systems has materially failed to function at any time during the five years prior to the date hereof. To the best of the Seller's knowledge maintenance providers have fulfilled their obligations in all material respects under relevant maintenance agreements in accordance with the terms of those agreements (and those terms provide for the Software concerned to be updated free of charge, for errors to be corrected and for the Software to be amended to reflect changes in the law which impact on the Software).
6.7.2 To the best of the Seller's knowledge, all IT Services are being and have been provided in accordance with all applicable specifications.
6.7.3 The Company has full and unrestricted access to and use of the IT systems, and no third party agreements or consents are required to enable the Company to continue such access and use following completion of the transaction contemplated by this agreement.
6.7.4 To the best of the Seller's knowledge the Company does not share access to any element of the IT Systems with any third party (including the Seller or any member of the Seller's Group) and the Company is not obliged to enter any agreement to share access to any element of of the IT Systems.
6.7.5 A summary of the steps the Company has taken to ensure that its business as carried on immediately prior to Completion can continue in the event of a failure of the IT Systems (whether due to natural disaster, power failure or otherwise) is contained in the Disclosure Letter.
6.7.6 To the best of the Seller's knowledge the Company is not dependent upon access to any IT Systems belonging to third parties (other than connection to the internet or such access which is required as a result of maintenance and support services provided to the Company) in order to run and maintain the IT Systems.

19.2.2 All IT Services are being and have been provided materially in accordance with the relevant IT Contract.
19.2.3 The Company has full and unrestricted access to and use of the IT Systems, and no third party agreements or consents are required to enable the Company to continue such access and use following completion of the transaction contemplated by this Agreement.
19.2.4 So far as the Warrantors are aware it is not necessary for the Company to incur as at the date of Completion any further material expenditure on the modification, development, expansion or (save in the normal course of business) replacement of the IT Systems in order to carry on its Business as at the date of Completion; and
19.2.5 The Company has not suffered material loss as a result of any virus or other extraneously-induced malfunction, and so far as the Warrantors are aware, no person has had unauthorised access to the IT Systems or any data stored thereon. The Company operates a documented procedure to minimise the risk of such infections and unauthorised access.
19.2.6 All data processed using the IT Systems and/or the IT Services has been regularly archived in hard copy form. Such hard copies have been properly stored and catalogued.
19.2.7 The Company has taken all steps reasonably necessary to ensure that its business can continue in the event of a failure of the IT Systems (whether due to natural disaster, power failure or otherwise).

(b) The Company has full and unrestricted access to and use of the IT Systems, and no third party agreements or consents are required to enable the Company to continue such access and use following completion of the transaction contemplated by this agreement.
(c) All data processed using the IT Systems and/or the IT Services has been regularly archived in hard copy form. Such hard copies have been properly stored and catalogued, and are available for inspection as required by the Company from time to time.
(d) The Company has taken all steps necessary to ensure that its business can continue in the event of a failure of the IT Systems (whether due to natural disaster, power failure or otherwise).

c. So far as CILT is aware no person has had unauthorised access to the IT Systems or any data stored thereon. Each Group Company operates a documented procedure, and has taken reasonable steps to avoid infections by viruses and unauthorised access.
d. All material data processed using the IT Systems and/or the IT Services has been regularly archived in hard copy form. Such hard copies have been properly stored and catalogued.
e. Each Group Company has taken reasonable steps to ensure that its business can continue in the event of a failure of the IT Systems (whether due to natural disaster, power failure or otherwise).
f. The Group has sufficient technically competent and trained employees to ensure proper handling, operation, monitoring and use of the IT Systems.
Computer Operation and Maintenance. 17.2.1 The webserving machines currently owned or operated by the Company are sufficient to cope with 12,000,000 page views per day and, subject to matters beyond the reasonable control of the Company, are sufficient to cope with current User demands and expected User demands in the period ending four months from the date hereof.
17.2.2 The Company has formulated strategic plans to upgrade its IT Systems which is intended to ensure that the reasonably foreseeable future demands of Users are met.
17.2.3 So far as the Warrantors are aware, all material IT Systems are in good working order, function in accordance with all applicable specifications, and have been and are being properly and regularly maintained and replaced.
17.2.4 The Company has full and unrestricted access to and use of its material IT Systems, and no third party agreements or consents are required to enable the Company to continue such access and use following Completion.
17.2.5 The Company has taken reasonable measures to prevent infection of the IT Systems owned and controlled by the Company by any virus or other extraneously-induced malfunction.
17.2.6 The Company has completed the installation of a central backup facility which ensures that all data processed using the IT Systems is regularly archived in tape form.
17.2.7 The Company has taken all reasonable steps necessary to ensure that its business can continue to operate in the event of a failure of the IT Systems (whether due to natural disaster, power failure or otherwise).
17.2.8 The Cric Info website had 591 million page views in 1999. Since the end of 1999 there has not been a material reduction in the number of page views for the Cricinfo website.

No part of the IT Systems has materially failed to function at any time during the three years prior to the date hereof that has led to or caused any material financial loss to the Business.

No part of the IT Systems has materially failed to function at any time during the five years prior to the date of this Agreement.
(B) The Group Companies have full and unrestricted access to and use of the IT Systems and no third party agreements or consents are required to enable the Group Companies to continue such access and use following Completion.
(C) There are no viruses, worms, trojan horses or other extraneously induced malfunction in the IT Systems nor are there any other defects in the same that would prevent such IT Systems from performing in all respects the tasks and functions they were intended to perform. No person has had unauthorised access to the IT Systems or any data stored on the same. Each Group Company operates a documented procedure to avoid such infections and unauthorised access.
(D) Each Group Company has maintained and protected the IT Systems with confidentiality and non-disclosure agreements and such other measures as are necessary to protect the proprietary, trade secrets or confidential information contained in the same.
(E) So far as the Warrantors are aware:
(1) it is not necessary or desirable to incur any further expenditure on the modification, development, expansion or (save in the normal course of business) replacement of the IT Systems; and
(2) the present capacity of the IT Systems is sufficient in order to satisfy the requirements of the Group Companies with regard to data processing and communications during the period ending three years from the date of this Agreement.
(F) All data processed using the IT Systems have been regularly archived either in hard copy form or on disks which in either case have been properly stored and catalogued in a secure location either on or off the Property and the same are available for inspection as required by the Group Companies from time to time.
(G) The Group Companies have taken all reasonable steps necessary to ensure that its business can continue in the event of a failure of the IT Systems (whether due to a natural disaster, power failure or otherwise).
