Consigned Materials Sample Clauses

Consigned Materials. Customer shall pay for or obtain and consign to Flextronics certain Materials for use in the Services as required by the Statement of Work that will be owned by Customer (the “Consigned Materials”). As mutually agreed, Flextronics shall buy all material to support product repair in accordance with PANW provided data, except those materials that PANW has available for consignment PANW agrees to provide Flextronics repair sites with a stock status report of materials available for consignment on a regular basis. Customer shall provide the Consigned Materials in quantities, quality and at times sufficient for Flextronics to efficiently perform the Services.
Consigned Materials. In the event Customer consigns Excess Inventory purchased by Customer to be used by Flextronics in the manufacture of the Product (“Consigned Materials”), Customer agrees to take delivery of the Consigned Materials after [*] ([*]) days. Title to Consigned Materials remains at all times with Customer and Flextronics has no obligation to purchase the Consigned Materials. All Consigned Materials are subject to a storage and handling charge of [*] percent ([*]%) of the value of the Consigned Materials per month until such Inventory is used to manufacture Products or is shipped to Customer at the end of the [*] ([*]) day period. Flextronics shall ensure that such Consigned Materials will be allocated part numbers to indicate Customer’s ownership. Flextronics will bear responsibility for any damage or loss of Consigned Materials related to nonproduction causes while they are on the premises of Flextronics. Upon reasonable notice, Customer may observe the warehouse space in which the Consigned Materials are stored.
Consigned Materials. Upon agreement with FIC, SSE may supply consigned materials to FIC. All consigned materials will be delivered to FIC in sufficient time and in sufficient quantities, including normal attrition levels, to allow FIC to meet scheduled delivery dates for the applicable Product Units. All consigned materials shall be in good condition and working order. SSE assumes liability for the quality of all consigned materials and FIC shall not be responsible for any defects or deficiencies therein prior to consigned materials undergoing FIC's receiving inspection process for cosmetic inspection or parts found to be defective based on test results.
Consigned Materials. The key starting material [***] (Siegfried Code: [***]) will be provided by ITI free of charge and delivered at least [***] prior to the start of the respective campaign.
Consigned Materials. Upon reasonable notice to A-Plus and upon the execution of an appropriate agreement, Customer may supply consigned materials to A-Plus ("Consigned Materials"). Customer shall take reasonable measures to ensure that all Consigned Materials shall be delivered to A-Plus in sufficient time and in sufficient quantities, taking into account customary attrition levels, to allow A-Plus to meet scheduled delivery dates for the applicable Products. Customer shall take reasonable measures to ensure that all Consigned Materials shall be in good condition, meet Product Specifications, be packaged in a readily usable format, and be free of any defects or deficiencies. Customer shall retain title to Consigned Materials and A-Plus shall not be obligated to purchase any Consigned Materials. Premium Charges may apply in the event of late delivery of Consigned Materials, or the delivery of defective Consigned Materials, subject to Customer's prior written approval. Except with respect to Consigned Materials, all components, other materials and equipment required in connection with the Work will be acquired or supplied by A-Plus pursuant to the Specifications. A-Plus shall bear the risk of loss for Consigned Materials that are in A-Plus' care or custody.
Consigned Materials. LARSCOM may supply certain LARSCOM components and materials (“Consigned Materials”) to Sparqtron for use in manufacturing the Products. If LARSCOM supplies Consigned Materials to Sparqtron, LARSCOM will use commercially reasonable efforts to ensure that that all Consigned Materials shall be delivered to Sparqtron in sufficient time and in sufficient quantities, taking into account mutually agreed to Attrition levels by the Parties, to allow Sparqtron to meet scheduled Delivery Dates for the applicable Products. LARSCOM will use commercially reasonable efforts to ensure that all Consigned Materials shall be in good condition, meet Products Specifications, be packaged in a readily usable format, and be free of any material defects or deficiencies. Premium Charges may apply in the event of late delivery of Consigned Materials, or the delivery of materially defective Consigned Materials, if such late delivery directly and materially impacts the original Delivery Date where such original Delivery Date is required to be maintained by LARSCOM. LARSCOM may agree to extend such Delivery Date mutually agreed to by the Parties, in which event, the Premium Charges will not apply. LARSCOM shall retain all rights, title and interest in the Consigned Materials, and the Consigned Materials shall be used by Sparqtron, without modification, unless directed in writing by LARSCOM, and used only in filling Purchase Orders from LARSCOM. Sparqtron shall bear all risk of damage or loss for the Consigned Materials until such LARSCOM’s Consigned Materials are returned to LARSCOM, or otherwise leaves the care and custody of Sparqtron at LARSCOM’s request. Sparqtron shall keep the Consigned Materials segregated from other components and materials for tracking and inventory management purposes, and to the extent practical, and shall clearly identify all Consigned Materials with “Property of LARSCOM” or a similar marking, and shall use at least the same degree of care in managing and protecting the Consigned Materials it uses in managing and protecting its own inventory, but no less care than reasonable care. LARSCOM may request to transfer certain Components to Sparqtron at cost; however, this will in good faith be separately discussed and mutually agreed to in writing. Sparqtron shall not be obligated to purchase any Excess Consigned Materials.
Consigned Materials. RFM to initially consign all Material per paragraph 2.1.3 of the Agreement. Consignment of Material may convert to purchase of some or all of the Material by Contractor at a later date per paragraph 2.1.3 and Section 4 of the Agreement. The amount of consigned Material will be matched to the amount of Product ordered by using Company’s standard yield for Product. If an additional amount of consigned Material is needed to produce ordered amount of Product due to low yields not attributable to Company, Contractor may be required to reimburse Company for the additional amount of Material needed at the cost of the Material to Company. Alternatively, Company may offset the cost of additional Material needed against amounts paid to Contractor for Services, with Contractor consent.
Consigned Materials. Consigned Materials shall not be capable of being returned for credit. Any Consigned Materials which are damaged after acceptance by Manufcaturer and before acceptance by PDI in the finished product shall the repsonsibility of the Manufacturer
Consigned Materials. Aldeburgh may consign Materials to LMIC. Materials to be consigned shall be set forth in Annex 1 to this Attachment, or as may otherwise be agreed in writing from time to time. Aldeburgh agrees that all Consigned Materials shall be delivered to LMIC in sufficient time and in sufficient quantities, and in such condition and packaging, as to enable LMIC to readily use the materials and to fulfill orders for the applicable Products in accordance with Specifications and delivery dates. Inventory of Consigned Materials shall not exceed maximum levels agreed between LMIC and Aldeburgh. Delivery of non-conforming Consigned Materials may result in delayed delivery dates and additional charges for loss of available capacity.
Consigned Materials. NetScreen may supply consigned Inventory to A-Plus ------------------- (Consigned Inventory). NetScreen agrees to deliver all consigned Inventory to A-Plus in sufficient time and in sufficient quantities to allow A-Plus to meet scheduled Delivery Dates for the applicable Products provided that A-Plus provides NetScreen written notice at least two weeks prior to the date A-Plus needs to receive such consigned Inventory that specifies the quantity of each item of Inventory to be provided. NetScreen agrees that all consigned Inventory shall be in good condition, meet the applicable Products' Specifications, be packaged in a readily usable format, and be free of any material defects or deficiencies. Premium Charges may apply in the event of late delivery of consigned Inventory or the delivery of materially defective consigned Inventory that impacts the original Delivery Date. NetScreen shall retain all right, title and interest in the consigned Inventory; and the consigned Inventory shall be used by A-Plus, without modification, unless directed in writing by NetScreen, only in filling purchase orders from NetScreen. A-Plus shall bear all risk of damage or loss for consigned Inventory until such consigned Inventory is returned to NetScreen, or otherwise leaves the care and custody of A-Plus at NetScreen's request. A-Plus shall not be obligated to purchase any excess consigned Inventory.
