Continuation of Duties. StanCOG is the successor entity to the Area Association of Governments established in 1971, insofar as its predecessor entity has been designated, and insofar as legally authorized, it shall continue to function, without interruption in its duties, as:
Continuation of Duties. Following a Termination Date, Manager shall perform all of the duties necessary pursuant to this Agreement in respect of the terminating Company and for the proper servicing of all Policies bound or written under this Agreement (the “MGA Run-Off Services”); provided, that at any time following a Termination Date, Reinsurer may, subject to the applicable Company’s consent, which consent shall not be unreasonably withheld or delayed, assume authority from the terminating Company or Companies in all matters relating to the MGA Run-Off Services, including, without limitation, the administration of the Policies and any Claims thereunder. The MGA Run-Off Services shall include, without limitation, accounting for Premiums and commissions, statistical filing, canceling Policies, non-renewing Policies, issuing mandatory endorsements, settling of balances, and administration of Claims.
Continuation of Duties. The Executive hereby agrees to continue, for so long as the Company shall desire, to serve as the named party on the liquor license relating to Xxxxxxxxxx Country Club, LLC, without additional compensation. The Company shall indemnify and hold harmless the Executive with respect to any claims, liabilities and costs (including reasonable attorney' fees) incurred in connection with the foregoing. The Executive shall periodically sign and deliver to the Company or the applicable licensing authority all documentation that is required to maintain the liquor license. The Executive also hereby agrees to continue in his capacity as the managing member of each of Miami National Golf Club, L.C., a Florida limited liability company, and California Golf Club, L.C., a Florida limited liability company, for so long as the Company shall desire, as provided in the operating agreements for these companies.
Continuation of Duties. It is understood that Xxxxxxx shall still retain her position as City Clerk. Any benefits Xxxxxxx earned or accrued as City Clerk prior to entering this Agreement, including vacation, shall not be affected by this Agreement and shall continue to accrue as if there were no lapse in service.
Continuation of Duties. The Union and the firefighters continue their willingness to perform house duties in the same manner and to the same extent as in prior years, and (2) their commitment of the firefighters to enhance their knowledge and training with respect to dealing with hazardous materials.
Continuation of Duties. Employee’s duties of confidentiality shall survive termination of Employee’s employment.
