Cooperation of Owner. Subject to the requirements and procedures of Sections 2.5.2 and 2.8, and in the case of New Investment Services Section 2.2.2 and as applicable Section 2.3.2, Owner agrees that it will take all necessary action in a prompt manner to execute any agreements with respect to the provision of Operation and Maintenance Services and Fuel Services for the Generation Facilities, and New Investment Services, as and when requested by Operator to permit Operator to carry out its authority and responsibilities pursuant to this Article 2. Operator may request Owner to furnish services or assistance, materials, supplies, licenses, offices and real property rights including, without limitation, power supply services, transmission and distribution system repair, replacement, construction and maintenance, accounting services, maintenance personnel, security services, and other personnel, services or assistance as Operator may require with respect to any one or more Generation Facilities. Any such items which Owner agrees to furnish to Operator shall be provided at cost.

Cooperation of Owner. Owner shall cooperate with Seller in connection with all activities and requirements of the Transfer Act shall permit Seller and its agents and contractors reasonable access, sufficient to timely permit Seller and its agents and contractors to take any action to, at and in connection with such portions of the Property to enable Seller to comply with the Transfer Act and complete the Remediation Work, subject to the rights of existing tenants of the Property, including, but not limited, to joining in such filings and notices required under the Transfer Act and posting such signs on the Property as are required under the Transfer Act. Seller shall give Owner reasonable prior written notice of any entry upon the Property and shall use (and shall cause its agents and contractors to use) reasonable efforts to minimize interference with the operating of the Property and the tenants and occupants thereof. At all times, Seller shall have present on the Property only such equipment, materials and personnel reasonably necessary for conducting the Remediation Work. At such time as the Remediation Work is complete, Seller shall remove any and all equipment and materials used by Seller or its agent or contractors in conducting the Remediation Work. Notwithstanding anything to the contrary herein contained, Seller shall not perform any Remediation Work on, within or under the building commonly known as 30 Xxx Xxxxxxxxx Xxxx, except for chemical or biological treatment which does not adversely affect the said building, without the prior written consent of Owner, which consent shall not be unreasonably withheld, conditioned or delayed.
Cooperation of Owner. Customer acknowledges that its full cooperation in the energy audit and retrofit process, including providing access to en- ergy billing records and those areas and systems of the Building specified above, is crucial to the success of the energy audit. Elevate Energy cannot assess the energy use or efficiency of areas or systems of the Building that are not made available for inspection.
