Data Incident. If a Data Incident is attributed to Google, Google will be liable for its own costs and expenses for its actions taken pursuant to Section 7.2 (Data Incidents) of the Data Processing Amendment. Customer will be liable for its costs and expenses incurred in investigating and remediating the Data Incident.

Data Incident. 10.1 Palantir shall notify Customer without undue delay after becoming aware of a Data Incident. For avoidance of doubt, a Data Incident shall not include acts or omissions which do not breach ▇▇▇▇▇▇▇▇’s security or the security of any Subprocessor; port scans, authorized penetration tests, and denial of service attacks; or any access to or Processing of Customer Personal Data that is consistent with Customer Instructions. 10.2 Palantir shall provide Customer with reasonable cooperation and assistance in dealing with a Data Incident, in particular in relation to (a) taking commercially reasonable steps to resolve any data privacy or security issues involving any Customer Personal Data; and
Data Incident. If either party shall be unable to perform, shall fail to perform, or shall breach the obligations set-forth in this Agreement due to a Data Incident, such party shall not be in default of this Agreement and the parties shall to work together in good faith to proceed to Closing as soon as reasonably possible. For the purposes hereof “Data Incident” shall mean the material interruption of a party’s business operations which results from any unauthorized activity taken with respect to a party’s information, data, systems, or operations, by electronic, physical, or other means.
Data Incident. 7.1 If a security incident occurs which leads to accidental or unlawful destruction, loss or alteration or to unauthorized disclosure of or unauthorized access to the Included Personal Information transmitted, stored or otherwise processed (" incident"), the Data Processor shall notify the Data Controller without unnecessary delay and at the latest 48 hours after getting to know the incident. Thereafter, the Data Processor shall assist the Data Controller with such information as may reasonably be required by the Data Controller, which The Data Controller does not possess himself, to notify the incident to the competent supervisory authority and inform the Registered.
Data Incident. 12.1 Palantir shall notify Customer without undue delay after becoming aware of (or where required by applicable Data Protection Laws) having reasonable grounds to believe that there has been a Data Incident and provide Customer with any information required to be included under applicable Data Protection Laws. For avoidance of doubt, a Data Incident shall not include acts or omissions which do not breach ▇▇▇▇▇▇▇▇’s security or the security of any Subprocessor; port scans, authorized penetration tests, and denial of service attacks; or any access to or Processing of Customer Personal Data that is consistent with Customer Instructions. 12.2 Palantir shall provide Customer with reasonable cooperation and assistance in dealing with a Data Incident, in particular in relation to (a) taking commercially reasonable steps to resolve any data privacy or security issues involving any Customer Personal Data; and (b) making any appropriate notifications to individuals affected by the Data Incident or to a Supervisory Authority to the extent reasonably possible; provided that, Customer shall maintain and follow an effective cyber incident response policy, which shall include the use of legal professional, litigation, or client attorney privilege, work in good faith with ▇▇▇▇▇▇▇▇ in relation to the Data Incident, and agree with Palantir the form and method of any public announcement in relation to the Data Incident. 12.3 Any information provided by ▇▇▇▇▇▇▇▇ pursuant to this Section 12 shall be the Confidential Information of Palantir and ▇▇▇▇▇▇▇▇’s notification of or response to a Data Incident under this Section 12 will not be construed as an acknowledgement by Palantir or, if relevant, its Subprocessors of any fault or liability with respect to the performance of any Service or Professional Services (as applicable).
Data Incident. The following apply to a Data Incident involving State Personal Data.
Data Incident a. Upon becoming aware of a Data Incident, Grammarly will: (i) notify Developer promptly, and where feasible, within 48 hours; (ii) provide timely information relating to the Data Incident as it becomes known or as is reasonably requested by ▇▇▇▇▇▇▇▇▇; and (iii) promptly take reasonable steps to contain and investigate any Data Incident. b. Grammarly’s notification of or response to a Data Incident under this Section 7 shall not be construed as an acknowledgment by Grammarly of any fault or liability with respect to the Data Incident.
Data Incident. When transferring Confidential Information pursuant to this Agreement, all communications between GSK and Adaptimmune will use encryption methods agreed to by the Parties. Upon discovering any material unauthorized disclosure, loss or theft of the disclosing Party’s Confidential Information in the receiving Party’s possession (a “Data Security Incident”), the receiving Party will send an e-mail to [***] (in the case of GSK as the disclosing Party) or [***] (in the case of Adaptimmune as the disclosing Party) notifying the disclosing Party as soon as reasonably possible. The Parties shall work with each other in good faith to identify a root cause and remediate the Data Security Incident. ​
