DEFECTIVE PRODUCTS AND SERVICES. 10.1 The Company has not manufactured or sold any products which were, at the time they were manufactured or sold, faulty defective or any product which did not comply with in all material respects:
(a) warranties or representations expressly made or implied by or on behalf of the Company; or
(b) all laws, regulations, standards and requirements applicable to the products.
10.2 No proceedings or disputes have been started, are pending or have been threatened against the Company in which it is claimed that any products manufactured or sold by the Company are defective, not appropriate for their intended use, have caused bodily injury or material damage to any person or property when applied or used as intended.
10.3 No proceedings have been started and there are no outstanding liabilities or claims pending or threatened against the Company in respect of any services supplied by the Company for which the Company is or may become liable and no dispute exists between the Company and any of its customers or clients.
DEFECTIVE PRODUCTS AND SERVICES. 9.1 The Company has not sold any products or supplied any services which were at the time they were sold or supplied, faulty or defective, or which did not or do not comply with:
9.1.1 any warranties or representations expressly or impliedly made by or on behalf of the Company in connection with such products or services; or
9.1.2 any laws, regulations, standards and requirements applicable to such products or services.
9.2 No proceedings have been started, are pending or have been threatened against the Company:
9.2.1 in which it is claimed that any product sold by the Company is defective, not appropriate for its intended use or has caused bodily injury or material damage to any person or property when applied or used as intended; or
9.2.2 in respect of any services supplied by the Company.
9.3 There are no disputes between the Company and any of its respective customers, clients or any other third parties in connection with any products or services sold or supplied by the Company.
DEFECTIVE PRODUCTS AND SERVICES. (a) The Company has not manufactured or sold any products which were, at the time they were manufactured or sold, materially faulty or materially defective or, to the Knowledge of the Company, did not comply with (i) warranties or representations expressly made or implied by or on behalf of the Company; or (ii) all laws, regulations, standards and requirements (including SBS certificates) applicable to the products.
(b) Save for the claim described on Part 2.21 of the Company Disclosure Schedule, no proceedings have been started, the Company has not received written notification of any pending or, to the Knowledge of the Company, have been threatened against the Company in which it is claimed that any products manufactured or sold by the Company are materially defective, not appropriate for their intended use or have caused bodily injury or material damages to any person or property when applied or used as intended.
(c) No proceedings have been started and there are no outstanding liabilities or claims pending or threatened against the Company in respect of any services supplied by the Company for which the Company is or may become liable and no material dispute exists between the Company and any of its customers or clients.
DEFECTIVE PRODUCTS AND SERVICES. (a) There is no claim, and there are no circumstances, and there have been no claim or circumstances in the six years prior to the date of this Deed, which may lead to any claim, against the Company for faulty, defective or dangerous goods, services, work or materials or for breach of representation, warranty or condition or for delays in delivery or completion of contracts or for deficiencies of design or performance or otherwise relating to liability for goods or services sold or supplied by or on behalf of the Company.
(b) The Company has not agreed to produce or deliver replacement goods or perform replacement or additional services after the date of this Deed or to take back any goods (whether defective or not) or reimburse the cost of any services or to effect modifications or repairs to the same free of charge or otherwise than at arm’s-length rates or to issue a credit note, money-back guarantee or write-off or reduce indebtedness in respect thereof.
DEFECTIVE PRODUCTS AND SERVICES. (i) Neither Tevva nor any of its Subsidiaries has manufactured or sold any products or supplied any services that were at the time they were manufactured, sold or supplied or are, or to the knowledge of Tevva will become, faulty or defective, or that did not or do not comply with any:
(A) warranties or representations expressly or impliedly made by or on behalf of Tevva or any of its Subsidiaries in connection with such products or services; or
(B) laws, regulations, standard and requirements applicable to such products or services.
(ii) No proceedings have been started, are pending or, to the knowledge of Tevva, have been threatened against Tevva or any of its Subsidiaries:
(A) in which it is claimed that any product manufactured or sold by Tevva or any of its Subsidiaries is defective, not appropriate for its intended use or has caused bodily injury or material damage to any person or property when applied or used as intended; or
(B) in respect of any services supplied by Tevva or any of its Subsidiaries.
(iii) There are no disputes between Tevva or any of its Subsidiaries and any of their respective customers, clients or any other third parties in connection with any products or services manufactured, sold or supplied by Tevva or any of its Subsidiaries.
DEFECTIVE PRODUCTS AND SERVICES. 10.1 Neither the Company nor its Subsidiary has received any written notice in the 12 month period preceding the date of this agreement that it has manufactured or sold any products which were, at the time they were manufactured or sold, faulty or defective or did not comply with:
(a) warranties or representations expressly made or implied by or on behalf of the Company or relevant Subsidiary; or
(b) all laws, regulations, standards and requirements applicable to the products.
10.2 So far as the Sellers are aware, no proceedings have been started, are pending or have been threatened against the Company or its Subsidiary in which it is claimed that any products manufactured or sold by the company concerned are defective, not appropriate for their intended use or have caused bodily injury or material damage to any person or property when applied or used as intended.
10.3 So far as the Sellers are aware, no proceedings have been started and there are no outstanding liabilities or claims pending or threatened against the Company or its Subsidiary in respect of any services supplied by the Company or its Subsidiary for which the Company or its Subsidiary is or may become liable and no dispute exists between the Company or its Subsidiary and any of their respective customers or clients.
DEFECTIVE PRODUCTS AND SERVICES. 10.1 Neither the Company nor, so far as the Warrantors are aware, any third party sales representative or distributor acting on behalf of the Company has manufactured, sold, promoted or marketed any products which were, at the time they were manufactured, sold, promoted or marketed, faulty or defective or did not comply in all material respects with:
10.1.1 any warranties or representations expressly made or implied by or on behalf of the Company; or
10.1.2 all laws and regulations applicable in the United Kingdom to the relevant products.
10.2 The Company has not received notification of any legal proceedings nor, so far as the Warrantors are aware, are any such proceedings pending or threatened against the Company in which it is claimed that any products manufactured, sold, promoted or marketed by the Company or on behalf of the Company are defective, not appropriate for their intended use or have caused bodily injury or material damage to any person or property when applied or used as intended.
10.3 The Company has not received notification of any legal proceedings and, so far as the Warrantors are aware, there are no outstanding liabilities or claims pending or threatened against the Company in respect of any services supplied by the Company or any third party representative or distributor of the Company for which the Company is liable and no dispute exists between the Company and any of their respective customers or clients.
DEFECTIVE PRODUCTS AND SERVICES. 10.1 No proceedings have been started, are pending or have been threatened in writing against the Company or any of its Subsidiaries: in which it is claimed that any product manufactured or sold by the Company or any of its Subsidiaries is defective, not appropriate for its intended use or has caused bodily injury or material damage to any person or property when applied or used as intended.
10.2 There are no material disputes between the Company or any of its Subsidiaries and any of their respective customers, clients or any other third parties in connection with any products or services manufactured, sold or supplied by the Company or any of its Subsidiaries.
DEFECTIVE PRODUCTS AND SERVICES. 10.1 So far as the Seller is aware, the Company has not produced or sold any products or supplied any services which were at the time they were produced, sold or supplied, faulty or defective or did not or do not comply in all material respects with:
(a) any warranties or representations expressly or impliedly made by or on behalf of the Company in connection with such products or services; or
(b) any laws, regulations, standards and requirements applicable to such products or services.
10.2 No proceedings have been started or, so far as the Seller is aware, are pending or have been threatened against the Company:
(a) in which it is claimed that any product manufactured or sold by the Company is defective, not appropriate for its intended use or has caused bodily injury or material damage to any person or property when applied or used as intended; or
(b) in respect of any services supplied by the Company.
10.3 There are no disputes between the Company and any of its customers, clients or any other third parties in connection with any products or services manufactured, sold or supplied by the Company.
DEFECTIVE PRODUCTS AND SERVICES. 10.1 So far as the Sellers are aware the Company has not manufactured or sold any products which were, at the time they were manufactured or sold, faulty or defective or did not comply with:
(a) warranties or representations expressly made or implied by or on behalf of the Company; or
(b) all laws, regulations, standards and requirements applicable to the products.
10.2 No proceedings have been issued or so far as the Sellers are aware are pending or have been threatened against the Company in which it is claimed that any products manufactured or sold by the Company are defective or have caused bodily injury or material damage to any person or property when applied or used as intended.
10.3 No proceedings have been issued and so far as the Sellers are aware there are no outstanding claims pending or threatened against the Company in respect of any services supplied by the Company for which the Company is or may become liable and no material customer dispute (being a dispute over the level or quality of goods and services provided by the Company to a customer or client) exists between the Company and any of its customers or clients.
