Delivery of Source Code. From time to time within ten (10) days of any notice by County to Contractor, Contractor shall deliver to County Project Manager, the relevant portions of the Source Code to meet County's request, as reasonably determined by Contractor but subject to County review, necessary or useful to County’s exercising of its License rights pursuant to this Paragraph 13.0 (Ownership and License).
Delivery of Source Code. Licensor shall deliver one copy of the source code of the Licensed Product to Licensee together with all comments and programmers notes. Licensee may also use the source code for any purpose consistent with Licensee's license to the Licensed Product.
Delivery of Source Code. By the end of the business day next following the date hereof, Licensor shall deliver to the Licensee those components of the Software currently prepared for delivery (including the Software described as Analyst Suite 2.9, including service packs through current service pack (SP2)) in such manner as reasonably requested by the Licensee, Licensor shall work diligently to deliver the remaining Software (including the source code with commentary, related modules, object code and related modules and documentation)components in such manner as reasonably requested by the Licensee and will in any event deliver all such components to Licensee within fourteen (14) business days of the date hereof.

Agrilink will deliver copies of the source code of the ASIS System and the Pro-Fac Securities System, as well as any associated documentation, to Pro-Fac within thirty (30) days of the date hereof, solely for Pro-Fac's use during the Support Term as permitted under Section 4, and after the Support Term as otherwise licensed or assigned under this Agreement.

4.4.1. When the Publisher first delivers the Software to the Governmental Entity;
4.4.2. Whenever Vendor delivers, provides, or makes available any Enhancements; or
4.4.3. Within five (5) business days of receiving any written notice from a Governmental Entity requesting such Source Code and Documentation. All of the rights and privileges granted under this XXXX and the Publisher’s standard contract documents or terms and conditions with respect to the Software shall apply to the Source Code and Documentation.
Delivery of Source Code. Licensor shall furnish and deliver to Licensee a complete copy of all Source Code (on a media and in an electronic format acceptable to Licensee) and updated Documentation (including any written information necessary or desirable for the maintenance, modification, compilation, and/or enhancement of the Software): (i) upon Licensee providing either Vendor or Licensor with Licensee’s written notice of Acceptance with respect to the Software, (ii) when Licensor or any Third Party delivers, provides or makes available any Enhancements to Licensee, and (iii) within five (5) business days of receiving any written notice from Licensee requesting the Source Code and Documentation. All of the rights and privileges granted under this Agreement with respect to the Software shall apply to the Source Code, and Licensee, Governmental Entities, and their Authorized Contractors shall be entitled to exercise all of such rights and privileges with respect to the Source Code, including all rights to maintain, support, modify, enhance, and prepare derivative works based upon, the Software and/or the Source Code.
Delivery of Source Code. Upon receipt by E&S of the Second Payment (defined in the Asset Purchase Agreement), E&S will deliver a copy of the Ri5000 Chipset Source Code to RealVision, which copy may be used at RealVision's principal place of business for the purposes stated in Section 4.1(d). RealVision may use, modify and prepare Derivative Works of the Source Code, but may not make, have made, distribute or sell or offer to sell products incorporating the Source Code or Derivative Works of the Source Code.
Delivery of Source Code. Upon execution of this Agreement, PhotoChannel shall cause PNI to enter into a source code escrow agreement with Wal-Mart substantially in the form attached hereto as Schedule 11.1 (the "SOURCE CODE ESCROW AGREEMENT") and upon so doing, PhotoChannel shall cause PNI to deliver the Escrow Materials to the Escrow Agent (as such capitalised term is described and/or defined in the Source Code Escrow Agreement). Upon any Update, Maintenance Update, Enhancement and/or other modification being incorporated to the Branded System, PCUploader and/or the PhotoChannel Lab System Software, PhotoChannel shall cause PNI to forthwith deliver to the Escrow Agent the Escrow Material relating to said Update, Maintenance Update, Enhancement or other modification. Should Wal-Mart obtain the Escrow Materials, as same is provided in the Source Code Escrow Agreement, PhotoChannel shall no longer be entitled to receive any fees under the terms of this Agreement. The foregoing shall be in addition to any other rights and remedies which may be available to Wal-Mart.

In the event of a Converge PSA Termination or a Converge PSA Conversion Election (as such terms are used in the Professional Services Agreement), Vert shall deliver to Converge, within 30 days thereafter, the Source Code for all Deployed Products and Deliverables in Process (including, with respect to Trade Secret Modules, either the Source Code for such Trade Secret Modules or their corresponding API Documentation) to the extent such Source Code is owned by VNI or any of the VNI Subsidiaries. Thereafter, Vert shall deliver to Converge the Source Code for all Deployed Product Upgrades (including, with respect to Trade Secret Modules, either the Source Code for such Trade Secret Modules or their corresponding API Documentation) that Vert makes generally available during the remainder of the three-year period commencing on the Effective Date, to the extent such Source Code is owned by VNI or any of the VNI Subsidiaries. Each such delivery of the Source Code for Deployed Product Upgrades shall occur within 30 days after Vert makes such Deployed Product Upgrades generally available, whether as part of an Update or Enhancement or otherwise. In the event Vert contests the occurrence of the Event of Default underlying the Converge PSA Termination Event or the Converge PSA Conversion Election, the matter shall be resolved as expeditiously as possible in accordance with the dispute resolution provisions of the Professional Services Agreement and no delivery of Source Code hereunder shall occur until such time as the matter is resolved.
