Fixed Price Services. If Fixed Price Services are to be provided, describe the service, the category of service it falls into (consult Exhibit D for approved Service Types), the price, quantity, and subtotal. Fixed Price Services are approved on a Project by Project basis by the Judicial Council Project Manager.
Fixed Price Services. (if applicable) with the description, price, quantity, and subtotal using the same language as provided in the Service Work Order;
Fixed Price Services. Where the Services are to be delivered at a fixed-price and/or within a fixed time limit, cf. Appendix A and C, Delivery shall be made at the prices stated in Appendix C and with- in the time limit stated in Appendix A and C, respectively.
Fixed Price Services. The price to Customer for fixed-price Services will be as set forth in the respective SOW. Unless otherwise expressly stated in each applicable SOW: (i) all Service fees are quoted on a monthly basis, and Customer shall pay such Service fees regardless of temporary planned or unplanned Customer site closures; (ii) all prices stated in the SOW will be subject to an annual review and increase, effective January 1 of each calendar year for the duration of the Services engagement; and (iii) overtime that is approved by Customer will be billed to Customer at the hourly overtime rate set forth in the applicable SOW. All monthly Services fees are due in full regardless of whether VWR on-site employees or subcontractors were present at Customer’s site(s) each day (or each hour of each day) for the applicable month that is being invoiced, provided that the Services in any applicable SOW have otherwise been materially performed. Additional Services or change in scope in any applicable SOW(s) may require additional resources to meet the appropriate service level. In the event that additional resources are needed, the parties will review the applicable SOW and negotiate the scope of the Services performed and/or any Services cost increase. The fees and charges for any follow-on or additional work not described in the applicable SOW will be performed at VWR's then-current rates for such work.
Fixed Price Services. Where Labour is to be provided on the basis of a fixed price for a particular project or piece of work, Keyloop will Charge Customer for the agreed cost irrespective of the number of days or hours expended. Keyloop may Charge Customer on a time and materials basis for additional time spent by Keyloop Personnel as a result of any failure or delay by Customer in complying with its obligations under the Contract or any agreed project plan and for any additional Services performed outside the originally agreed scope of the project.
Fixed Price Services. The Supplier may at its option agree to perform Services on a fixed fee basis from time to time, subject to certain conditions including but not limited to: ▪ the scope of the work is measurable and clearly defined ▪ there are no dependencies on the performance of Purchaser or third party products or services ▪ Supplier personnel can work efficiently and are not disrupted by delays on the part of the Purchaser or third parties. Where the Supplier has agreed to perform Services on a fixed fee basis this will be documented in Schedule 3. The conditions herein and in Schedule 3 shall apply. If at any time during the engagement the Supplier reasonably determines that (i) Purchaser is not fulfilling its responsibilities and obligations as described in the Agreement; or (ii) Purchaser’s staffing and/or resources dedicated to the implementation do not meet the requirements set forth in the Agreement, then Supplier shall provide written notice that details these exceptions. Purchaser will have 20 working days from its receipt of the notice to remedy the exceptions. If the Purchaser fails to rectify such failure within 20 working days, then the Supplier will be entitled, at its option, (a) to suspend its performance under this Agreement until the matter is rectified, and/or (b) to provide services to complete the Contract on a time and expense basis from the point of suspension. The Purchaser will, in either case, pay the Supplier all outstanding monies due in respect of all Deliverables supplied up to the point of suspension. This clause is subject to Dispute Escalation and Expert Resolution in accordance with clause 9 of this Agreement.
Fixed Price Services. Services Billing Rate
Fixed Price Services. Subject to Paragraph 6.0 (Change Notices, Change Orders and Amendments), upon the written request of County Project Director made at any time, and from time to time during the Term, Contractor shall provide to County “Fixed Price Services” requested by County Project Director, including (i) Software Modifications for creating new functionality, and customizations, modifications and custom interfaces not required prior to the Pilot System Acceptance, and (ii) Professional Services, including consulting and training, outside the scope of Tasks 1 through 8 of Exhibit B (Statement of Work) and the Maintenance and Support obligations of Contractor. Fixed Price Services shall utilize and be capped by the available Pool Dollars. In no event shall County be obligated to pay in excess of the then available Pool Dollars for Fixed Price Services, nor shall Contractor be required to perform any Fixed Price Services for which there are no Pool Dollars available to pay Contractor.
Fixed Price Services. The Consultant shall provide the Fixed Price Services [TO BE INSERTED ON A SCHEDULE OR INCLUDED BELOW CONSISTENT WITH THE RFP].
Fixed Price Services. Maintenance Services, which are subject to a fixed price as per Article XI.1.1, shall be invoiced with the following schedule;
i) [****] of the fixed price shall be invoiced upon signature of the Order by both parties. In the event that the aircraft downtime is less than five (5) days, the [****] of the fixed price amount shall be invoiced upon signature of the Order by both parties.
ii) Remaining balance of the fixed price shall be invoiced five (5) days before the completion date of the Maintenance Services as specified in the order, or five (5) days before the actual Aircraft re-delivery, whichever is earlier.
