Device Inspection. DTLA may acquire products distributed hereunder on the open market for examination. Adopter shall provide reasonable cooperation in affording DTLA an example of any product distributed hereunder if requested, and Adopter shall provide, once per model of product, and under the terms of a non-disclosure agreement equivalent to that document referred to by DTLA as the Evaluation NDA, the service manual for such product in order to assist in evaluation of it. Adopter may, at its option provide further information.

Device Inspection. AACS LA or any Eligible Content Participant may acquire products distributed under any Adopter Agreement on the open market for examination. Pursuant to and subject to all of the conditions corresponding to Section 9.2 of the Form Adopter Agreement, any Eligible Content Participant that reasonably and in good faith believes that a particular Implementation designed or manufactured by an Adopter is in breach of its Adopter Agreement, shall have the ability to provide notice to the Adopter of that fact and require reasonable cooperation in affording an independent expert designated by the Eligible Content Participant and acceptable to Adopter (which acceptance shall not be unreasonably withheld) an example of any product distributed hereunder, including the service manual for such product and any further details necessary for the independent expert to determine whether Adopter’s product is in compliance with the Agreement. Nothing in this Section 10.11 shall grant a license or permission for AACS LA or any Licensor, Eligible Content Participant or Eligible Adopter, or expert to take any actions or make use of information resulting from such examination or evaluation for any purpose other than for verifying and enforcing, compliance with the terms of this Agreement. For the avoidance of doubt, experts may be engaged in connection with enforcement actions, but have no rights to initiate, or otherwise act on their own accord in, any enforcement action. AACS LA or any Licensor or Eligible Content Participant, or expert that may participate in the examination of one or more of an Adopter’s products may otherwise use and disclose in its business the increased or enhanced knowledge retained in the unaided memories of its directors, employees, agents, or contractors as a result of exposure to such products of such Adopter or the details provided hereunder and any increased experience that results from such exposure. No Party shall have any rights in any business endeavors of any other Party that may use such knowledge and experience nor any right to compensation related to AACS LA’s or any Licensor’s, Eligible Content Participant’s or expert’s use of such knowledge and experience.

Adopter shall provide reasonable cooperation in affording Licensor a sample of any product distributed hereunder if requested by Licensor, and Adopter shall provide Licensor, once per model of product under the terms of a mutually acceptable non- disclosure agreement, the service manual for such product in order to aid Licensor in evaluation of such product. Adopter may, at its option, provide additional information. Nothing in this Section 11.3 shall grant a license or permission for Licensor to decompile or disassemble software code in Adopter’s products.

Pursuant to and subject to all of the conditions corresponding to Section 9.2 of the Attached Adopter Agreement, any Eligible Content Participant that reasonably and in good faith believes that a particular model or version of a Licensed Product designed or manufactured by an Adopter is in breach of its Adopter Agreement, shall have the ability to provide notice to the Adopter of that fact and require reasonable cooperation in affording an independent expert designated by the Eligible Content Participant and acceptable to Adopter (which acceptance shall not be unreasonably withheld) an example of any product distributed hereunder, including the service manual for such product and any further details necessary for the independent expert to determine whether Adopter’s product is in compliance with the Interim Agreement.
Device Inspection. Final Offers. When selling your Device to Trademore, your Device must be received by Trademore within 30 days after you accept the initial offer provided by Trademore on the Trademore Website (the "Offer Period") or the offer will automatically expire. You must use and follow the packing and shipping instructions provided to you by Trademore to avoid possible delays in processing, damage to or loss of the Device. Trademore will inspect all Devices you send us and reserves the right to reject the Device, including without limitation, because the Device does not conform to the description you provided during your transaction on the Trademore Website, the Device is modified such that it no longer conforms to the original factory specifications, the Device no longer complies with applicable laws or regulations (such as FCC rules) and/or the Device is damaged or lost in transit. If Trademore rejects the Device for any reason, including the above reason(s), the initial offer will automatically expire. Trademore reserves all rights to revoke the initial offer and make an adjusted offer for the Device in the event (a) the Device and/or included accessories and materials are not as described, (b) the Device is received by Trademore after the Offer Period, and/or (c) Trademore receives Device(s) not matching those identified by you in your transaction(s) on the Trademore Website. To the extent Trademore makes an adjusted offer for your Device, you will be given five (5) days from the date of that offer to accept or reject the adjusted offer. If you reject the adjusted offer, or do not accept it during that five (5) day period, the adjusted offer will automatically cancel and the Device will be returned to you. The amount paid to you, if any, will reflect the value of the initial offer or any adjusted offer accepted by you on the Trademore Website.
Device Inspection. Motorola may acquire products distributed hereunder on the open market for examination. Adopter shall provide reasonable cooperation in affording Motorola an example of any product distributed hereunder if requested, and Adopter shall provide, once per model of product, and under the terms of a non-disclosure agreement equivalent to the confidentiality provisions of section 7.1 of this agreement, the service manual for such product in order to assist in evaluation of it. Adopter may, at its option provide further information.
