Director's services. (A) Without prejudice to the generality of Clause 3, the Director shall during his Appointment under this Agreement :-
(1) devote his knowledge, skill, expertise, attention and time both during normal business hours and at such other times as are necessary for the proper and efficient conduct of the Business (subject to appropriate holidays and vacations as herein provided) and for the proper discharge of duties of his office an executive officer or in such positions as may be assigned to the Director from time to time at the discretion of the Board;
(2) faithfully and diligently perform such duties and exercise such powers as are consistent with his office in relation to the Company and/or the Group;
(3) in the discharge of such duties and in the exercise of such powers observe and comply with all reasonable and lawful resolutions, regulations and directions from time to time made or given by the Board in connection with the conduct of the Business according to the best of his skills and ability;
(4) in pursuance of his duties hereunder perform such services for the Group and (without further remuneration unless otherwise agreed) accept such offices in the Group as the Board may from time to time reasonably require provided the same are consistent with his office;
(5) at all times keep the Board promptly and fully informed (in writing if so requested) in connection with the performance of his powers and duties and in connection with the Business or affairs of the Group;
(6) perform the duties and exercise the powers in his capacity as an executive officer of the Company or in such positions which the Board may from time to time properly assign to him in connection with the Business subject to such resolutions, regulations or directions as to the scope of his duties or authority or manner of carrying out the same as may be made or given by the Board from time to time;
(7) comply with (a) every rule of law applicable to any member of the Group whether in British Virgin Islands, the People's Republic of China or elsewhere; (b) the SEC Rules; (c) every regulation of the Company from time to time in force (including but not limiting to the memorandum and articles of association); (d) the Nasdaq Rules (f) all other relevant securities regulations from time to time in force, in relation to dealings in shares or other securities of the Company or any other member of the Group, and in relation to the discharge of his functions and duties as a director of the Compa...
Director's services. So long as she shall continue to be a director of the Bank, the Director shall devote her best efforts to the performance of his duties as member of the Board of Directors and of any of its committees to which she is appointed.
Director's services. (a) UMC hereby authorizes Director on a non-exclusive basis to solicit hospitals, physicians, clinics, and other healthcare providers in PUERTO RICO AND THE U.S.V.I (the "Sales Area") to use the UMC Services, to assist UMC in entering into contracts with solicited hospitals and clinics to provide the UMC Services, and to support UMC in maintaining its business relationships with solicited hospitals and clinics. Director acknowledges UMC may itself market the UMC Services within the Sales Area, and that UMC has the right to enter into agreements with others, including sales agents, for the sale of the UMC Services within the Sales Area.
(b) Director agrees to comply with all of UMC's procedures, as they may change from time to time. To that end, Director will refer potential customers it solicits to UMC in accordance with UMC's standard procedures, and all contracts with such customers for the UMC Services shall be entered into by UMC and shall be on UMC's authorized contract form, as such form may change from time to time. Director agrees to describe UMC and the UMC Services to potential customers in a complete and accurate manner, including, without limitation, accurately presenting UMC's established prices, specifications, policies, terms and conditions, all of which Director understands may be changed by UMC from time to time at its discretion.
(c) Director's performance hereunder shall be evaluated on a quarterly basis to determine the total revenues derived by UMC from customers sold by or with assistance from Director. The Compensation Committee of the UMC Board of Directors shall be responsible for awarding shares of UMC Common Stock, awarding exercisable UMC Common Stock Purchase Warrants, and/or authorizing the payment of cash commissions (collectively "Compensation") to Director consistent with the terms of this agreement.
Director's services. Director shall provide general consulting services to Company (the "Services") as a member of its Board of Director to include:
a. Attending and participating an annual Board of Directors meeting (the meeting to last approximately two (2) days including travel; date, time and other details to he mutually agreed upon by the parties);
b. Attending (in person or telephonically) three (3) regular meetings of the Board of Directors (each meeting to last approximately 1/2 day: date, time and location to be mutually agreed upon by the parties):
c. Participating in conference calls with the Directors, the Company's executives and/or senior staff on an "on-call" basis during normal business hours: and
d. Responding promptly to any phone calls or emails sent by the Company's executives and/or senior staff
Director's services. Executive is currently acting as a director on Company's Board. Neither DPL nor Executive shall be separately compensated for Executive's director services, and Executive's director services shall be deemed fully compensated by the compensation provided to DPL and/or Executive hereunder.
Director's services. So long as the Director shall continue to be a director of the Company the Director shall devote best efforts to the performance of duties as a member of the Board of Directors and of any of its committees to which the Director is appointed.
Director's services. The Director agreed to perform certain duties on behalf of the Company on and subject to the terms of this Agreement. Such duties included the following:-

(a) UMC hereby authorizes Director on a non-exclusive basis to solicit hospitals, physicians, clinics, and other healthcare providers in TEXAS (the "Sales Area") to use the UMC Services, to assist UMC in entering into contracts with solicited hospitals and clinics to provide the UMC Services, and to support UMC in maintaining its business relationships with solicited hospitals and clinics. Director acknowledges UMC may itself market the UMC Services within the Sales Area, and that UMC has the right to enter into agreements with others, including sales agents, for the sale of the UMC Services within the Sales Area.
(b) Director agrees to comply with all of UMC's procedures, as they may change from time to time. To that end, Director will refer potential customers it solicits to UMC in accordance with UMC's standard procedures, and all contracts with such customers for the UMC Services shall be entered into by UMC and shall be on UMC's authorized contract form, as such form may change from time to time.
Director's services. The Director shall:-
(1) devote substantially the whole of his time, attention and skill to the discharge of duties of his office as a Chief Executive Officer of the Company;
(2) faithfully and diligently perform such duties and exercise such powers as are consistent with his office in relation to the Company and/or the Group;
(3) in the discharge of such duties and in the exercise of such powers observe and comply with all reasonable and lawful resolutions regulations and directions from time to time made or given by the Board;
(4) in pursuance of his duties hereunder perform such services for the Group and (without further remuneration unless otherwise agreed) accept such offices in the Group as the Board may from time to time reasonably require provided the same are consistent with his office;
(5) at all times keep the Board promptly and fully informed in connection with the performance of such powers and duties;
(6) as part of, and in the normal course of, his duties under this Agreement the Director will be concerned to carry on research into and development of the processes, products, designs, equipment, techniques and projects from time to time used, made or undertaken by the Group or which can be used, made or undertaken by the Group, and to invent, discover, design, develop or improve processes, products, designs, equipment and techniques for the benefit of and for use by the Group; and
(7) carry out his duties and exercise his powers jointly with another director or executive as may from time to time be appointed by the Board to act jointly with the Director and the Board may at any time require the Director to cease performing or exercising any of his duties or powers under this Agreement or pursuant to the bye-laws of the Company; and
(8) perform and exercise his duties and powers under this Agreement in any place in Hong Kong or any other part of the world as the Board may request or as the interests, needs, business and opportunities of the Company or other company in the Group will require or make advisable.
Director's services. The Director shall:-
(A) devote his full time, attention and skill to the discharge of duties of his office as ‘Man aging Director of the Companies;
(B) faithfully and diligently i such duties and exercise such powers as arc consistent with his office in relation to the Companies and/or the Group;
(C) in the discharge of such duties and in the exercise of such powers observe and comply with all reasonable and lawful resolutions, regulations and directions from time to time made or given by the Board;
(D) in pursuance of his duties hereunder perform such services for the Group and (without further remuneration unless otherwise agreed) accept such offices in the Group as the Board may from time to time reasonably require; and
(E) at all times keep the Board promptly and fully informed of his conduct of the Business of the Companies or any company in the Group.
