DISCONTINUATION OF PRODUCTION. In the event that Owner wishes to discontinue or reduce the production of Ethanol, Owner will notify Marketer one (1) year in advance of Owner's decision so that all contract commitments made by Marketer for Owner may be met. If less than one (1) year notice of discontinuance or reduction of production is provided to Marketer, or if unforeseen circumstances cause Owner to cease or reduce production at its plant, Owner grants to Marketer the power to buy in Ethanol short falls for the account of the Owner on any unfilled contracts, and that any associated losses will be reimbursed by Owner to Marketer.
DISCONTINUATION OF PRODUCTION. In the event that Company wishes to discontinue or reduce the production of DDGS, Company will notify Marketer one year in advance of Company's decision so that all contract commitments made by Marketer for Company may be met. If less than one year notice of discontinuance or reduction of production is provided to Marketer, or if unforeseen circumstances cause Company to cease or reduce production at its plant, Company grants Marketer the power to buy in DDGS shortfalls for the account of the Company on any unfilled contacts, and any associates losses will be reimbursed by Company to Marketer.
DISCONTINUATION OF PRODUCTION. In addition to any other notices that may be required in connection with termination of this Agreement by Seller, Seller shall provide notice of either at least [*] for Committed Products or [*] for Optional Products (plus the lead time specified in Exhibit B) prior to the discontinuation of production of a Product. The amount of notice per Product is specified in Exhibit B. If Seller ceases production or acquisition of a Product, during the notice period, AT&T may, at its option, provide Seller with a reasonable forecast of ongoing requirements of Product for the remainder of the notice period. This Product availability requirement shall survive the term and any termination of this Agreement.
DISCONTINUATION OF PRODUCTION. If Supplier intends to discontinue production of a Product, Service Parts or Disposables, Supplier will inform Distributor thereof in writing at least twelve (12) months prior to the date of the planned production stop. Distributor may place an end-of-life Purchase Order for the Products in such quantity as Distributor may reasonably require, and Supplier will accept such Purchase Order at a price agreed upon by the Parties which will not be higher than the Price directly preceding the notification of production stop.

DISCONTINUATION OF PRODUCTION. 4.2.1 Subject to the forecasting and delivery requirements and obligations outlined in this Agreement, Supplier agrees to provide the Product in accordance with the terms of this Agreement of (i) in respect of the Product during the Term of this Agreement, unless the Agreement is partially terminated pursuant to clause 14.1.1 with respect to that Product, to the extent such partial termination is provided for hereunder; and (ii) during the Term, in respect of Consumables, for a period of two (2) years after last shipment of the relevant Product to Buyer under this Agreement.
DISCONTINUATION OF PRODUCTION. 9.1 In the event SMI cannot consume all processed wafers, TEMIC will stop production immediately upon written notice of SMI and advice the work-in-process status to SMI. (a) For any wafers due for delivery in less than 8 weeks, irrespective of the state of completion and in addition to the charges under (b), (c) and (d) below [***]

(d) For any wafers processed beyond Metal [***] The percentages relate to the wafer prices per Exhibit A. The quantities in steps (b), (c) and (d) have to relate reasonably to the total quantity of wafers ordered.
9.2 TEMIC agrees to provide up to [***] wafers to SMI upon notification that TEMIC will obsolete or upgrade its wafer fabrication process. TEMIC will provide notification at least 6 months in advance prior to time of obsolescence or major process change. Delivery of wafers ordered under this provision will be at a mutually agreeable rate.
9.3 1 year after the final production, TEMIC may scrap the masks or send the masks to SMI on SMIs request.
DISCONTINUATION OF PRODUCTION a. SPECTRIAN agrees, upon notification to SMI that SPECTRIAN will render obsolete or make a major fab process change, close the wafer fab, or change ownership, to make available for purchase at the option of SMI that quantity of wafers equal to SMI's past purchases or reasonably anticipated future purchases under this Agreement, as the case may be, over a five (5) year period of time. SPECTRIAN will provide notification at least 12 months in advance of time of obsolescence or major process change. Delivery of wafers ordered under this provision will be at a mutually agreeable rate but shall in no case extend over a period greater than 12 months.
DISCONTINUATION OF PRODUCTION. 8.1 In the event SMDI cannot utilize all processed wafers, GCS will stop production immediately upon written notice of SMDI and advise the work-in-process status to SMDI. 8.2 GCS agrees to provide to SMDI a five (5) year lifetime buy option upon notification that GCS will obsolete or upgrade its wafer fabrication process. GCS will provide notification at least six (6) months in advance prior to time of obsolescence or major process change. Delivery of wafers ordered under this provision will be at a mutually agreeable rate.
8.3 One (1) year after the final production, GCS may scrap the SMDI masks or send the masks to SMDI.
DISCONTINUATION OF PRODUCTION. If the Seller shall, at any time during the validity of this Agreement or thereafter, discontinue to manufacture any specific Products, a notice to this respect must be given to the Buyer and Nokia [*] prior to the intended date of discontinuation, in order to give the Buyer a chance to place an end-of-life order before the discontinuation. Such Products shall be delivered in one or more partial deliveries in accordance with the Buyer's instructions within [*] from the order date.
