DISCONTINUATION OF PRODUCTION. In the event that Owner wishes to discontinue or reduce the production of Ethanol, Owner will notify Marketer one (1) year in advance of Owner's decision so that all contract commitments made by Marketer for Owner may be met. If less than one (1) year notice of discontinuance or reduction of production is provided to Marketer, or if unforeseen circumstances cause Owner to cease or reduce production at its plant, Owner grants to Marketer the power to buy in Ethanol short falls for the account of the Owner on any unfilled contracts, and that any associated losses will be reimbursed by Owner to Marketer.
DISCONTINUATION OF PRODUCTION. In the case that owner wishes to discontinue the production of DDGS, Owner will notify Marketer one year in advance so that all contract commitments made by Marketer may be met. If less than one year notice of discontinuation of production is provided to Marketer, or if unforeseen circumstances cause the cease of production, Owner grants Marketer the right to buy in product shortfalls for the account of owner on any unfilled contracts, and that any associated losses will be reimbursed by Owner to Marketer.
DISCONTINUATION OF PRODUCTION. If Supplier intends to discontinue production of a Product, Service Parts or Disposables, Supplier will inform Distributor thereof in writing at least twelve (12) months prior to the date of the planned production stop. Distributor may place an end-of-life Purchase Order for the Products in such quantity as Distributor may reasonably require, and Supplier will accept such Purchase Order at a price agreed upon by the Parties which will not be higher than the Price directly preceding the notification of production stop.
DISCONTINUATION OF PRODUCTION. In addition to any other notices that may be required in connection with termination of this Agreement by Seller, Seller shall provide notice of either at least [*] for Committed Products or [*] for Optional Products (plus the lead time specified in Exhibit B) prior to the discontinuation of production of a Product. The amount of notice per Product is specified in Exhibit B. If Seller ceases production or acquisition of a Product, during the notice period, AT&T may, at its option, provide Seller with a reasonable forecast of ongoing requirements of Product for the remainder of the notice period. This Product availability requirement shall survive the term and any termination of this Agreement.
DISCONTINUATION OF PRODUCTION. 9.1 In the event SMI cannot consume all processed wafers, TEMIC will stop production immediately upon written notice of SMI and advice the work-in-process status to SMI. In lieu of paying the order value for completed wafers, the following compensation may be calculated: [***] Certain information on this page has been omitted and filed separately with the Commission. DISCONTINUATION OF PRODUCTION a. SPECTRIAN agrees, upon notification to SMI that SPECTRIAN will render obsolete or make a major fab process change, close the wafer fab, or change ownership, to make available for purchase at the option of SMI that quantity of wafers equal to SMI's past purchases or reasonably anticipated future purchases under this Agreement, as the case may be, over a five (5) year period of time. SPECTRIAN will provide notification at least 12 months in advance of time of obsolescence or major process change. Delivery of wafers ordered under this provision will be at a mutually agreeable rate but shall in no case extend over a period greater than 12 months.

DISCONTINUATION OF PRODUCTION. 4.2.1 Subject to the forecasting and delivery requirements and obligations outlined in this Agreement, Supplier agrees to provide the Product in accordance with the terms of this Agreement of (i) in respect of the Product during the Term of this Agreement, unless the Agreement is partially terminated pursuant to clause 14.1.1 with respect to that Product, to the extent such partial termination is provided for hereunder; and (ii) during the Term, in respect of Consumables, for a period of two (2) years after last shipment of the relevant Product to Buyer under this Agreement.
DISCONTINUATION OF PRODUCTION. 8.1 To be effective only after the Exclusive Supply Term, except in the case of Aerogen’s Termination for Cause as described in Article 10.4, if Aerogen intends to discontinue production of the Device Proprietary Components, Aerogen will inform Dance thereof in writing at least eighteen (18) months prior to the date of production stop. Dance may place an end-of-life Purchase Order for Device Proprietary Components in such quantity as Dance may reasonably require, and Aerogen will accept such Purchase Order at a price agreed upon by the parties which price will be no higher than the then prevailing Price.
DISCONTINUATION OF PRODUCTION. Distributor acknowledges that Cyberonics reserves the right to discontinue the manufacture, production or distribution of products (including the “Products”) subject to Section 3.4. To the maximum extent practicable, Cyberonics agrees to give Distributor at least one (1) year advance written notice of any such decision and shall continue to provide Distributor with repair service, service parts or any other products necessary for after-sales service to the discontinued “Products” for six (6) years after Cyberonics discontinued any “Products.” In addition, if Cyberonics changes any specifications of any “Products” that relate to the “Products” safety or effectiveness , Cyberonics shall provide Distributor with as much prior notice as is practicable, endeavoring to give Distributor at least six (6) months prior written notice.
