Discretionary Cash Bonus. Executive shall be eligible for a discretionary cash bonus (“Cash Bonus”) equal to an amount as determined by the Compensation and Nominating Committee of the Board of Directors (the “Committee”) and shall be based on the condition of Employer’s business and results of operations, the Committee’s evaluation of Executive’s individual performance for the relevant period, and the satisfaction of goals that may be established by the Committee. Each Cash Bonus shall be paid in the Committee’s discretion.
Discretionary Cash Bonus. Executive shall be eligible for a discretionary cash bonus (“Cash Bonus”) equal to an amount as determined by the Compensation and Nominating Committee of the Board of Directors of Company (the “Committee”), in its discretion. The Cash Bonus shall be based on the Committee’s evaluation of the condition of Company’s business, the results of operations, Executive’s individual performance for the relevant period, the satisfaction by Executive or Company of goals that may be established by the Committee, or any combination thereof, as the Committee may decide in its sole discretion. Each Cash Bonus shall be paid on such date as determined by the Committee, but no later than seventy five (75) days after the end of the calendar year in which the Cash Bonus is approved by the Committee.
Discretionary Cash Bonus. A cash bonus payable to the Executive at such times and in such amounts as the Company may, in its sole discretion, determine.
Discretionary Cash Bonus. Executive shall be entitled to periodic cash bonuses in the sole discretion of the Company's Compensation Committee.
Discretionary Cash Bonus. Subject to the recommendation of the Company’s chief executive officer, but in the sole and absolute discretion of the Board or the Compensation Committee of the Board, the Company may award Employee a discretionary cash bonus of up to a maximum of twelve and one-half (12.5%) percent of the Employee’s Calendar Year Base Salary for each calendar year during the Term (“Discretionary Cash Bonus”). Any Discretionary Cash Bonus awarded by the Company to Employee hereunder shall be paid within ten (10) days after the filing by the Company of its 10-K for the relevant year.
Discretionary Cash Bonus. Executive shall be entitled to periodic cash bonuses of a minimum of 25% of base salary, payable on January 1 of each year of the Term with the ability to earn additional discretionary bonuses at the sole discretion of the Company’s Compensation Committee.
b. Subsection (c) of Section 4 of the Agreement is hereby amended in its entirety to read as follows:
Discretionary Cash Bonus. The Board reserves the discretion to award a supplemental cash bonus in fiscal year 2002 based on your performance in the event the targets set forth above are not met due to the uncertainty of the times.

The Cash Bonus shall be based on the Employer or Company’s evaluation of the condition of Company’s business, the results of operations, Employee’s individual performance for the relevant period, the satisfaction by Employee or Company of goals that may be established by the Employer or Company, or any combination thereof, as the Employer or Company may decide in its sole discretion. Each Cash Bonus shall be paid on such date as determined by the Employer or Company.
Discretionary Cash Bonus. The Executive shall be eligible to receive a bonus determined in the sole discretion of the Board and which shall be subject to all applicable withholding requirements.
Discretionary Cash Bonus. In addition to the Base Salary, at the end of each fiscal year (defined by the Company as January 1 through December 31) of the Term, Executive shall be eligible (but not necessarily entitled) to receive a cash bonus (the “Discretionary Cash Bonus”), due and payable in cash on the date on which the Compensation Committee or the Board of Directors determines and formally declares its amount (if any). The amount (if any) of the Discretionary Cash Bonus for any particular fiscal year of the Term shall be determined and formally declared (if at all) by the Compensation Committee or the Board of Directors by no later than December 31 of that fiscal year. To be eligible to receive the Discretionary Cash Bonus (if any), Executive must be an employee of the Company on December 31 of that fiscal year. In making such determination (if at all), the Compensation Committee or the Board of Directors may consider, among other factors, Executive’s overall performance, the extent to which the Company achieved its major objectives during the fiscal year and the extent to which Executive contributed toward the achievement of such objectives. In no event shall Executive be entitled or be deemed to be entitled to any Discretionary Cash Bonus, and in no event shall any amount of any Discretionary Cash Bonus have accrued or be deemed to have accrued, until the Compensation Committee or the Board of Directors has determined the amount of such Discretionary Cash Bonus and formally declared it. The decision to award a Discretionary Cash Bonus is to be made in the sole and absolute discretion of the Compensation Committee or the Board of Directors.
