Duties of Seller. Seller shall be responsible for the design and/or manufacture of the products and spare parts in accordance with the requirements set out in the Purchase Agreement. All materials shall be supplied by Seller with exceptions of those mutually agreed upon between Seller and Xxxxx. Seller shall submit to Buyer a planning schedule, based on Buyer’s data requirements. Seller will make available products as specified in the Purchase Order for inspection and final acceptance in the First Article Inspection at least one (1) week prior to the ExWorks (EXW) (Incoterms 2010) delivery date. All other deliveries of Seller shall be performed according to the delivery schedule defined in the Purchase Agreement. The acceptance and the acceptance procedure will be subject to the Purchase Agreement between Seller and Buyer. Acceptance of the products or spare parts shall be deemed to be given if Buyer does not reject acceptance within five (5) calendar days after the date of receipt of the products or spare parts for inspection and final acceptance.
Duties of Seller a) SELLER shall provide facilities, including office, laboratory, and field space, required for the project, as well as any necessary equipment. b) SELLER shall render periodic progress reports regarding the investigation as directed by KUCR. c) SELLER shall maintain financial records, supporting documents, and other records pertaining to all costs and expenditures incurred under this contract for a period of three years following the submission of the final expenditure report. If any litigation, claim or audit is started before the expiration of the three-year period, the records shall be retained until all litigation, claims or audit findings have been resolved.

Duties of Seller. At First Closing, Seller shall deliver to or procure the delivery to Buyer of all of the following: 10.1.1 The Articles of Incorporation, Bylaws, seals and corporate minute books of Xxxxx Oil, all the books, records and ledgers of Xxxxx Oil, whether written or in other form, including magnetic disk, tapes and the like, and any other documents Buyer may reasonably request relating to the existence of Xxxxx Oil. 10.1.2 Certificates representing all of the Block I Shares. Such certificates shall be duly endorsed for transfer or with duly executed Stock Powers attached, together with all other documents as may be required, necessary or otherwise desirable to effect the valid transfer of such Shares. All of the Shares transferred pursuant to this Agreement shall, at First Closing, be free and clear of all liens, pledges, and claims (other than the standard transfer restrictions). 10.1.3 A certificate signed by Seller dated as of the First Closing and subject to no qualification certifying that the conditions set forth in Section 8 hereof have been fully satisfied. 10.1.4 Certificates representing all of the Block II Shares shall be delivered to Xxx Xxxxxxxxxx, as Escrow Agent, to be held pursuant to the Option granted under Section 2.1 hereof. Such certificates shall be duly endorsed for transfer or have duly executed Stock Powers attached thereto, together with all other documents as may be required, necessary or otherwise desirable to effect the valid transfer of such Block II Shares. All of the Block II Shares transferred pursuant hereto shall, at the First Closing and the Second Closing, be free and clear of all liens, pledges, claims and restrictions. 10.1.5 An opinion of Seller's legal counsel in form satisfactory to Buyer. 10.1.6 Duly adopted resolutions of the directors of Xxxxx Oil authorizing the entry into this Agreement and the consummation of the transactions contemplated herein. 10.1.7 An Escrow Agreement duly executed by Seller in the form attached hereto as Schedule 2.1, escrowing the Block II Shares pursuant to the terms thereof until the Second Closing. 10.1.8 Documents executed by all current directors and officers of Xxxxx Oil, pursuant to which they: (i) resign all positions as officers and directors of Xxxxx Oil effective as of the First Closing; and (ii) elect Xxxxxx and Xxxxxx as directors and officers of Xxxxx Oil, effective as of the First Closing, to fill the vacancies caused by their resignations, with Xxxxxx to serve as President an...
Duties of Seller. Conditioned upon and subject to Buyer’s compliance with all Buyer obligations under this MPA and any Accepted Product Order, Seller shall furnish to Buyer, Product(s) as specified in the Accepted Product Order or as modified in accordance with the Accepted Product Order and such Shop Drawings as required under this MPA.
