Duties of the Service Provider. The Service Provider shall provide the Company, the Borrower and the Subsidiaries with business, finance and organizational strategy, advisory, consulting and other services as mutually agreed from time to time by the Company and the Service Provider (collectively, the “Services”) related to the business of the Company, the Borrowers and the Subsidiaries. The Services will be provided at such times and places as may mutually be agreed from time to time by the Company and Service Provider.

Duties of the Service Provider. (a) Effective as of the date hereof, the Company hereby retains and appoints the Service Provider to perform the services set forth on Schedule A hereto (the “Services”), and the Service Provider hereby accepts such appointment, all subject to the terms and conditions hereinafter set forth. The Service Provider shall devote such time and resources to the performance of the Services hereunder as it shall determine to be reasonably necessary to fully perform its obligations hereunder. This Agreement provides no authority for Service Provider to bind the Company or any of its Affiliates to any agreement, arrangement or other action. In all instances, Service Provider shall bring any potential written agreement underlying any Service to the Company for discussion with, and approval by, the Company.
Duties of the Service Provider. The Service Provider Affiliates shall provide the Company with services as the Company may reasonably request from time to time including the Business Services, Sales Services and the other services set forth on Exhibit A attached hereto (collectively, the “Management Services”). The Service Provider shall perform the Management Services at the times and places reasonably requested by the Company to meet the needs and requirements of the Company, taking into account other engagements that the Service Provider may have.

Duties of the Service Provider. The Service Provider shall provide Berliner and its subsidiaries with business, finance and organizational strategy, advisory, consulting and other services (collectively, the “SERVICES”) related to the business of Berliner and its subsidiaries. The Services will be provided at such times and places as may reasonably be determined by the Service Provider.
Duties of the Service Provider. During the term of this Agreement, The Service Provider shall provide to the Company such management advisory and consulting services (the “Services”), as more fully described and defined below, as may be necessary or desirable or as may be reasonably requested or required by the board of directors of the Company (the "Board"), in connection with the business, operations and affairs, both ordinary and extraordinary, of the Company and its subsidiaries and affiliates. “Services” means and includes, without limitation, the furnishing of office space, advice, assistance and guidance, and personnel to implement the same in connection with, among others, executive administration, business strategy, investment strategy, organizational structure, personnel decisions, financial management, tax planning and merger and acquisition strategy. The Company shall use the Services of the Service Provider or any of its affiliates and the Service Provider shall make itself or any of its affiliates available for the performance of the Services upon reasonable notice. The Service Provider or any of its affiliates, as applicable, shall perform the Services at the times and places reasonably requested by the Board to meet the needs and requirements of the Company, taking into account other engagements that the Service Provider and its affiliates may have.
Duties of the Service Provider. (a) The Service Provider agrees to act as agent of the Trust in connection with the review and processing of all orders for purchases and redemptions of Baskets of the Shares from DTC Participants or participants in the Continuous Net Settlement System of the National Securities Clearing Corporation (the “NSCC Participants”) that have executed a Participant Agreement (the “Authorized Participants”), as defined in paragraph 3(b) hereof, with the Sponsor and Transfer Agent in accordance with the Registration Statement and Prospectus; provided, however, that nothing herein shall affect or limit the right and ability of the Sponsor or its delegates to accept bitcoin and/or cash and the related Balancing Amount through or outside the Clearing Process, and as provided in and in accordance with the Registration Statement and Prospectus. The Trust acknowledges that the Service Provider shall not be obligated to approve any certain number of orders for Baskets and nothing herein contained shall prevent the Service Provider from entering into similar arrangements with other trusts or investment vehicles.
