Electricity Payments. In addition to the Upfront Payment, you agree that for all electric energy you purchase from Sunrun during the Initial Term of this Agreement, you will pay a price per kWh in the form of monthly payments ("Monthly Payments") as shown below. The Monthly Payments shall increase by 0.0% annually during the Initial Term of this Agreement, effective as of the Monthly Payment that covers any calendar month that includes an anniversary of the In-Service Date (and such increase would not apply to any part of a Monthly Payment that covers the days in a calendar month leading up to an anniversary of the In-Service Date). Electricity Payments. As further memorialized in Appendix A, Txxxxx agrees to pay, pre-pay, hedge, or otherwise insulate Landlord from the economic risk of electricity consumed by the Tenant. Any deposits required by the City of LaFayette or other entities will be satisfied by Tenant, and Tenant will retain ownership rights of any such deposits. During the Term, Tenant shall maintain, repair, and, if necessary, replace the electric meters currently serving the Premises, at Tenant's sole cost and expense, so that such meters remain in good working order. If the Premises ever ceases to be directly metered, then Tenant shall be obligated to pay to Landlord, within thirty (30) days following delivery of an invoice for same, additional rent for the use of electricity in the Premises in an amount equal to 100% of the amount which Landlord is obligated to pay to the utility company supplying electricity to the Premises pursuant Article 16 of the Xxxxxxxxx, or pay to Overlandlord, together with any costs incurred by Landlord or Overlandlord in connection with the maintenance, upgrading or replacement of the electric meters currently serving the Premises.

Grantee will reimburse Client by making a quarterly payment to the Client (“Reimbursement”) based on the Station’s internal submeters, which record the electricity usage, and the calculations below.‌ 5.1.1. Grantee will process Reimbursement to Client within thirty (30) days from receipt of the EUC bills from Client, once per quarter and if the total Reimbursement amount is at least one-hundred dollars ($100). 5.1.2. Grantee shall reimburse the full amount of electricity used by the Stations by multiplying the energy measured in kWh by the electricity rate (“Electricity Rate”), which is calculated by using information on the EUC bill and dividing the total cost of the electricity by the total kWh consumed. 5.2. The Client and Grantee will pay the EUC bills in a timely manner and will each bear any charge resulting from delinquent payment or non-payment applicable to each party.
