Engagement of Service Provider. The City hereby agrees to engage Service Provider, and Service Provider hereby agrees, to perform the work in a competent and professional manner and provide the services described in the Scope of Work attached as Exhibit A. The Scope of Work so identified is hereafter referred to as “Work”. Without a written directive of an authorized representative of the City, Service Provider shall not perform any services that are in addition to, or beyond the scope of, the Work. If Service Provider’s proposal or other document generated by Service Provider is incorporated or attached as an exhibit or part of any exhibit to this Agreement or in any amendment or task or work order pursuant to this Agreement, then such proposal or document is part of this Agreement solely to the extent that it describes the Work, the Work schedule, and the amounts or rates to be paid for such Work, and Service Provider expressly agrees that no terms or conditions from such proposal or document are incorporated or included into this Agreement. In the event of difference or conflict between parts of this Agreement, Service Provider shall be bound by whichever is more stringent on Service Provider. If, and to the extent, the Work includes the design of a public work or improvement, in whole or in part, Service Provider’s design shall be reasonably accurate, adequate and suitable for its intended purpose.

Engagement of Service Provider. Owner hereby engages Service Provider to act as an independent contractor with respect to the provision of the Contract Services, and appoints Service Provider as its agent with full power and authority to perform or cause to be performed the Contract Services in accordance with the terms and conditions of this Agreement. Service Provider hereby accepts such engagement and agrees to perform or cause to be performed the Contract Services in accordance with the terms and conditions, and subject to the limitations, set forth in this Agreement.
Engagement of Service Provider. The Insurance Company hereby engages State Street as its service provider to perform certain investment accounting and recordkeeping functions for the Account and to value the Assets, as set forth more fully on Schedule B attached hereto and incorporated herein by reference.

The Scope of Work so identified is hereafter referred to as “Work”. Without a written directive of an authorized representative of the City, the Service Provider shall not perform any services that are in addition to, or beyond the scope of, the Work. If the Service Provider’s proposal is attached as an exhibit, and if such proposal contains or incorporates any conditions or terms in addition to or different from the terms of this Agreement, then the Service Provider expressly agrees that such conditions or terms are neither incorporated nor included into this Agreement between the City and Service Provider. If, and to the extent, the Work includes the design of a public work or improvement, in whole or in part, Service Provider’s design shall be reasonably accurate, adequate and suitable for its intended purpose.
Engagement of Service Provider. The City hereby agrees to engage Service Provider, and Service Provider hereby agrees, to perform on-call interpreter services as described in this Agreement. If Service Provider’s proposal or other document generated by Service Provider is incorporated or attached as an exhibit or part of any exhibit to this Agreement, then such proposal or document is part of this Agreement solely to the extent that it describes the services and the amounts or rates to be paid for such services, and Service Provider expressly agrees that no terms or conditions from such proposal or document are incorporated or included into this Agreement. In the event of difference or conflict between parts of this Agreement, Service Provider shall be bound by whichever is more stringent on Service Provider.
Engagement of Service Provider. The Service Recipient hereby engages the Service Provider to provide the Services to the Service Recipient during the Term (as hereinafter defined) of this Servicing Agreement and the Service Provider hereby accepts such engagement and agrees to provide the Services to the Service Recipient during the Term, on the terms and subject to the conditions set forth herein.
Engagement of Service Provider. 1.1 The Company, on behalf of itself and the other Clients, hereby engages the Service Providers for the Term (as defined below) and upon the terms and conditions set forth herein to provide the Services to the Clients, as HCP and the Company shall mutually agree from time to time. In consideration of the compensation to HCP herein specified, HCP accepts such engagement and agrees to perform, or cause the other Service Providers to provide, the Services.
1.2 In furtherance of performing the Services, the Service Providers shall be authorized (but not obligated) to conduct each of the activities set forth on Schedule A.
1.3 HCP shall devote, or cause the other Service Providers to devote, reasonable time and efforts to the performance of the Services. However, no precise number of hours is to be devoted by any Service Provider on a weekly or monthly basis.
1.4 The Parties agree that HCP may conduct, or cause to be conducted, the Services through HCP’s Subsidiaries and affiliates (other than the Company and its Subsidiaries), officers, directors, partners, employees, consultants or agents. The Parties agree that the Services may be performed for the benefit of the Company and any of the other Clients.
1.5 Either HCP or the Company may elect, by not less than 30 days’ prior notice to the other, to remove any activity from Schedule A. At the Company’s request and with the consent of the audit committee of the board of directors of the Company (the “Audit Committee”), HCP may, in its discretion, add any activity to Schedule A.
1.6 No Service Provider shall have any liability hereunder for any losses incurred by the Clients except to the extent arising from such Service Provider’s gross negligence or willful misconduct (and in any case subject to the limitations set forth in Section 6.2). Except as expressly set forth herein, the Parties acknowledge and agree that the Services are provided as-is, that the Clients assume all risks and liabilities arising from or relating to its use of and reliance upon the Services and no Service Provider makes any representation or warranty with respect thereto. EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICE PROVIDERS HEREBY EXPRESSLY DISCLAIM ALL REPRESENTATIONS AND WARRANTIES REGARDING THE SERVICES, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY REPRESENTATION OR WARRANTY IN REGARD TO QUALITY, PERFORMANCE, NONINFRINGEMENT, COMMERCIAL UTILITY, MERCHANTABILITY OR FITNESS OF THE SERVICES FOR A PARTICULAR PURPOSE.
Engagement of Service Provider. 2.1 Pharmasset hereby engages SP through BICI on a non-exclusive basis to perform the services described herein, in accordance with the terms and conditions set forth herein, including, without limitation, the services described in the Proposal(s) attached hereto as Appendix B, and SP hereby accepts through BICI such engagement. SP shall perform the services described in the Proposal(s) and shall use commercially reasonable efforts to deliver to Pharmasset the deliverables described in the Proposal(s) attached hereto (each, a “Deliverable”) on or before the delivery date described on such Proposal. Unless otherwise provided in a Proposal, the services for each Proposal shall be deemed to have been completed upon SP completing the services to the reasonable satisfaction of Pharmasset. The parties may agree that SP will perform additional services related to the API for Pharmasset pursuant to Proposals and Change Orders, subject to mutual agreement. All subsequent Proposals and Change Orders concerning the API will be governed by the terms of this Agreement, and will not modify or vary the terms of this Agreement unless the provisions of Section 14.5 are complied with. In the event of any conflict between the terms of this Agreement and the Proposal, the terms of this Agreement apply.
