Equality and human rights. The Supplier shall: ensure that (a) it does not, whether as employer or as provider of the Services, engage in any act or omission that would contravene the Equality Legislation, and (b) it complies with all its obligations as an employer or provider of the Services as set out in the Equality Legislation and take reasonable endeavours to ensure its Staff do not unlawfully discriminate within the meaning of the Equality Legislation; in the management of its affairs and the development of its equality and diversity policies, cooperate with the Authority in light of the Authority’s obligations to comply with its statutory equality duties whether under the Equality Act 2010 or otherwise. The Supplier shall take such reasonable and proportionate steps as the Authority considers appropriate to promote equality and diversity, including race equality, equality of opportunity for disabled people, gender equality, and equality relating to religion and belief, sexual orientation and age; and the Supplier shall impose on all its subcontractors and suppliers, obligations substantially similar to those imposed on the Supplier by Clause 48 of this Schedule 2. The Supplier shall meet reasonable requests by the Authority for information evidencing the Supplier’s compliance with the provisions of Clause 48 of this Schedule 2.

Equality and human rights. ‌ 3.1 The need to act in a manner that is compatible with Convention Rights, as described in s. 1 of the Human Rights Xxx 0000, is fundamental to the work of HIW and PSOW. Each organisation seeks to promote the human rights of those who fall within its remit. 3.2 The Equality Xxx 0000 prohibits unfair treatment of people because of protected characteristics they have and helps achieve equal opportunities. 3.3 The co-signatories to this Memorandum believe that the arrangements as set out in the Memorandum are compliant with the Human Rights Xxx 0000 and the Equality Xxx 0000.

The Supplier shall take such reasonable and proportionate steps as the Authority considers appropriate to promote equality and diversity, including race equality, equality of opportunity for disabled people, gender equality, and equality relating to religion and belief, sexual orientation and age; and 28.1.3 the Supplier shall impose on all its Sub-contractors and suppliers, obligations substantially similar to those imposed on the Supplier by Clause 28 of this Schedule 2. 28.2 If the Supplier fails to comply with the provisions of Clause 27.1 and/or contravenes the Equality Legislation, the Authority may terminate this Framework Agreement and recover from the Supplier the amount of any direct loss suffered by the Authority resulting from the termination. 28.3 The Supplier shall also indemnify the Authority against all costs, claims, charges, demands, liabilities, damages, losses and expenses incurred or suffered by the Authority arising out of or in connection with any investigation conducted or any proceedings brought under the Equality Legislation due directly or indirectly to any act or omission by the Supplier, its agents, employees or sub-contractors. 28.4 The Supplier shall meet reasonable requests by the Authority for information evidencing the Supplier’s compliance with the provisions of Clause 28 of this Schedule 2.
