EXPENSE REIMBURSEMENT AND PERQUISITES a. During the Term of this Agreement, Xxxxxx shall be entitled to reimbursement of all reasonable and actual out-of-pocket expenses incurred by him in the performance of him services to the Company consistent with corporate policies, if any, provided that the expenses are properly accounted for. Any such reimbursement will be made to Xxxxxx as soon as administratively feasible following submission of such documentation of such expense, but shall be made no later than the calendar year following the calendar year in which such expense is incurred by Xxxxxx. In the event that any such reimbursement is taxable to Xxxxxx, such reimbursement shall be made as soon practical upon Xxxxxx’x submission of a request to be reimbursed, but in all events such reimbursement will be made prior to the end of the calendar year next following the calendar year in which the applicable expense was incurred.
b. During each calendar year of the Employment Term, Xxxxxx shall be entitled to reasonable vacation with full pay in accordance with they Company’s then-current vacation policies; provided, however, that Xxxxxx shall schedule such vacations at times convenient to the Company.
x. Xxxxxx shall be entitled to participate in all health insurance (National Oxford), dental insurance, long-term disability insurance and other employee benefit plans instituted by the Company from time to time on the same terms and conditions as other similarly situated employees of the Company, to the extent permitted by law. In addition, Xxxxxx shall be a covered officer under the Company’s now existing and any future Directors and Officers liability policy.
EXPENSE REIMBURSEMENT AND PERQUISITES. During the term of this Agreement, (a) the Company shall reimburse the Employee for all reasonable and necessary out-of-pocket expenses incurred by his in connection with the performance of his duties hereunder, upon the presentation of proper accounts therefor in accordance with the Company's policies and (b) the Employee shall be entitled to such perquisites as may be made available from time to time to senior executive employees of the Company.
EXPENSE REIMBURSEMENT AND PERQUISITES a. During the term of this Agreement, Payner shall be entitled to reimbursement of all reasonable and actual out-of-pocket expenses incurred by her in the performance of her services to the Company consistent with corporate policies, provided that the expenses are properly accounted for.
b. During each calendar year of the term of this Agreement, Payner shall be entitled to reasonable vacation with full pay; provided, however, that Payner shall schedule such vacations at times convenient to the Company.
c. During the term of this Agreement, the Company shall provide an annual allowance of twenty seven thousand five hundred dollars ($27,500) for the purchase of term life insurance by the Company for the benefit of Payner (which shall be in lieu of any other life insurance benefit) and the purchase of a supplemental disability insurance policy, which together with any other group coverage offered by the Company, provide for coverage of the maximum allowable disability benefit. Payner shall be entitled to participate in all dental insurance and disability plans, major medical insurance and other medical, insurance, and employee benefit plans instituted by the Company from time to time on the same terms and conditions as those offered to other senior executive officers of the Company, to the extent permitted by law.
d. During the term of this Agreement, the Company will provide Payner with a monthly housing allowance of four thousand dollars ($4,000). The housing allowance for the period ending April 30, 2007 has been paid in a lump sum prior to the date hereof.
EXPENSE REIMBURSEMENT AND PERQUISITES a. During the Term of this Agreement, Matson shall be entitled to reimbursement of all reasonable and actuxx xxx-of-pocket expenses incurred by him in the performance of him services to the Company consistent with corporate policies, if any, provided that the expenses are properly accounted for.
b. During each calendar year of the Employment Term, Matson shall be entitled to reasonable vacation with full pay in accxxxxxxe with they Company's then-current vacation policies; provided, however, that Matson shall schedule such vacations at times convenient to the Compxxx.
c. Matson shall be entitled to participate in all health insurance (Xxxxxxxx Oxford), dental insurance, long-term disability insurance and other employee benefit plans instituted by the Company from time to time on the same terms and conditions as other similarly situated employees of the Company, to the extent permitted by law. In addition, Matson shall be a covered officer under the Company's now existing axx xxx future Directors and Officers liability policy.
d. During the term of this Agreement, for the months from May 2008 through December 2008, the Company will pay for appropriate monthly temporary housing (up to a maximum of $9,500 per month). It is essential that Matson submit receipts directly to the Company on a monthly basis to xx xximbursed. In addition, on a monthly basis, the Company will pay Matson a "gross-up" bonus such that the net amount retained by Matsox xxxxr the payment of any federal, state or local income taxes (xxxxectively, "Taxes") on such bonus will be sufficient to pay any Taxes due with respect to the Company's reimbursement of housing expenses pursuant to this Section 5(d).

In the event that any such reimbursement is taxable to Jxxxx, such reimbursement shall be made as soon practical upon Jenny’s submission of a request to be reimbursed, but in all events such reimbursement will be made prior to the end of the calendar year next following the calendar year in which the applicable expense was incurred.
b. During each calendar year of the Employment Term, Jxxxx shall be entitled to reasonable vacation with full pay in accordance with the Company’s then-current vacation policies; provided, however, that Jxxxx shall schedule such vacations at times convenient to the Company.
c. During the term of this Agreement, the Company shall provide an annual allowance of ten thousand dollars ($10,000) for the purchase of term life insurance by the Company for the benefit of Jxxxx (which shall be in lieu of any other life insurance benefit) and the purchase of a supplemental disability insurance policy. Jxxxx shall be entitled to participate in all health insurance, dental insurance, long-term disability insurance and other employee benefit plans instituted by the Company from time to time on the same terms and conditions as other similarly situated employees of the Company, to the extent permitted by law.

2. During each calendar year of the term of this Agreement, Xxxxx shall be entitled to reasonable vacation with full pay; provided, however, that Xxxxx shall schedule such vacations in the interest of the Company.
3. The Company shall provide a life insurance policy on the life of Xxxxx, for the benefit of Xxxxx 's beneficiaries, in the amount of at least $1,000,000. All premiums on such policy shall be paid by the Company.
4. Xxxxx shall be entitled to participate in all medical and dental insurance and disability and hospitalization plans and other employee benefit plans instituted by the Company from time to time on the same terms and conditions as other employees of the Company, to the extent permitted by law.

During the term of this Agreement, the Company shall provide an annual allowance of seventeen thousand five hundred dollars ($17,500) for the purchase of term life insurance by the Company for the benefit of Barry (which shall be in lieu of any other life insurance benefit) xxx xhe purchase of a supplemental disability insurance policy, which together with any other group coverage offered by the Company, provide for coverage of the maximum allowable disability benefit. Barry shall be entitled to participate in all dental insurance and xxxxxility plans, major medical insurance and other medical, insurance, and employee benefit plans instituted by the Company from time to time on the same terms and conditions as those offered to other senior executive officers of the Company, to the extent permitted by law.
EXPENSE REIMBURSEMENT AND PERQUISITES. (a) During the Employment Term, Park shall be entitled to reimbursement of all reasonable and actual out-of-pocket expenses incurred by him in the performance of his services to the Company consistent with corporate policies, if any, provided that the expenses are properly accounted for. Any such reimbursement will be made to Park as soon as administratively feasible following submission of such documentation of such expense, but shall be made no later than the calendar year following the calendar year in which such expense is incurred by Park. In the event that any such reimbursement is taxable to Park, such reimbursement shall be made as soon as practical upon Park’s submission of a request to be reimbursed, but in all events such reimbursement will be made prior to the end of the calendar year next following the calendar year in which the applicable expense was incurred.
(b) During each calendar year of the Employment Term, Park shall be entitled to 20 days vacation with full pay in accordance with the Company’s then-current vacation policies; provided, however, that Park shall schedule such vacations at times convenient to the Company.
(c) During the Employment Term, the Company shall provide an annual allowance of ten thousand dollars ($10,000) for the purchase of term life insurance by the Company for the benefit of Park (which shall be in lieu of any other life insurance benefit) and/or the purchase of a supplemental disability insurance policy. In addition, during the Employment Term, Park shall be entitled to participate in all health insurance, dental insurance, long-term disability insurance and other employee benefit plans instituted by the Company from time to time on the same terms and conditions as other similarly situated employees of the Company, to the extent permitted by law.

During the term of this Agreement, the Company shall provide XxXxxxx with family major medical insurance coverage as determined by the Company in its sole discretion, and XxXxxxx shall be entitled to participate in all dental insurance and disability plans and other employee benefit plans instituted by the Company from time to time on the same terms and conditions as other employees of the Company, to the extent permitted by law.
EXPENSE REIMBURSEMENT AND PERQUISITES a. b. During each calendar year of the term of this Agreement, Barry shall be entitled to reasonable vacation with full pay; provixxx, however, that Barry shall schedule such vacations at times convenient to the Compxxx.
c. During the term of this Agreement, the Company shall provide Barry with a minimum of $500,000 worth of term life insurance, subjxxx xo availability on commercially reasonable terms, major medical insurance coverage, and Barry shall be entitled to participate in all dental insurance and xxxxxility plans and other medical, insurance, and employee benefit plans instituted by the Company from time to time on the same terms and conditions as those offered to other senior executive officers of the Company, to the extent permitted by law.
