Housing Expenses. The Company understands that the Executive intends to maintain his primary residence outside the Massachusetts area for up to eighteen (18) months and then intends to relocate to the Massachusetts area. Until the Executive relocates to the Massachusetts area, the Company agrees to provide the Executive with a housing allowance of $3,750 per month, related to the rental or purchase of a home, within suitable distance to the Company’s headquarters, which payments shall be made on a fully tax grossed-up basis. The Company also will reimburse the Executive for reasonable travel, meals and lodging expenses incurred by him for up to two trips for the purpose of securing such house or apartment within a suitable distance to the Company’s headquarters. Executive shall be entitled to relocation benefits afforded by the Company to other Company executives if and when Executive decides to permanently relocate his primary residence to the Massachusetts area.
Housing Expenses. The Company and Executive acknowledge that, in prior years up to and including 2024, the Company has paid Executive a $60,000 taxable housing stipend (the 1 “Stipend”). Executive’s housing allowance limit will be reviewed by Company annually, commencing July 2014, and increased by the Hong Kong annual inflation rate. In the event that, during the HK Assignment, the landlord fails to meet his obligations under the lease or the lease is terminated through no fault of the Executive, the Company will ensure that the Executive receives temporary housing comparable to the terminated lease and the Company will pay for the reasonable costs incurred by Executive in relocating to other equivalent housing in Hong Kong.

NOTWITHSTANDING ANY PROVISIONS HEREIN TO THE CONTRARY, IF EMPLOYEE IS CONTINUOUSLY EMPLOYED WITH COMPANY THROUGH THE INITIAL TERM, EMPLOYEE SHALL NOT BE REQUIRED TO REPAY THE RESIDENCE PURCHASE AND SALE EXPENSES TO COMPANY, EVEN IF SUCH EXPENSES ARE INCURRED BEYOND THE INITIAL TERM.
