Fixtures and Personalty. All fixtures (including trade fixtures attached to the Leased Premises), equipment, improvements, and appurtenances attached to or built into the Leased Premises, as reflected in the Final Working Drawings or subsequently installed pursuant to any other provisions hereof, whether by Landlord at Landlord’s expense or at Tenant’s expense, or by the Tenant, shall be and remain part of the Leased Premises and shall not be removed by Tenant at the expiration of the Lease Term, unless otherwise expressly provided herein.

Fixtures and Personalty. Included in the sale of each REO Property are all of Seller’s right, title and interest in the fixtures used in connection therewith, including, if any, all carpeting, floor coverings, drapery rods, venetian blinds, window shades, window coverings, screens, screen doors, storm windows and doors, awnings, shutters, furnaces, heaters, heating equipment, stoves, ranges, refrigerators, dishwashers, microwave ovens, washers, dryers, other appliances, oil and gas burners and fixtures appurtenant thereto, hot water heaters, plumbing and bathroom fixtures, electric and other lighting fixtures, mantels, fences, gates, trees, shrubs, plants, air conditioning equipment, ventilators, furniture, equipment and supplies relating to such REO Property, together with any other intangible property owned by Seller in connection therewith, including, without limitation, all engineering and design plans and specifications, marketing reports, licenses, franchises, permits, zoning rights, density rights, impact fee credits, entitlements, approvals, development orders, bonds posted in connection with the completion of improvements and/or infrastructure and other similar rights. The property described in this Section 2.3(b) shall be conveyed by Quitclaim Xxxx of Sale in the form attached hereto as Exhibit L.
Fixtures and Personalty. All personal property installed in or brought upon the leased premises by the LESSEE, in the nature of furniture, fixtures, business equipment, display cases, racks and supplies, shall remain the sole property of the LESSEE, and the same at any time may be removed (and if directed by LESSOR at the expiration or sooner termination of this lease, shall be removed) by the LESSEE, provided, however, that LESSEE shall promptly repair any damage to the premises occasioned by such removal. In addition to repairs of any and all damage to the walls, floors, ceiling or roof or parts thereof, or any other appurtenant parts of the demised premises, which may be occasioned by removal of LESSEE'S property, LESSEE shall also be required, at LESSOR'S direction, to repair and/or restore such other improvements or changes in and to the premises which are specifically made for the conduct of LESSEE'S business such as but not limited to (if applicable) the restoration of the floor to a single uniform level, the repair and restoration of the roof of the premises by a contractor selected or approved by LESSOR of all roof or wall cuts necessitated for LESSEE'S business, and the removal (to the point of entry into the premises) of all electrical, plumbing, gas and telephone lines, as well as all mechanical lines, pipes or stacks, and the proper stubbing of said lines, pipes or stacks at such point of entry into the premises. Any such personal property left by LESSEE upon the premises after the expiration of the term of this lease may be placed in storage by LESSOR at LESSEE'S sole expense or retained by LESSOR at the premises and, if same shall not be called for within ten (10) calendar days after written notice from LESSOR, said property shall be deemed to be abandoned by LESSEE, and LESSOR may do as it sees fit with same.
Fixtures and Personalty. The sale set forth in this Agreement shall include all electric, heating, air conditioning and plumbing systems, Seller's equipment and fixtures, attached to and appurtenant to the Improvements situated on the Land. Fixtures and Personalty. All fixtures (other than Tenant's trade fixtures or other Personal Property) installed in the Premises at any time, either by Tenant or by Landlord on Tenant's behalf, shall, upon expiration of this Lease, become the property of Landlord and shall remain upon and be surrendered with the Premises. Nothing in this Article 6 shall be construed to give Landlord title to or to prevent Tenant's removal of Tenant's trade fixtures or Personal Property. With respect to any of such items which Tenant is permitted to remove prior to the expiration of this Lease, upon removal thereof from the Premises, Tenant shall immediately and at its expense, repair any damage to the Premises, the Building or the Property due to such removal. All property permitted to be removed by Tenant at the end of the term remaining in the Premises after Tenant's vacating of the Premises shall be deemed abandoned and may, at the election of Landlord, either be retained as Landlord's property or disposed of as Landlord sees fit. Notwithstanding anything contained in this Lease to the contrary, Tenant shall have the right to repair, alter, remove, replace or improve any Personal Property owned or leased by Tenant or its employees and located in the Premises. Tenant shall have the right to allow liens, mortgages and other encumbrances to be placed upon any and all items of Personal Property.
Fixtures and Personalty. Included in the sale and represented to be owned by Seller, free from encumbrances, are the following: all fixtures and articles of personal property attached to, or contained and used in connection with the premises, including but not limited to all the autoclaving vessels, boilers, scales, fittings, shades, screens, storm sashes, plants, shrubbery, fences, aerials, pipes, and any easements, covenants, or rights which may run with the land.

Notwithstanding the foregoing, "Fixtures" shall not include any property which tenants are entitled to remove pursuant to leases except to the extent that Borrower shall have any right or interest therein;

  • Furniture, Fixtures and Equipment Sublessee shall have the right to use during the Term the office furnishings and equipment within the Subleased Premises that are identified on Exhibit C attached hereto, as such exhibit may be adjusted by mutual agreement of the parties prior to the Third Floor Premises Delivery Date (the “Furniture”), provided Sublessee may only use the Furniture located in the Second Floor Premises after the Second Floor Commencement Date. The Furniture is provided in its “AS IS, WHERE IS” condition, without representation or warranty whatsoever. Sublessee shall insure the Furniture under the property insurance policy required under the Master Lease, as incorporated herein, and pay all taxes with respect to the Furniture. Sublessee shall maintain the Furniture in good condition and repair, reasonable wear and tear excepted, and shall be responsible for any loss or damage to the same occurring during the Term. Sublessee shall surrender the Furniture to Sublessor upon the termination of this Sublease in the same condition as exists as of the applicable Delivery Date, reasonable wear and tear excepted. Sublessee shall not remove any of the Furniture from the Subleased Premises. Notwithstanding anything to the contrary herein, Sublessee may provide Sublessor with written notice one (1) time not less than forty-five (45) days prior to the Third Floor Premises Delivery Date that lists any items of Furniture that Sublessee does not want to use and Sublessor shall, at no cost to Sublessee, remove such items from the Subleased Premises prior to the Third Floor Premises Delivery Date and such items shall no longer be considered Furniture hereunder. Notwithstanding the foregoing, provided Sublessee is not in default beyond the expiration of any applicable cure or grace period as of the date of the expiration or earlier termination of this Sublease, which condition may be waived by Sublessor in its sole discretion, then upon the expiration or earlier termination of this Sublease, the Furniture shall become the property of Sublessee, and Sublessee shall accept the same in its “AS IS, WHERE IS” condition, without representation or warranty whatsoever except as provided in the Bill of Sale referred to in the following sentence. In the event the Furniture is to become the property of Sublessee upon the expiration or earlier termination of this Sublease pursuant to the terms of the immediately preceding sentence, then Sublessor agrees to execute and deliver to Sublessee a Bill of Sale in the form of Exhibit D attached hereto conveying and transferring to Sublessee the Furniture.

  • Real Estate and Personal Property Taxes A. Except as specifically set forth in Section 4.07.B below, all real estate and personal property taxes, levies, assessments (including special assessments (regardless of when due or whether they are paid as a lump sum or in installments over time) imposed because of facilities that are constructed by or on behalf of the assessing jurisdiction (for example, roads, sidewalks, sewers, culverts, etc.) which directly benefit the Hotel (regardless of whether or not they also benefit other buildings)), “Impact Fees” (regardless of when due or whether they are paid as a lump sum or in installments over time) which are required of Owner as a condition to the issuance of zoning variances or building permits, and similar charges on or relating to the Hotel (collectively, “Impositions”) during the Term shall be paid by Manager from Gross Revenues, before any fine, penalty, or interest is added thereto or lien placed upon the Hotel or upon this Agreement, unless payment thereof is in good faith being contested and enforcement thereof is stayed. Any such payments shall be Deductions in determining Operating Profit. Owner shall, within five (5) days after receipt, furnish Manager with copies of official tax bills and assessments which it may receive with respect to the Hotel. Either Landlord or Owner may, and at Owner’s request Manager shall, initiate proceedings to contest any negotiations or proceedings with respect to any Imposition, and all reasonable costs of any such contest shall be paid from Gross Revenues and shall be a Deduction in determining Operating Profit. Manager shall, as part of its contest or negotiation of any Imposition, be entitled, on Owner’s behalf, to waive any applicable statute of limitations in order to avoid paying the Imposition during the pendency of any proceedings or negotiations with applicable authorities. Notwithstanding anything contained herein to the contrary, at Owner’s option (i) Manager shall establish an escrow account in the name of Owner in a bank or banks designated by Manager with the concurrence of Owner and shall deposit monthly into such account from Gross Revenues an amount that Manager reasonably estimates shall be sufficient to pay the Impositions, in which case Manager shall pay the Impositions from funds in the escrow account as and when the Impositions become due (and Owner shall promptly deposit into the escrow account any deficiency if the estimated monthly payments are not sufficient to pay all of the Impositions) or (ii) the amounts that would otherwise be deposited into such escrow account shall be included in the Operating Profit, not deducted from Gross Revenues and shall be distributed in cash to Owner along with the remainder of the Owner’s Priority. If Owner elects to retain such amounts pursuant to clause (ii) above, Manager shall accrue such amounts as a reserve on the accounting records of the Hotel, and Owner shall fund the same as and when the Impositions become due, but such accrued and unfunded amounts shall be deducted from Gross Revenues for purposes of calculating the Incentive Management Fee. In addition, if any Mortgagee requires the establishment of an escrow account with respect to the Impositions, Manager shall comply with such requirements.
