Nationwide acknowledges that the fees are commensurate with those charged other fund companies for commensurate services. To the extent that payment of a portion of such fee by a Fund has been approved by the Trustees of the Fund, that portion of the fee may be paid by the Fund, in consideration of certain of the services set forth in Exhibit C hereof. To the extent that a Fund has approved a plan pursuant to Rule 12b-1 under the Investment Company Act of 1940, as amended (the “1940 Act”), all or part of the fee with respect to that Fund may be payable from the proceeds of that plan. The parties agree that all payments for services made under the Agreement shall be in accordance with a statement provided by NBMI to Nationwide that shall be based on each Fund’s records with its transfer agent. Funds and Fees. 11.1 Your fees for acting hereunder will be agreed upon by the parties hereto. We will pay all your reasonable out-of-pocket expenses in connection with your duties hereunder (including without limitation, the overtime expenses, postage, courier, long distance calls, G.S.T., mailing insurance, and photocopying). 11.2 We, on notification from you, will ensure that sufficient funds and share certificates are made available to make payment for the Subject Shares accepted for payment by us under the Offer and that sufficient funds are made available to make payments to members of the Soliciting Dealer Group of amounts owing to them.

Funds and Fees. Funds: Except as otherwise provided for in this Agreement, this Agreement shall apply to all of the classes of all non-retail, insurance dedicated fttnds distributed by Distributor that, in accordance with their respective registration statements, are available to offer shares of one or more of its series to separate accounts of insurance companies that fund such Plans through a Contract consistent with the Mixed and Shared Funding Exemptive Order, whether such funds or classes are currently established or are established hereafter, and whether such shares are currently outstanding or being offered or are offered and sold in the future (each a “Fund” and collectively, the “Funds” and each a “Class” and collectively the “Classes”, as applicable). For clarity, Class R6 shares of the Funds are only available to the Company so long as the Company neither receives nor requests any type of compensation (including servicing, administrative, and revenue sharing payments) from the Funds, the Distributor or an affiliate of such entities with respect to the Class R6 Shares. Class A and C shares of the Funds are also not available for purchase under this Agreement.
Funds and Fees. 3.1 For Pre-paid VCNs, P2P or its third party providers may at any time request further funds from the Client in order to replenish the Deposit so that it contains adequate funds to cover Transactions and Fees. P2P may suspend the Client’s access to and use of the Service until any such request has been complied with. The Client shall indemnify and hold P2P harmless in relation to any payments that P2P has to make to the third party provider due to the Deposit not containing adequate funds to cover Transactions and Fees. 3.2 If the Client has not complied with its payment obligations under this Agreement or in accordance with the Provider Terms, P2P may suspend the Client’s access to and use of the Service until any such obligations have been complied with. 3.3 P2P will charge the Client Fees in accordance with the Application Form and/or the Schedules. These Fees are in consideration for P2P providing the preparatory works and intermediary services detailed this Agreement. The Client will pay the Set-up Fee direct to P2P in accordance with clause 2 above. All other Fees will either be: (i) collected from the Client by the third party provider, on behalf of P2P; or
