Your Fees. As an event organizer, you will be obligated to pay Perks all fees described in the applicable Order Form, which are collectively referred to as “Fees”. Payments shall be due within such period of time as expressly specified in the applicable Order Form. Fees are based on an annual per capita fee of $3.00, paid in full in advance, on a fully-earned and non-refundable basis, with aggregate annual minimums as specified by Perks. The Fees shall be paid and/or charged by the payment method selected in the applicable Order Form. The Fees are separate from, and additional to, any fees which may be charged by the payment processing provider that you have selected. You hereby represent and warrant that you are authorized and legally entitled to use the payment method and associated account selected by you for all Fees. You may be required by us to provide additional information (beyond the information required to register for the Services) about yourself, the entity you represent (if any) and the principals/beneficial owners of the entity you represent (if any) (collectively, "Additional Information"). As an example, the Additional Information may include current address, doing business as (DBA) names, description of products, website address, bank account or other payment account information, Tax Identification Numbers, date of birth, passport or driver’s license number, country of origin, copies of government identification documents and other personal information. This information may be used to verify your identity, the validity and/or legality of your transactions. You agree to: (a) provide this information in a timely, accurate and complete manner and (b) maintain and promptly update this information in a timely manner to ensure it remains accurate and complete at all times. You agree that we are permitted to share the information relating to your events and transactions on the Services, including the Additional Information, with the payment processing provider that you have selected, our payment processing partners, card based payments networks, such as Visa, MasterCard, and American Express (the “Credit Cards”), and non-card based payment networks such as direct debit and other alternative forms of payment (the “Alternative Forms of Payment”), and with your bank, in each case to the extent your transactions or events involve such third parties. Your Fees. 3.1 You agree to pay the fee shown in the Registration Agreement. You will become liable to pay your fees as soon as this Registration Agreement comes into force. a) This fee covers the tuition, materials (excluding set books) and assessment for the module(s). b) An additional fee may be payable, in the circumstances set out in the Fee Rules, for an examination taken at a non-established examination centre. c) If your module materials include a returnable home kit, you will be responsible for the costs of returning this kit at the end of the module, as these costs are not included in the fee. If you fail to return the kit in accordance with the instructions you have been given, you may be charged the cost of the kit. d) If your module includes a residential school, the fee does not cover the costs of accommodation, meals, travel or other facilities provided in connection with attendance at that residential school, whether they are provided by the University or otherwise, unless otherwise stated. 3.2 The fee is calculated in accordance with our Fee Rules, based on the information that you have given us about: a) your intended qualification; b) your module choice(s); c) whether you have previously studied in higher education, either at The Open University or elsewhere; d) your nationality; e) whether you are ordinarily resident in the UK, the EU/EEA or elsewhere and, if you are ordinarily resident in the UK, whether this is in England, Northern Ireland, Scotland or Wales. You must check that this information is correct before you apply to register. If any information is incorrect do not continue with the registration, please go back and correct it. If we have sent you a printed Registration Agreement and it is incorrect, do not alter or sign it. Please contact us to give us the correct information and we will send you a new Registration Agreement. The University reserves the right to check any information that you have given us and, if the checks show that a different fee should be paid, to recover the difference between the fee shown in the Registration Agreement and the correct fee if higher.   • Other Fees (i) The Borrower shall pay to the Arranger and the Administrative Agent for their own respective accounts fees in the amounts and at the times specified in the Fee Letter. Such fees shall be fully earned when paid and shall not be refundable for any reason whatsoever. (ii) The Borrower shall pay to the Lenders such fees as shall have been separately agreed upon in writing in the amounts and at the times so specified. Such fees shall be fully earned when paid and shall not be refundable for any reason whatsoever.

  • User Fees You shall pay all fees specified in all Order Forms hereunder. Except as otherwise specified herein or in an Order Form, (i) fees are quoted and payable in United States dollars (ii) fees are based on services purchased and not actual usage, (iii) payment obligations are non-cancelable and fees paid are non-refundable, and (iv) the number of User subscriptions purchased cannot be decreased during the relevant subscription term stated on the Order Form. User subscription fees are based on monthly periods that begin on the subscription start date and each monthly anniversary thereof; therefore, fees for User subscriptions added in the middle of a monthly period will be charged for that full monthly period and the monthly periods remaining in the subscription term.

  • Compensation and Fees (a) As Dealer-Manager you shall receive from the Partnership the following fees and other compensation based on each Unit sold to investors who are situated and/or residents in states other than Minnesota and New Hampshire and accepted by the Managing General Partner: (i) a 2.5% Dealer-Manager fee; (ii) a 7.0% Sales Commission; (iii) a .5% reimbursement of marketing expenses; and (iv) a .5% reimbursement of the Selling Agents' bona fide accountable due diligence expenses. (b) The 7.0% Sales Commission, the .5% reimbursement of marketing expenses and the .5% reimbursement of bona fide accountable due diligence expenses shall be reallowed to the Selling Agents. The 2.5% Dealer-Manager fee shall be reallowed to the wholesalers for subscriptions obtained through the wholesalers' effort. (c) Notwithstanding the foregoing, the Managing General Partner, its officers, directors and Affiliates, and investors who buy Units through the officers and directors of the Managing General Partner may subscribe to Units for a subscription price reduced by the 2.5% Dealer-Manager fee, the 7.0% Sales Commission, the .5% reimbursement of marketing expenses and the .5% reimbursement of the Selling Agents' bona fide accountable due diligence expenses which will not be paid to you. Also, the following investors may subscribe to Units for a subscription price reduced by the 7.0% Sales Commission, the .5% reimbursement of marketing expenses and the .5% reimbursement of the Selling Agents' bona fide accountable due diligence expenses, which will not be paid to you, although their subscription price will not be reduced by the 2.5% Dealer-Manager fee which will be paid to you: (i) registered investment advisors and their clients; and (ii) Selling Agents and their registered representatives and principals. (d) Pending receipt and acceptance by the Managing General Partner of the minimum subscription proceeds of $1,000,000 excluding: (i) any optional subscription by the Managing General Partner and its Affiliates; and (ii) the subscription discounts set forth in Section 4(c) of this Agreement; all proceeds received by you from the sale of Units shall be held in a separate interest bearing escrow account as provided in Section 15 of this Agreement. Unless at least the minimum subscription proceeds of $1,000,000 as described above are received on or before the Offering Termination Date as described in Section 1 of this Agreement, the offering shall be terminated, in which event none of the fees, Sales Commissions and reimbursements set forth in Section 4(a) of this Agreement shall be payable to you and all funds advanced by purchasers shall be returned to them with interest earned. In addition, you shall deliver a termination letter in the form provided to you by the Managing General Partner to each of the subscribers and to each of the offerees previously solicited by you and the Selling Agents in connection with the offering of the Units. (e) Except as otherwise provided above, the fees, Sales Commissions and reimbursements set forth in Section 4(a) of this Agreement, shall be paid to you within five business days after at least the minimum subscription proceeds of $1,000,000 as described above have been received by the Partnership and accepted by the Managing General Partner and the subscription proceeds have been released from the escrow account to the Managing General Partner. You shall reallow to the Selling Agents and the wholesalers their respective fees, Sales Commissions and reimbursements as set forth in Section 4(b) of this Agreement. Thereafter, your fees, Sales Commissions and reimbursements shall be paid to you and shall be reallowed to the Selling Agents and wholesalers as described above approximately every two weeks until the Partnership's Offering Termination Date and all your remaining fees, Sales Commissions and reimbursements shall be paid no later than fourteen business days after the Partnership's Offering Termination Date.

  • Wire Fees The Transfer Agent may receive any fees then in effect as disclosed in the Fund’s Prospectus or which may be approved by the Trustees of the Trusts for executing a wire transfer of the proceeds of any wire redemption order placed by a shareholder.

  • Remuneration and fees In most cases we are paid by commission from the insurer but in some circumstances, we may charge you a fee instead of commission or a combination of both where we arrange policies with a low commission.   • Referral Fees If the CLIENT was introduced to the ADVISER through a Solicitor, the ADVISER may pay that Solicitor a referral fee in accordance with Rule 206(4)-3 of the Investment Advisers Act of 1940. The referral fee shall be paid solely from Adviser Compensation as defined in this Agreement, and shall not result in any additional charge to the CLIENT. The CLIENT acknowledges receipt of the written disclosure statement disclosing the terms of the solicitation arrangement between the ADVISER and the Solicitor, including the compensation to be received by the Solicitor from the ADVISER.

  • Annual Fees The annual rental fee of a standard individual 12 x 14 plot is $40 per plot. Please note this rental fee is non-refundable and must be paid at the time of application.   • PROFESSIONAL DUES OR FEES AND PAYROLL DEDUCTIONS 5.1 Any unit member who is a member of the Association, or who has applied for membership, may sign and deliver to the District an assignment authorizing deduction of unified membership dues, initiation fees, and general assessments of the Association. Pursuant to such authorization, the District shall deduct one-tenth of such dues from the regular salary check of the bargaining unit member each month for ten (10) months. Deductions for bargaining unit members who sign such authorization after the commencement of the school year shall be appropriately pro-rated to complete payments by the end of the school year. 5.2 Any unit member who is not a member of the Association, or who does not make application for membership within thirty (30) days of the effective date of this Agreement, or within thirty (30) days from the date of commencement of assigned duties, shall become a member of the Association or pay to the Association a fee in an amount equal to unified membership dues, initiation fees and general 5.3 Any unit member who is a member of a religious body whose traditional tenets or teaching include objections to joining or financially supporting employee organizations shall not be required to join or financially support the Association, as a condition of employment, except that such unit member shall pay, in lieu of a service fee, sums equal to such service fee to one of the following non-religious, non- labor organizations, charitable funds exempt from taxation under section 501 (c) (3) of Title 26 of the Internal Revenue Code. Such payment shall be made on or before October 15 of each year. (For example: Murrieta Fire Protection District) 5.3.1 Proof of payment and a written statement of objection, along with verifiable evidence of membership in a religious body whose traditional tenets or teachings object to joining or financially supporting employee organizations, pursuant to section 5.3 above, shall be made on an annual basis to the District as a condition of continued exemption from the provisions of sections 5.1 and 5.2 of this Article. Evidence shall be in the form of receipts and/or canceled checks indicating the amount paid, date of payment, and to whom payment in lieu of the service fee has been made. Such proof shall be presented on or before November 1 of each school year. The Association shall have the right of inspection in order to review said proof of payment. 5.3.2 Any unit member making payments as set forth in sections 5.3 and 5.3.1, above, and who requests that the grievance or arbitration provisions of this Agreement be used on his or her behalf, shall be responsible for paying the reasonable cost of using said grievance or arbitration procedures. 5.4 With respect to all sums deducted by the District pursuant to sections 5.1 and 5.2 above, whether for membership dues or agency fee, the District agrees to promptly remit such monies to the Association, accompanied by an alphabetical list of bargaining unit members for whom such deductions have been made, categorizing them as to membership or non-membership in the Association, and indicating any changes in personnel from the list previously furnished. The Association agrees to furnish any information needed by the District to fulfill the provisions of this Article.
