General Investigation. In addition, Purchaser shall have from the date hereof until July 30, 2018 at 5:00 p.m. Eastern Time (the “Investigation Period”) to notify Seller that, as a result of Purchaser’s review of any documents (other than the Title Report or the Survey) or Purchaser’s investigation of the Property, it disapproves of any matter or item affecting the Property and terminates this Agreement. If Purchaser fails to give such notice of disapproval and termination with respect to any matter relating to the Property prior to the expiration of the Investigation Period, such failure shall be conclusively deemed to be full and complete approval of such matters and a satisfaction of this condition.

General Investigation. In addition, Purchaser shall have the period commencing on the date hereof and ending on the Effective Date (the “Investigation Period”) to notify Seller that Purchaser, in its sole and absolute discretion, for any reason or no reason, has elected to terminate this Agreement. If Purchaser fails to deliver a written notice to Seller waiving its termination right hereunder on or before the expiration of the Investigation Period, then this Agreement shall terminate automatically, which termination shall be subject to the terms of Section 5.4. If Purchaser delivers written notice waiving its termination right under this Section 5.3.2, Purchaser shall be conclusively deemed to have fully approved the Property and the condition thereof and to have elected to proceed with this transaction pursuant to this Agreement and this condition shall be deemed satisfied. For clarity, Purchaser acknowledges that the Investigation Period has expired with the execution of this Agreement.
General Investigation. In addition, Purchaser shall have until 5:00 p.m. (New York Time) on the business day which is thirty (30) days following the Effective Date (the “Investigation Period”) to notify Seller that, as a result of Purchaser’s review of any documents (other than the Title Report or the Survey) or Purchaser’s investigation of the Property, it disapproves of any matter or item affecting the Property and terminates this Agreement. If Purchaser fails to give such notice of disapproval and termination with respect to any matter relating to the Property prior to the expiration of the Investigation Period, such failure shall be conclusively deemed to be full and complete approval of such matters and a satisfaction of this condition.
General Investigation. In addition, Purchaser shall have thirty (30) days from the date of full execution of this Agreement, to inspect the Property. The Purchaser will deliver written notice to Seller prior to the expiration of the thirty (30) day period of the Purchaser’s determination of whether or not the Property is acceptable. If the Purchaser timely delivers written notice to Seller that the Property is not acceptable, the Escrow Agent shall promptly return the Xxxxxx Xxxxx Deposit to the Purchaser. The County’s failure to comply with this notice requirement will constitute acceptance of the Property in its present “as is” condition. If Purchaser determines to proceed with the purchase of the Property, then Purchaser shall, on or before the expiration of the expiration of the thirty (30) day period, so notify Seller in writing, in which case Purchaser shall be deemed to have approved the Property and all the items or conditions in ARTICLE 5 and this condition shall be deemed satisfied. Until such time, Purchaser shall diligently pursue its investigation of the Property.

New York City Time (the "Investigation Period") to notify Seller that as a result of Buyer's review of the documents set forth in Section 5.1 (other than the Title Report or the Survey which are covered in Section 5.3.1 above) or Buyer's investigation of the Real Property pursuant to Section 5.2 it (I) disapproves of any matter or item affecting the Property (which disapproval may be in Buyer's sole discretion) or (II) it has not been able to obtain (after using commercially reasonable efforts to do so) the approval of the Board of Directors of its general partner, Home Properties of New York, Inc., and thus has elected to terminate this Agreement. If Buyer fails to give such notice of disapproval and termination prior to the expiration of the Investigation Period, such failure shall be conclusively deemed to be a waiver of Buyer's right to terminate this Agreement under this Section 5.3.2.

If Buyer fails to give such notice of disapproval and termination prior to the expiration of the Investigation Period, such failure shall be conclusively deemed to be a waiver of Buyer’s right to terminate this Agreement under this Section 5.3.2.

If Purchaser fails to give notice of termination prior to the expiration of the Investigation Period, such failure shall be conclusively deemed to be Purchaser’s election to proceed with the transaction described in this Agreement after consideration of any and all such matters and a satisfaction of this condition and Purchaser shall thereafter have no right to terminate the Agreement pursuant to Section 5.3.

General Investigation. In addition, Purchaser shall have from the date hereof until 11:59 p.m. Dallas, Texas time on the date that is twenty (20) days from the Effective Date (the "INVESTIGATION PERIOD") to terminate this Agreement as a result of Purchaser's review of any documents (other than the Title Commitment or the Survey), Purchaser's investigation of the Property, or for no reason at all. This Agreement shall not terminate unless Purchaser notifies Seller in writing prior to the end of the Investigation Period that it has elected to terminate this Agreement pursuant to this SECTION 5.3.2.

If Purchaser fails to give notice of termination prior to the expiration of the Investigation Period, such failure shall be conclusively deemed to be full and complete approval of such matters and a satisfaction of this condition and Purchaser shall thereafter have no right to terminate the Agreement pursuant to Section 5.3.
