Impressions. During the Term, AOL will deliver the following Impressions commitments through the Promotions (or any comparable promotions as provided in Section 1.1 hereof) during the following monthly periods (each a "Period"): [*] by the end of the [*] month of the Term, [*] Impressions from the [*] month to the end of [*] of the Term, and [*] month to the end of the [*] month of the Term (which Impressions, together with the Impressions delivered to MP pursuant to Section 1.3 hereof, as adjusted from time to time in accordance with Section 1.3, are hereinafter referred to as the "Impressions Commitment"). With respect to the Impressions Commitment, AOL will not be obligated to provide more than such target amounts, individually or in the aggregate, in any given Period. Any shortfall in Impressions at the end of a Period will not be deemed a breach of this Agreement by AOL; instead, such shortfall will be added to the Impressions target for the subsequent Period. In the event that as of the Mutual Review Date, AOL shall not have provided a minimum of [*] through the Promotions and the Additional Promotions (the "Impressions Minimum"), AOL shall have a reasonable time, not to exceed [*] within which to deliver the Impressions Minimum. Impressions. With respect to any Impressions targets specified on Exhibit A, AOL will not be obligated to provide in excess of any of such target amounts in any year. In the event there is a shortfall in Impressions as of the end of the Term (a "Final Shortfall"), AOL will provide 1-800-Flowers, as its sole remedy, with advertising placements through "run of service" advertising on the AOL Network which have a total value, based on an advertising rate of [****] per thousand Impressions, equal to the value of the Final Shortfall (determined by multiplying the percentage of Impressions that were not delivered by the total, guaranteed payment provided for below).
Impressions. Web advertising impressions sold or made available for sale over the Flycast Open Network.
Impressions. Impressions. The online promotional placements within certain areas ----------- of the AOL Network, as required by Section 3.1 above, shall result in at least the total amount of annual Impressions indicated on the Promotional Plan; provided that AOL shall not be obligated to provide in excess of any required amount of Impressions in any year. AOL will use commercially reasonable efforts to deliver the Impressions in roughly proportionate quarterly amounts based on the annual target levels. Except as set forth below in this Section 3.2, any shortfall in Impressions at the end of a Contract Year shall not be considered a breach hereof by AOL; such amount shall instead be added to the target level in the subsequent Contract Year. Impressions. A user's viewing of any screen containing an ----------- advertisement, promotion or other similar placement required under this Agreement, as determined by AOL from time to time.
Impressions. Beginning on the Launch Date, Snap will use commercially reasonable efforts to deliver a total number of Impressions in the aggregate dollar amounts of $7,500,000 during Year One, $7,500,000 during Year Two and $7,500,000 during Year Three. Delivery of the Impressions hereunder will be based on a schedule and placement guidelines selected by Snap in its reasonable discretion, taking into consideration the reasonable requests of the Company, and at a 30% discount from the rates set forth in the applicable Snap's standard rate card attached hereto as EXHIBIT B; provided, however, that if all of the rates set forth in Snap's then current standard rate card decrease during the Term by more than 15% relative to all of the rates set forth in EXHIBIT B, then the number of Impressions to be reasonably calculated by Snap and to be delivered by Snap hereunder shall increase in proportion to the amount of decrease in rates in excess of the aforementioned 15%, with the number such additional Impressions to be reasonably calculated by Snap and to be delivered by Snap at such time and in such manner as Snap in its sole discretion shall decide during the remainder of the Term. Any Impression not listed in the applicable Snap standard rate card shall be assigned the value of a comparable Impression on such rate card by Snap.
