Marysville School District #25 shall not control or supervise the manner in which this agreement is performed nor withhold or pay taxes on behalf of Contractor and Contractor’s employee(s) or agent(s).

INDEPENDENT CONTRACTOR STATUS OF CONTRACTOR. Contractor, together with its agents, Subcontractor, officers and employees, will have and always retain under the Contract the legal status of an independent contractor, and in no manner will they be deemed employees of the Department or deemed to be entitled to any benefits associated with such employment. During the term of the Contract, Contractor will maintain at its sole expense those benefits to which its employees would otherwise be entitled to by law, including health benefits, and all necessary insurance for its employees, including workers’ compensation, disability and unemployment insurance, and provide the Department with certification of such insurance upon request. Contractor remains responsible for all applicable federal, state and local taxes, and all FICA contributions. Each party to the contract is considered an independent contractor and as such will not have any authority to bind or commit the other. Nothing herein will be deemed or construed to create a joint venture, partnership or agency relationship between the parties for any purpose.
INDEPENDENT CONTRACTOR STATUS OF CONTRACTOR. Contractor and the Contractor's employees and agents shall perform all duties pursuant to this contract as an independent contractor. Contractor certifies they are customarily engaged in the business for which this contract is written, that they are responsible for filing a schedule of expenses with the Internal Revenue Service on the next applicable filing date, that they have established an account with all state agencies requiring such registration or license and that they are maintaining a separate set of books and records reflecting items of income and expense for their business. Contractor shall provide to NEWESD 101 their Unified Business Identifier (UBI) number issued by the Washington State Department of Revenue. If no UBI number has been issued, Contractor certifies that total yearly receipts for all contract work are below the threshold established by the Washington State Department of Revenue as seen at xxxx://xxx.xx.xxx/content/doingbusiness/.
INDEPENDENT CONTRACTOR STATUS OF CONTRACTOR. A. Contractor as Independent Contractor. Contractor shall perform all required Services as an independent Contractor. Although Owner reserves the right (i) to determine (and modify) the delivery schedule for the Services to be performed and (ii) to evaluate the quality of the competed performance, Owner cannot and will not control the means or manner of Contractor’s performance. Contractor is responsible for determining the appropriate means and manner of performing the Services.

Contractor represents that it has established business accounts with state agencies for the business it is conducting and has registered for and received a unified business identifier number from the state of Washington. d. Contractor is free from direction or control in performing the services under this Agreement. ULS relies solely on Contractor’s expertise and experience to provide the Services under this Agreement, and expressly disclaims any right to monitor, direct or control Contractor in such performance. e. Contractor will be responsible for and pay all costs of conducting business, including but not limited to: the expense and responsibility for any and all applicable insurance, city, county, state and federal licenses, permits, taxes and assessments of any and all regulatory agencies, boards or municipalities; and the cost of obtaining certifications and continuing education. f. Contractor is responsible for maintaining a separate set of books or records reflecting income and expenses of Contractor’s business. g. Contractor is responsible for filing and payment of self-employment taxes, including income taxes, unemployment taxes, industrial insurance taxes and Social Security taxes, and shall indemnify ULS and hold ULS harmless for paying such taxes. h. INDEPENDENT CONTRACTOR STATUS OF CONTRACTOR. Contractor shall be an independent contractor with respect to the performance of all Work, and neither Contractor nor anyone employed by Contractor shall be deemed for any purpose to be the employee, agent, servant, borrowed servant, or representative of Owner in the performance of any Work (despite Contractor’s obligation to comply with various rules and regulations of the Owner). The Work contemplated herein shall meet the approval of Owner and be subject to the general right of inspection of Owner to secure the satisfactory completion thereof. The actual performance and supervision of all Work shall be by Contractor, but Owner or its representatives shall have full and complete access to the Work site to determine whether the Work is being performed by Contractor in accordance with all provisions of this Contract and for reasons otherwise stated in this Contract. No provisions herein shall be construed as creating a partnership, joint venture or other association whereby the Owner and Contractor would be jointly liable or liable as partners or co-venturers.
