Investor Closing Conditions. The obligation of the Investors to consummate the transactions contemplated hereby is subject to satisfaction or waiver of each of the following conditions at or prior to the First Closing and any Subsequent Closing:

Investor Closing Conditions. The obligation of you to purchase and pay for the Securities on the Closing Date, as provided in Section 1 hereof, shall be subject to the satisfaction, prior thereto or concurrently therewith, of the following conditions:
Investor Closing Conditions. Each Investor's obligation to purchase the number of shares of Series A Preferred set forth opposite its name on the signature page hereto shall be subject to the following conditions, any one or more of which may be waived by the Investor: (a) Investors shall have executed this Agreement and delivered payment for the purchase of shares of Series A Preferred with an aggregate purchase price of at least $500,000; (b) the Investor's receipt of an opinion addressed to it of the Company's counsel in the form attached hereto as Exhibit B; and (c) the accuracy of the representations and warranties made by the Company and the fulfillment of those undertakings of the Company to be fulfilled prior to the Closing.
Investor Closing Conditions. The Company acknowledges that the Closing is subject to, among other things, the following conditions being fulfilled or performed on or before the Closing Date, which conditions are for the exclusive benefit of the Investor and may be waived, in whole or in part, by the Investor in its sole discretion in writing:
