Job Books. Not later than the Project Mechanical Completion Date, Contractor shall deliver to Owner for Owner’s review and approval three (3) copies of the final Job Books, substantially in the format and having the contents set forth in Exhibit 23. The Job Books shall be prepared in English only. Where any of the information in the Job Books was produced by computer-aided design and is available to Contractor or any Subcontractor, Contractor shall provide or cause to be provided to Owner an editable electronic copy of such information; and Owner shall have a non-exclusive, irrevocable, royalty-free license to use such information for the purposes of construction, operation, maintenance, service, and/or repair of the Project.

Contractor-Provided Training. Commencing at least thirty (30) days prior to the then-scheduled date for achievement of Mechanical Completion, Contractor shall provide, at its own expense, a training program in the operation and maintenance of the Project for Owner’s Project Personnel and the operation and maintenance contractor’s Project Personnel (collectively, “O&M Personnel”). The training program provided by Contractor shall be as described on Exhibit J-1 and shall (a) include classroom and field training, (b) include all educational materials necessary for such training, and (c) establish quality controls so that O&M Personnel are suitably trained and capable of operating and maintaining the Project after Project Substantial Completion. Contractor shall make every reasonable effort to use the O&M Personnel during start-up and initial operation of the Project; provided, however, Owner shall not be obligated to supply (i) O&M Personnel for the construction of the Project or (ii) provide during Project start-up and initial operation more O&M Personnel than the number of O&M Personnel Owner an Operations and maintenance contractor would use during normal Project operation as determined by Owner.   • Company Books The Managers shall maintain and preserve, during the term of the Company, and for five (5) years thereafter, all accounts, books, and other relevant Company documents. To the extent allowed by law, the Manager shall honor requests of Members to keep their contact information confidential.

  • Corporate Books and Records The minute books of the Company contain accurate records of all meetings and accurately reflect all other actions taken by the stockholders, Board of Directors and all committees of the Board of Directors of the Company. Complete and accurate copies of all such minute books and of the stock register of the Company have been provided by the Company to the Buyer.

  • Offices, Records and Books of Account The Seller will keep its principal place of business and chief executive office and the office where it keeps its records concerning the Pool Receivables (and all original documents relating thereto) at the address of the Seller set forth in Section 7.02 of the Agreement or, upon 30 days’ prior written notice to the Administrative Agent, at any other locations in jurisdictions where all actions reasonably requested by the Administrative Agent to protect and perfect the interest in the Collateral have been taken and completed.   • Maintaining Books and Records Accurate books, records and accounts shall be maintained by the Partnership for each Restaurant and for the Partnership showing their respective assets, liabilities, operations, transactions and financial condition, as well as the names and addresses of the Partners. The Purchaser acknowledges that the Purchaser is and remains bound by that certain Confidentiality Agreement, dated as of April 21, 2015 (as amended from time to time, the “Confidentiality Agreement”), by and between Purchaser and GTCR LLC (“GTCR”). The information provided pursuant to this Section 7.02 will be used solely for the purpose of effecting the transactions contemplated by this Agreement, and will be governed by all the terms and conditions of the Confidentiality Agreement.
