Liability Disclosure Clause Samples

A Liability Disclosure clause defines the extent to which each party is responsible for losses, damages, or claims arising from the agreement. Typically, this clause outlines what types of liabilities must be disclosed, such as known risks, potential legal claims, or outstanding obligations, and may require parties to notify each other of any material issues that could impact the contract. Its core function is to ensure transparency between parties, helping to allocate risk appropriately and prevent disputes by making sure all relevant liabilities are known before finalizing the agreement.
