Licensor Access Sample Clauses
Licensor Access. The Licensor or its designated representative(s), shall have the right to enter onto the licensed property within twenty-four (24) hour notice to conduct inspections. The Licensor or its representative(s) assume full responsibility, as provided by law, for damage to property or injuries to persons arising directly as a result of such inspection or entry. When Licensor determines that said entry has reduced the area under the Licensee’s control, Licensor may authorize a proportionate reduction in rental payment for the time during which Licensee is deprived of use.
Licensor Access. The Licensor shall have the right at any time to enter upon the License Area for the purposes of inspecting the Works and reconstructing, maintaining, repairing, inspecting, testing or removing any works, utility or road existing at the date of this Agreement in the vicinity of or within the Works. The Licensor shall in undertaking such activities use reasonable efforts to cause its officers, directors, employees, agents and contractors to minimise any disruption or damage to the Works.
Licensor Access. Section 11.1 Licensor and its employees, contractors and agents shall have the right, on reasonable prior notice to Licensee (except in the case of an emergency in which event Licensor shall have the immediate right without notice), from time to time throughout the License Term, to enter any portion of the Licensed Space from 7:00 a.m. to 5:30 p.m. (referred to in this Agreement as “business hours”) on business days during business hours to examine the same, to show the same to prospective purchasers, mortgagees, licensees or tenants and to make such repairs, alterations, improvements or additions as Licensor may deem necessary or desirable to the Licensed Space or any other portion of the Premises; provided that (except in the event of an emergency) such access by Licensor shall be subject to reasonable limitations imposed by Licensee related to proprietary and confidential information of the Licensee and any work performed or inspections or installations made by Licensor shall be using reasonable efforts to minimize disruption to the business and operations of Licensee. None of the foregoing access rights shall give rise to any decrease or abatement of the License Fee and nothing contained in this Section 11.1 shall be deemed to impose upon Licensor any obligation to employ contractors or labor at overtime or other premium pay rates.
Section 11.2 The exercise by Licensor or its agents or by the holder of any mortgage of any right reserved to Licensor in this Article XI shall not constitute an actual or constructive eviction, in whole or in part, or entitle Licensee to any abatement or diminution of the License Fee or any other amount due hereunder, or relieve Licensee from any of its obligations under this Agreement, or impose any liability upon Licensor, or their respective agents, or upon the holder of any such mortgage, by reason of inconvenience or annoyance to Licensee or injury to or interruption of Licensee’s operations.
Licensor Access. (1) Licensor and its authorized representatives shall have the right at all times to enter upon and have access to the Arena.
(2) A duly authorized representative of Licensee shall be in attendance at the Arena when the doors are opened and throughout the Event scheduled hereunder. Licensee shall provide all of its representatives and working personnel to be admitted to any part of the Arena with distinctive, visual identification which shall be approved by Licensor prior to the commencement of the Term.

LICENSOR shall have the right at any time to enter upon the Licence Area for the purposes of inspecting the Works and reconstructing, maintaining, repairing, inspecting, testing or removing any works, utility or road existing at the date of this Agreement in the vicinity of or within the Works. LICENSOR shall in undertaking such activities use reasonable efforts to cause its officers, directors, employees, agents and contractors to minimise any disruption or damage to the Works.
Licensor Access. Licensee agrees that Licensor shall have access to the Parking Area to inspect the Parking Area or to undertake activities reasonably required by Licensor, and Licensor agrees to use commercially reasonable efforts not to interfere with Licensee’s use of, or access to, the Parking Area.
Licensor Access. The Licensor shall be entitled to enter, inspect and otherwise have access to the License Area throughout the Term, and upon the expiry or sooner determination of the Term, or of any renewal thereof, the Licensee shall forthwith peaceably vacate and cease occupancy of the License Area without notice from the Licensor.
Licensor Access. Licensee shall (and shall ensure that its Affiliates and Sublicensees), at no cost to Licensor, give Licensor the right to use and reference all Development work product, Regulatory Materials, Regulatory Filings and Regulatory Approvals (including all data and information referenced therein) to the extent:
8.5.1 Controlled by Licensee or its Affiliates or its Sublicensees during the Term; and
8.5.2 related to ImmTOR (but not the Compound and/or the Products), in each case for use solely by and for the benefit of Licensor and its Affiliates and (sub)licensees in connection with their Exploitation of ImmTOR, whether alone or in combination (but not in combination with the Compound and/or in the form of the Products), and provided that Licensee may redact any information or data not related to ImmTOR. Notwithstanding the foregoing, neither Licensor nor any of its Affiliates shall give access or other rights with respect to such Development work product, Regulatory Materials, Regulatory Filings and Regulatory Approvals (including all data and information referenced therein) to any of their (sub)licensees, unless Licensor’s license agreement with such (sub)licensee permits Licensor the right to provide equivalent rights to Licensee to those set out in Section 8.4 in respect of such (sub)licensee’s Development work product, Regulatory Materials, Regulatory Filings and Regulatory Approvals (including all data and information referenced therein).
Licensor Access. Notwithstanding anything to the contrary contained herein, Licensor and its designated representatives shall retain and have access to the Licensed Premises at all times. EIGHTH Alterations Licensee will not make or cause to be made any alterations, additions (electrical, mechanical or otherwise) or physical changes in or to the Licensed Premises or to the fixtures, if any, therein without Licensor's prior written consent, such consent not to be unreasonably withheld provided Licensee shall agree to remove such alterations or changes at the end of the Term and posts security reasonably satisfactory to Licensor securing its obligation to do so. Licensor’s consent shall not be necessary for installation of stage sets and other temporary installations that can be removed without damage to the Licensed Premises or the Theater Building. Licensee will consult with Licensor’s Production Manager regarding possible problems with the installation or removal of Licensee’s set, and will follow all rules set up by the Production Manager for such installation and removal and must comply with all Building Code requirements.
Licensor Access. Licensee agrees to provide Licensor with temporary access on an emergency basis as needed for Licensor to access its maintenance department property located on the other side of the railroad, the location and nature of such access to be subject to the parties’ mutual agreement.
