Licensor Access. The Licensor or its designated representative(s), shall have the right to enter onto the licensed property within twenty-four (24) hour notice to conduct inspections. The Licensor or its representative(s) assume full responsibility, as provided by law, for damage to property or injuries to persons arising directly as a result of such inspection or entry. When Licensor determines that said entry has reduced the area under the Licensee’s control, Licensor may authorize a proportionate reduction in rental payment for the time during which Licensee is deprived of use.
Licensor Access. The Licensor shall have the right at any time to enter upon the License Area for the purposes of inspecting the Works and reconstructing, maintaining, repairing, inspecting, testing or removing any works, utility or road existing at the date of this Agreement in the vicinity of or within the Works. The Licensor shall in undertaking such activities use reasonable efforts to cause its officers, directors, employees, agents and contractors to minimise any disruption or damage to the Works.
Licensor Access. Section 11.1 Licensor and its employees, contractors and agents shall have the right, on reasonable prior notice to Licensee (except in the case of an emergency in which event Licensor shall have the immediate right without notice), from time to time throughout the License Term, to enter any portion of the Licensed Space from 7:00 a.m. to 5:30 p.m. (referred to in this Agreement as “business hours”) on business days during business hours to examine the same, to show the same to prospective purchasers, mortgagees, licensees or tenants and to make such repairs, alterations, improvements or additions as Licensor may deem necessary or desirable to the Licensed Space or any other portion of the Premises; provided that (except in the event of an emergency) such access by Licensor shall be subject to reasonable limitations imposed by Licensee related to proprietary and confidential information of the Licensee and any work performed or inspections or installations made by Licensor shall be using reasonable efforts to minimize disruption to the business and operations of Licensee. None of the foregoing access rights shall give rise to any decrease or abatement of the License Fee and nothing contained in this Section 11.1 shall be deemed to impose upon Licensor any obligation to employ contractors or labor at overtime or other premium pay rates.
Section 11.2 The exercise by Licensor or its agents or by the holder of any mortgage of any right reserved to Licensor in this Article XI shall not constitute an actual or constructive eviction, in whole or in part, or entitle Licensee to any abatement or diminution of the License Fee or any other amount due hereunder, or relieve Licensee from any of its obligations under this Agreement, or impose any liability upon Licensor, or their respective agents, or upon the holder of any such mortgage, by reason of inconvenience or annoyance to Licensee or injury to or interruption of Licensee’s operations.
Licensor Access. (1) Licensor and its authorized representatives shall have the right at all times to enter upon and have access to the Arena.
(2) A duly authorized representative of Licensee shall be in attendance at the Arena when the doors are opened and throughout the Event scheduled hereunder. Licensee shall provide all of its representatives and working personnel to be admitted to any part of the Arena with distinctive, visual identification which shall be approved by Licensor prior to the commencement of the Term.
Licensor Access. LICENSOR shall have the right at any time to enter upon the Licence Area for the purposes of inspecting the Works and reconstructing, maintaining, repairing, inspecting, testing or removing any works, utility or road existing at the date of this Agreement in the vicinity of or within the Works. LICENSOR shall in undertaking such activities use reasonable efforts to cause its officers, directors, employees, agents and contractors to minimise any disruption or damage to the Works.
Licensor Access. The Licensor shall be entitled to enter, inspect and otherwise have access to the License Area throughout the Term, and upon the expiry or sooner determination of the Term, or of any renewal thereof, the Licensee shall forthwith peaceably vacate and cease occupancy of the License Area without notice from the Licensor.
Licensor Access. Licensee agrees that Licensor shall have access to the Parking Area to inspect the Parking Area or to undertake activities reasonably required by Licensor, and Licensor agrees to use commercially reasonable efforts not to interfere with Licensee’s use of, or access to, the Parking Area.
Licensor Access. The Licensor reserves the right to access:
14.1 Hybrid Mail to apply system updates at any time. For the avoidance of doubt, such system updates would not carry a cost unless they were at the request of the Licensee; and
14.2 Any software or alike supplied to the Licensee, insofar that such access is limited to maintenance of such software or general audit of use.
Licensor Access. Licensor and its agents shall have ----- --------------- the following rights in and about the Licensed Space: (i) to enter the Licensed Space at all times to examine the Licensed Space or for any of the purposes set forth in this Article TENTH or for the purpose of performing any obligation of Licensor under this License Agreement or exercising any right or remedy reserved to Licensor in this License Agreement, or complying with any Legal Requirement which Licensor is obligated to comply with hereunder, and if Licensee, its officers, partners, agents or employees shall not be personally present or shall not open and permit an entry into the Licensed Space at any time when such entry shall be necessary or permissible, to use a master key or to forcibly enter the Licensed Space; (ii) to erect, install, use and maintain pipes, ducts and conduits in and through the Licensed Space; (iii) to exhibit the Licensed Space to others; (iv) to make such decorations, repairs, alterations, improvements or additions, or to perform such maintenance, including, but not limited to, the maintenance of all heating, air conditioning, ventilating, elevator, plumbing, electrical, telecommunication and other mechanical facilities, as Licensor may deem necessary or desirable; (v) to take all materials into and upon the Licensed Space that may be required in connection with any such decorations, repairs, alterations, improvements, additions or maintenance; and (vi) to alter, renovate and decorate the Licensed Space at any time during the License Term if Licensee shall have removed all or substantially all of Licensee's property from the Licensed Space. The lessors under any superior lease and the holders of any mortgage shall have the right to enter the Licensed Space from time to time through their respective employees, agents, representatives and architects to inspect the same or to cure any default of Licensor or Licensee relating thereto. Licensor shall have the right, from time to time, to change the name, number or designation by which the Building is commonly known which right shall include, without limitation, the right to name the Building after any tenant of the Building.
Licensor Access. Licensee agrees to provide Licensor with temporary access on an emergency basis as needed for Licensor to access its maintenance department property located on the other side of the railroad, the location and nature of such access to be subject to the parties’ mutual agreement.
