Location and Timing. Training shall be provided at the location set forth in the Order Form (the “Location”). If no location is specified, the training will be provided at a Location to be determined and confirmed in writing with the Customer. For onsite, virtual and e-learning training, the Customer is responsible for testing all necessary facilities and systems prior to the scheduled training to enable Imply to provide the training unless otherwise specified in the Order Form. Unless otherwise advised, Customer training participants who attend public training should arrive at the classroom location no later than fifteen (15) minutes (and no later than thirty (30) minutes to the virtual classroom) prior to the commencement of the training on the first training day. Where and when the length of a course is specified in a number of days, a “day” is not more than seven (7) hours of lecture with a one (1) hour breakfast or lunch. Any onsite training will be agreed between the Parties, but shall not include more than seven (7) hours of lecture on any single day. Training is only valid for the number of courses, dates and times (including the start and end date), Locations, delivery mechanisms (i.e., onsite, virtual or other), and number of students (participants) specified in the Order Form. Training dates must be confirmed three or more weeks in advance of the training date. All confirmed training registrations will be subject to the postponement policy as detailed in Section 5.
Location and Timing. The arbitration shall take place in Oklahoma City, Oklahoma and commence within sixty (60) days after the selection of the third arbitrator, unless delayed by order of the arbitrators. The hearing shall be based upon written position papers submitted by each Party within fifteen (15) days after the selection of the third arbitrator, stating such Party’s proposed resolution of the dispute. The Parties and the arbitrators should proceed diligently and in good faith in order that the award may be made as promptly as possible. The arbitrators shall determine the Arbitrable Disputes and render a final award on or before thirty (30) days following the completion of the hearing. The arbitrators’ decision shall be in writing and set forth the reasons for the award.
Location and Timing. The purchase and sale of the Shares shall take place at the offices of the Company on the date hereof or on such other date or at such other location as the parties hereto shall mutually agree upon (hereinafter referred to as the "Closing" or the "Closing Date").
Location and Timing. WEDP will construct the Canal Bank Reinforcements on the edge of the Surplus Property where it abuts the Canal Bank. The timing of WEDP’s construction of the Canal Bank Reinforcements shall be mutually agreed upon by the City and WEDP.
Location and Timing. The park shall be centrally located (between NW 24th and NW 26th Avenues and, between XX Xxxxxx Street and a future NW York Street) on the Subject Properties.
4.5.3.1 Prior to City issuance of a building permit for the first market rate residential project on the Subject Properties, the Property Owner shall provide a site plan
4.5.3.2 The Property Owners must build the 40,000-square-foot park on or before the completion of construction of the 1,000th dwelling unit on the Subject Properties or within ten years of the effective date of this agreement, whichever comes first.
4.5.3.3 The Property Owner will be eligible for a Parks Systems Development Charges (SDCs) reduction or credit equivalent to the value of the agreed upon, which will be determined in coordination with the PP&R. A parks SDC reduction or credit can be obtained by the process outlined in the PCC 17.13.070
4.5.3.3.1 It shall be the responsibility of the Property Owners/developers to initiate discussions with appropriate PP&R staff to arrive at the mutually agreed upon cost of construction for a park that meets all the required key park elements and locational and timing requirements, prior to seeking either reductions or credits as outlined above, in accordance with PCC 17.13.070 B.
4.5.3.4 The Property Owners will pay all SDCs due until such time as PP&R, or its successor, has issued a confirmation letter that a Park has been created that meets the requirement herein. Deferrals and installment plans may be requested, in accordance with PCC 17.13.090A.
