Manner of Performance of Services. The Contractor must carry out the Services during the Services Period: (a) with due care and skill and to the best of the knowledge and expertise of the Contractor; (b) efficiently, effectively, in good faith, to a high standard and to achieve value for money; (c) in accordance with the performance and other requirements set out in Item 3; (d) in a professional manner and in accordance with any applicable ethical codes or standards; (e) in accordance with relevant Australian (or if there are none, international) industry standards, best practice and guidelines; (f) using the Key Personnel (if any); (g) in accordance with: (1) all applicable Law; (2) all applicable governmental policy of which a prudent and experienced Contractor providing the Services should have been aware; and (3) specified laws, policies, guidelines, standards and clinical governance set out in Item 3; (h) in accordance with the PHN’s reasonable directions; (i) so as to meet the Deliverable Dates and where no Deliverable Dates are specified, promptly and without delay (time being of the essence); and (j) otherwise in accordance with this Agreement.

Manner of Performance of Services. The Servicer shall be entitled to determine the manner in which the Services are accomplished and shall have the right to effect such changes or modifications to its equipment, computer programs, reports, procedures and techniques as it deems necessary or advisable without the consent of the Client; provided, however, that such determination, changes or modifications shall not abrogate or in any way modify the Servicer’s obligations under this Agreement (including with respect to the standard of care relating to the servicing of the Serviced Loans). The Servicer shall notify the Client and ITT of any major systems modifications, such as replacing its hardware or software platforms.
Manner of Performance of Services. (a) Xxxxx XxXxxxx will perform the Services, on behalf of Consultant, in a professional and workmanlike manner and without direct supervision of NutraSource personnel. (b) Any documents, equipment, or other materials supplied to Consultant by NutraSource are and shall remain the property of NutraSource, and are for use in performing Services for NutraSource only. Upon completion of consultant's assignment or termination of the assignment for any reason, Consultant shall promptly return to NutraSource such documents, equipment, and other materials and any copies thereof, in the same condition as supplied, reasonable wear and tear excepted. (c) Consultant is self-employed and, except during the initial ninety (90) day period of this Agreement, may perform work for others during the course of this contract.
