Marketing and Technical Support. SETI shall appoint a marketing contact (“SETI’s Marketing Contact”) and a technical contact (“SETI’s Technical Contact”) to support the relationship established in this Agreement. 6.2.1. SETI shall use commercially reasonable efforts to effectively promote and market the EPIR Products, the EPIR Independent Products and the SETI Products. SETI shall attain the annual sales goals developed by the TDB for each EPIR Product and related SETI Product. SETI shall attain the annual sales goals reasonably set by EPIR for each EPIR Independent Product and related SETI Product. 6.2.2. Upon EPIR’s reasonable request, SETI shall provide technical support to EPIR with respect to the development of the EPIR Products. Said technical support shall be limited to the dimensions, features and aesthetic conditions that may be required to sell the SETI Products and the EPIR Products. 6.2.3. Through the TDB, SETI shall keep EPIR properly informed of any modifications and/or upgrades to EPIR Products or EPIR Independent Products that may be necessary to satisfy a large customer’s purchase requirements. 6.2.4. SETI shall train its sales force and distribution channels on (a) the EPIR Products using training materials that are mutually agreeable to the Parties and (b) the EPIR Independent Products using training materials supplied, or otherwise agreed to, by EPIR. All costs and expenses arising from SETI’s employees’ participation in such trainings shall be paid by SETI. 6.2.5. SETI shall conduct, and shall cause its employees to conduct, its marketing obligations in a manner that will reflect favorably on the EPIR Products and EPIR Independent Products, and on the goodwill and reputation of SETI and EPIR. SETI shall take all action necessary to prevent and avoid deceptive, misleading or unethical practices. 6.2.6. SETI shall provide any required maintenance of an EPIR Product or EPIR Independent Product after the expiration of the EPIR warranty set forth in Exhibit G. 6.2.7. SETI shall be responsible for the integration of the EPIR Products and EPIR Independent Products into SETI Products.

When carrying out promotional activities, Party A shall notify Party B in advance if any special circumstance occurs, e.g. Taomee Mibi Physical Cards are packaged into similar peripheral products, etc. Party A shall use effective channels (e.g. Party A’s website, Taomee login interface, etc. to let users know the promotional activities of Taomee Mibi. 5.3 It is determined by Party A and Party B through negotiation that Party A shall actively support Party B in marketing and advertising; that Party A’s market promotional activities shall mainly be sponsored or assisted by Party B; that Party A shall provide Party B with necessary support in material, economic and other aspects, depending on the difficulty of the activity concerned. 5.4 It is determined by Party A and Party B through negotiation that, during the sales process, Party B may cooperate Party A in promoting and publicizing products through distributing promotional materials, hosting exhibitions, organizing topic-specific promotions, etc. for free. Details shall be separately agreed by both parties. Party B shall actively publicize the Party A’s products and duly carry out its sales work in its sales region. 5.5 Common Advertisement Support - Party A and Party B shall closely collaborate in promoting and publicizing the Taomee Mibi Physical Cards. 5.6 In order to manage the Physical Card market in Guangdong Province and Hainan Province, if any Taomee Mibi Physical Cards being sold are obtained through theft, Party B reserves the right to request Party A to block such cards. Within 48 hours after Party B submits relevant evidences, Party A shall cooperate with Party B carrying out relevant operations (e.g. blocking cards, freezing cards, etc.) regarding to the issue reported by Party B.
Marketing and Technical Support. The Technology Partner shall appoint a marketing contact ("Technology Partner's Marketing Contact") and a technical contact ("Technology Partner's Technical Contact") to support the Technology Partnership as provided in Appendix 2. * The Technology Partner shall effectively promote and market Gemplus Products and the Solution. * The Technology Partner shall provide technical support for the Solution. * The Technology Partner agrees to keep GTA informed of such modifications and upgrades of the Technology Partner's Solution which, in the Technology Partner's opinion, is/are relevant. * The Technology Partner shall train its sales force and distribution channels on the Solution and on the Gemplus Products using the training materials supplied by GTA. * The Technology Partner shall train the GTA's Technical Contact on the Solution on a regular basis. * The Technology Partner shall provide the maintenance for the Solution. * The Technology Partner shall purchase the development kits for the integration of the Gemplus Products in to the Solution. * Any and all material provided to GTA by the Technology Partner will be done so in English. If any translation is required or if GTA need additional quantities, it shall be subject to prior agreement by the Technology Partner and the costs shall be borne by GTA.
Marketing and Technical Support. (a) Supplier agrees to provide Purchaser (but not to its Affiliates or distributors), with such reasonable technical support as Purchaser may from time to time request with respect to the Commercialization of the Product, including access to research data, interpretation of such research data, assistance in initial backgrounding of Purchaser sales, marketing and technical service personnel, competitive analysis and general advice and counsel pertinent to supporting the Products in the marketplace. Such support shall be provided at no additional cost to Purchaser. To the extent appropriate, such data shall be subject to the confidentiality obligations set forth in the License Agreement. (b) Purchaser agrees to provide to Supplier copies of all training, advertising and promotional materials for the Product, as those materials become available, including translations thereof into the English language. Purchaser agrees that all such materials shall be prepared in accordance with all applicable laws and regulations. (c) Supplier shall promptly refer to Purchaser all customer inquiries and correspondence which Supplier receives from persons within a Territory in the Field relating to the Product.
