Medical Directors. P.C. shall designate one or more Medical Directors, each of whom is properly qualified to perform the supervisory, quality assurance and credentialing (collection and verification of information) functions necessary for the rendering of appropriate Medical Services at the Sites.
Medical Directors. CarePlus shall provide the services of one (1) or more Physicians, to serve as Medical Director(s) for CarePlus, as necessary for the proper administration of CarePlus and general coordination of CarePlus’ medical care delivery system. The responsibilities of the Medical Director(s) shall include: general coordination of CarePlus’ medical care delivery system including coordination with Hospital Entity’s Medical Director, appropriate professional medical staffing of CarePlus, design and review of quality assurance protocols and utilization control procedures for CarePlus, and implementation of quality assurance and utilization management programs and continuing education requirements as may be required for Innovative.
Medical Directors. The parties have identified medical director positions and corresponding qualifications and compensation that will be necessary to manage and improve the quality, efficiency and effectiveness of the Service Line, which are listed and memorialized in Schedule 1.4 provided, however, the compensation payable to medical directors shall be at the expense of Manager and also shall be consistent with fair market value without taking into consideration the volume or value of referrals or other business any medical director may generate for the Hospital. Manager shall employ the medical directors, the terms and conditions of which shall comply with the exception at 42 C.F.R. § 411.357(c) or other applicable exception pursuant to regulations adopted under 42 U.S.C. § 1395nn (the “Xxxxx Law”). The medical directors will be considered Manager Representatives. Manager shall compensate all medical directors only on the basis of documented time and effort expended in the provision of such services. This documentation shall be maintained by Manager and made available to HOSPITAL upon request.
Medical Directors a) The Contractor's Medical Director shall participate in Medical Directors' Meetings with the medical directors of the other MCOs participating in the MMC Program in New York City and representatives of the New York City Department of Health and Mental Hygiene. The purpose of the Medical Directors' Meetings shall be to share public health information and data; recommend that certain public health information be disseminated by the MCOs to their Participating Providers; discuss public health strategies and outreach efforts and potential collaborative projects; encourage the development of MCO policies that support public health strategies; and provide a vehicle for communication between the MCOs participating in the MMC Program and the various bureaus and divisions of the NYC Department of Health and Mental Hygiene. The parties hereto acknowledge and agree that: (a) Xxxxxx Xxxxxx, M.D. will be offered the position of Medical Director of Baylor Surgicare at his current rate of compensation for a minimum term of three years from the Effective Date; (b) Xxx Xxxxxxx, M.D. will be offered the position of Medical Director of Texas Surgery Center at his current level of compensation for a minimum period of three years from the Effective Date; and (c) USP will offer to Xx. Xxxxxx the position of Regional Medical Director for the North Texas Region for compensation to be agreed upon by USP and Xx. Xxxxxx (which shall include stock options in USP Parent in accordance with the polices and procedures of USP Parent with respect to the grant of stock options to equivalent officers), but such employment shall not be subject to an employment agreement and shall be terminable at will by either USP or Xx. Xxxxxx.

The parties hereto acknowledge and agree that: (a) Robert Rehmet, M.D. will be offered the position of Medical Director xx Xxxxxx Xxrgicare at his current rate of compensation for a minimum term of three years from the Effective Date; (b) Tom Swygert, M.D. will be offered the position of Medical Director ox Xxxxx Xxxgery Center at his current level of compensation for a minimum period of three years from the Effective Date; and (c) USP will offer to Dr. Rehmet the position of Regional Medical Director for the North Txxxx Xxxxxn for compensation to be agreed upon by USP and Dr. Rehmet (which shall include stock options in USP Parent in accorxxxxx xxxx the polices and procedures of USP Parent with respect to the grant of stock options to equivalent officers), but such employment shall not be subject to an employment agreement and shall be terminable at will by either USP or Dr. Rehmet.
Medical Directors. The Management Agent may engage one or more local medical directors to coordinate and supervise the local medical management and administration of the Mobile Lithotripsy Systems. The Partnership will pay and be solely liable for the payment of the compensation to be received by the local medical director(s).

Medical Directors. Schedule 2.12 lists the medical director or medical directors of each program managed under each Management Contract. True, accurate and complete copies of each agreement or contract between Seller and each such Medical Director have been provided to Purchaser for its review. All payments by Seller to any such Medical Director has been for administrative services actually rendered by such Medical Director and no payments have been made to any such Medical Director to induce such Medical Director to refer patients to any program managed under any Management Contract or to compensate such Medical Director for any referral or admission of patients to the program. None of such Medical Directors have been convicted of a violation of any Medicare or Medicaid laws or regulations or any state licensing laws or been barred from participation under either of the Medicare or Medicaid programs.
