Most Favored Customer. Contractor shall, within thirty (30) days of their effective date, notify the Lead State and NASPO ValuePoint of any contractual most-favored-customer provisions in third-party contracts or agreements that may affect the promotion of this Master Agreement or whose terms provide for adjustments to future rates or pricing based on rates, pricing in, or Orders from this Master Agreement. Upon request of the Lead State or NASPO ValuePoint, Contractor shall provide a copy of any such provisions.

Most Favored Customer. Seller warrants that the price for the goods or services is the lowest price charged by Seller to any of its customers for similar volumes of similar goods or services. If Seller charges any other customer a lower price, Seller must apply that price to all goods or services under this Order. If Seller fails to meet the lower price, Buyer, at its option, may terminate this Order for default.
Most Favored Customer. Contractor agrees that if during the term of the Contract, Contractor enters into any agreement with any other governmental customer, or any non-affiliated commercial customer by which it agrees to provide equivalent services at lower prices, or additional services at comparable prices, Contractor will notify HHSC within (10) business days from the date Contractor executes any such agreement. Contractor agrees, at HHSC's option, to amend the Contract to accord equivalent advantage to HHSC.
Most Favored Customer. Seller represents and warrants that the price for the Goods is the lowest price charged by Seller to any of its external buyers for similar volumes of similar Goods. If Seller charges any other buyer a lower price, Seller must apply that price to all Goods under this Order. If Seller fails to meet the lower price, Buyer, at its option, may terminate this Order without liability pursuant to Section 21.
Most Favored Customer. Upon execution of this Agreement, until the expiration of the term of this Agreement, Consultant agrees to treat the County as its most favored customer in connection with its obligations under this Agreement, including but not limited to the assignment of staff on a priority basis. In accordance with such treatment, Consultant agrees not to re-assign any staff assigned to County projects to other projects until such time as the Consultant’s projects are completed to the County’s satisfaction.
Most Favored Customer. If any other customer of Provider obtains aggregate pricing and/or rebate terms with respect to any Services which are more favorable (taking into account all credits, discounts, rebates, adjustments, bonuses, allowances, or any other incentives offered) than those terms provided to CPS at any time during the term of this Contract, Provider shall retroactively adjust the pricing and/or rebate terms under the appropriate CPS agreement for each such Service to conform to the more favorable terms and Provider shall promptly pay CPS any amount owing CPS there from. CPS shall have the right to conduct periodic reviews of Provider’s books and records with respect to such Services to conform to Provider’s compliance with the provisions of this Section.
Most Favored Customer. 13.15.1 Vendor agrees to treat Prudential as its most favored customer. Vendor represents that all of the prices, warranties, benefits and other terms being provided hereunder are equivalent to or better than the terms being offered by Vendor to its current similarly situated customers with equivalent work complexity and volume. If Vendor enters into an agreement with another customer providing such customer with more favorable terms, then this Agreement will be deemed appropriately amended to provide such terms to Prudential. Vendor shall promptly provide Prudential with any refunds, credits or benefits thereby created. Additionally, in the event that Vendor's parent, 3i- Infotech, Ltd., or any successor provides a parental guarantee of any of Vendor's obligations under an agreement with another customer, Vendor agrees that such parent will provide a parental guarantee, to Prudential, of Vendor's obligations under the terms of this Agreement. 13.15.2 At the request of Prudential, but not more than once during each year during the Term, an officer of Vendor will confirm to Prudential that this Section has not been contradicted by Vendor since the later of (a) the Effective date, or (b) the date of the most recent confirmation provided by Vendor pursuant to this Section. If Vendor is unable to provide such confirmation because of a transaction entered into or offered by Vendor that is inconsistent with this Section, Vendor will provide Prudential an adjustment to the terms of the applicable Engagement Schedule as required in order to make the fees consistent with Section 13.15.1,

Most Favored Customer. The Agent and the Funds intend that the Fees payable under this Agreement shall represent the most favorable arrangement provided by the Agent to any Client similarly situated. Accordingly, in the event that (a) the Agent charges any actual Client that is, in the aggregate with respect to mutual funds with an affiliated manager or managers or a client base with respect to mutual fund transfer agents, of similar size, with a similar revenue structure, similar revenue amounts, similar volume and business mix of Transactions and similar distribution channels as that of the Funds, fees for the performance of Transfer Agent services comparable to the Services and (b) the fees offered are, in the aggregate, in amounts less than the Fees payable under this Agreement for the same services, the Agent shall so notify the Funds promptly and immediately prepare and deliver to the Funds a suitable Service Order reflecting any adjustments to the Schedule of Fees required in order for the Funds to receive the same (or lower) fees so offered by the Agent. The foregoing Most Favored Customer treatment shall not apply to Fees which have been agreed upon with a Client as part of a larger transaction in which the Agent is selling to or purchasing assets from the Client or otherwise acquiring from the Client something additional of substantial value.
Most Favored Customer. The CONTRACTOR agrees that if during the term of the Agreement, the CONTRACTOR enters into any agreement with any other governmental customer, or any non-affiliated commercial customer by which it agrees to provide equivalent services at lower prices, or additional services at comparable prices, the Agreement will, at HHSC’s option, be amended to accord equivalent advantage to HHSC.
Most Favored Customer. Seller represents and warrants to Buyer that the terms and conditions of this Order are at least as favorable to Buyer as those applicable to any other customer of Seller, and the price paid by Buyer (the “Price”) is not higher than the price charged to any other customer of Seller (including, but not limited to, any Governmental Authority) for products of like grade and quality. If Seller offers to any of its customers, or agrees to, terms and conditions more favorable than those set forth in this Order or a price for products of like grade and quality lower than the Price, this Order will automatically be revised so as to conform to the requirements of this Section 4.
