Notice of Advances. (i) Upon receipt by Agent from Borrower of a written request for Advance in accordance with Section 5 hereof and Borrower’s satisfaction of the requirements set forth in Section 5 hereof, Agent shall give a written notice (a “Notice of Borrowing”) to each Lender, (which Notice of Borrowing shall be given to each Lender not less than two (2) Business Days prior to the date of the proposed Advance), setting forth: (i) the total amount of the Advance requested by Borrower; (ii) the Borrowing Base received from Borrower supporting such requested Advance; (iii) the amount of all Loans remaining outstanding by each respective Lender; (iv) the outstanding principal balance of the Loan; (v) each such Lender’s Pro Rata Percentage of the requested Advance and (vi) the date on which such Advance is to be made; or
(ii) at its option, the Agent shall provide to each Lender: (A) each month by the close of business on the fifth (5th) Business Day following receipt by Agent from Borrower, but in no event later than the 30th day of the month: (i) a reconciled Borrowing Base Report in the form attached as Exhibit B hereof; and (ii) an updated trial balance and aging report for the Pledged Notes Receivable (a “Collateral Data Report”); and (B) by the close of business on the tenth (10th) Business Day following receipt by Agent from Borrower of the Borrowing Base Report and the Collateral Data Report: (i) a summary of all Advances made by Agent during the immediately preceding month (a “Summary of Weekly Advances”); and (ii) a summary report of Advances and repayments or collections for the immediately preceding month and a calculation of the net Lender’s Advance required of such Lender with respect to all Advances made during the immediately preceding month (a “Lender Advance Report”).
Notice of Advances. Each Borrower shall give the Lender irrevocable written notice, in the form of a Drawdown Notice, of any request for any Drawdown, any Rollover or any Conversion of any Advance under a Credit requested by it. Each Borrower will provide the Lender with at least three (3) Business Days notice of its request for a BA Advance, a Letter of Credit Advance or a LIBOR Advance. In the event a Borrower fails to give three (3) Business Days prior notice to the Lender of a conversion of a Prime Rate Advance to a BA Advance, the Lender may decline to accept Bankers' Acceptances requested within this three (3) Business Day period. Notice shall be given on the day of any Prime Rate Advance, provided however, Prime Rate Advances under Credit A, may be made by way of overdraft in a Borrower's Designated Account, without any notice. Any permanent reduction of a Credit shall only be effective on three (3) Business Days' notice as required by Section 5.2. Notices in respect of the Credits shall be given not later than 10:00 a.m. (Calgary time) on the date for notice. Payments (other than those being made solely from the proceeds of Rollovers and Conversions) must be made prior to 10:00 a.m. (Calgary time) on the date for payment. If a notice or payment is not given or made by those times, it shall be deemed to have been given or made on the next Business Day, unless the Lender agrees, in its sole discretion, to accept a notice or payment at a later time as being effective on the date it is given or made.
Notice of Advances. The Borrower must deliver a request for an Advance to the Lender to obtain an Advance under the Loan Facility not less than ten (10) Business Days before the proposed Advance Date specifying the principal amount (which must be in a minimum amount of $100,000 and not exceed the amounts specified in Section 3.1). In the event the full amount available to be advanced on any Advance Date is not requested to be advanced by the Borrower, there shall be no further right of the Borrower to carry forward any such unrequested amount not so requested to be advanced.
Notice of Advances. In order to request an Advance, Borrower shall, in addition to any other requirements contained herein, give to Administrative Agent written or telecopy notice (or telephone notice promptly confirmed in writing or by telecopy) (an "Advance Notice"), (a) in the case of a LIBOR Advance, not later than 9:00 a.m., Arizona time, three Business Days before a proposed Advance and (b) in the case of a Variable Rate Advance, not later than 9:00 a.m., Arizona time, on the same Business Day of a proposed Advance. Each Advance Notice shall be irrevocable, shall in each case specify (i) whether the Advance then being requested is to be a LIBOR Advance or a Variable Rate Advance; (ii) the date of such Advance (which shall be a Business Day) and the amount thereof; (iii) if such Advance is to be a LIBOR Advance, the Interest Period with respect thereto; and (iv) if such Advance is to refinance all or any part of any outstanding Advance, the identity and amount of such Advance that Borrower requests to be refinanced; and shall be accompanied by a Disbursement Request. If no election as to the Type of Advance, or if no Interest Period with respect to any LIBOR Advance, is specified in any Advance Notice, then the requested Advance shall be a Variable Rate Advance. Subject to Section 3.7, if Borrower shall not have given notice in accordance with this Section of its election to refinance a LIBOR Advance prior to the end of the Interest Period in effect for such Advance, then Borrower (unless such Advance is repaid at the end of such Interest Period) shall be deemed to have given notice of an election to refinance such Advance with a Variable Rate Advance.
Notice of Advances. Upon receipt by the Agent from the Borrower of a written request for Advance in accordance with Section 5 hereof and Borrower's satisfaction of the requirements set forth in Section 5 hereof, Agent shall give a written notice (a "Notice of Borrowing") to each Lender, (which Notice of Borrowing shall be given to each Lender not less than two (2) business days prior to the date of the proposed Advance) in the form attached hereto as Exhibit B, setting forth: (i) the total amount of the Advance requested by Borrower; (ii) the aggregate amount of all Loans previously made by each respective Lender; (iii) the current Interest Rate as determined in accordance with Section 2.2 hereof; (iv) each such Lender's Pro Rata Percentage of the requested Advance and (v) the date on which such Advance is to be made.
Notice of Advances. In order to request an Advance, the Borrower shall give written notice (or telephonic notice promptly confirmed in writing or by facsimile transmission) to the Bank in the form of Exhibit "B" hereto (or in such other form as may from time to time be acceptable to the Bank) not later than 7:00 a.m., Los Angeles time, on the day which is two (2) Business Days prior to the date of the proposed Advance. Such notice shall be irrevocable and shall in each case refer to this Agreement and specify: (i) the date of such Advance (which shall be a Business Day); (ii) the amount of such Advance; and (iii) the Interest Period with respect thereto. If no Interest Period with respect to the Advance is specified in such notice, then the Borrower shall be deemed to have selected an Interest Period of one (1) month's duration.
Notice of Advances. (1) An Obligor shall give the Lender irrevocable notice, in the form attached as SCHEDULE B, of any request for any Advance for its account.
(2) Notice for an Advance shall be given not later than the third Banking Day before the Advance Date or at such earlier time as Lender may reasonably require so that it has sufficient time to review the proposed form of L/C.
(3) Notices shall be given not later than 10:00 a.m. on the date for notice. Payments must be made before 11:00 a.m. on the date for payment. If a notice or payment is not given or made by those times, it shall be deemed to have been given or made on the next Banking Day, unless the Lender agrees, in its sole discretion, to accept a notice or payment at a later time as being effective on the date it is given or made.
Notice of Advances. The Borrower shall give the Lender irrevocable written notice of any request for any Advance under the Credits. The written notice with respect to any request for any Advance under Credit D shall contain all reasonable details of the purpose of such advance. Notice shall be given at least two Business Days prior to the date of any Advance of Cdn. $5,000,000 or over except that Notice shall be given in respect of an Advance by way of L/C at such earlier time as the Lender may reasonably require so that it has sufficient time to review the proposed form of L/C. Notices shall be given not later than 11:00 a.m. (Toronto time) on the date for notice. If a notice is not given or made by that time, it shall be deemed to have been given or made on the next Business Day.
Notice of Advances. In order to request an Advance (including ------------------ but not limited to any Advance to be disbursed on the Closing Date), the Borrower shall give written notice (or telephonic notice promptly confirmed in writing or by facsimile transmission) to the Lender in the form of Exhibit B not later than 8:00 a.m., San Francisco time, on the day of the proposed Advance. Such notice shall be irrevocable and shall in each case refer to this Agreement and specify the date of such Advance (which shall be a Business Day) and the amount thereof.
Notice of Advances. The Borrower shall give written notice to the Lender at least three (3) Business Days prior the date of any requested Advance under the Facility (each such notice, a “Borrowing Notice”).
