OBLIGATIONS ON TERMINATION AND SURVIVAL. 11.1 Obligations on termination or expiry On termination or expiry of the Agreement for any reason the Client shall immediately pay to Beyondly all of Beyondly’s outstanding unpaid invoices and interest and, in respect of the Services supplied but for which no invoice has been submitted, Beyondly may submit an invoice, which shall be payable immediately on receipt. If termination takes place before a stage or milestone has been completed, the Client shall pay part of the Charges for that stage or milestone, proportionate to the part of the stage or milestone which was completed.

OBLIGATIONS ON TERMINATION AND SURVIVAL. 16.1 Upon expiry or earlier termination of this contract, XXX agrees to pay the Provider for the Services which have been completed by the Provider in accordance with this contract prior to expiry or earlier termination of this contract.
16.2 Immediately following expiry or earlier termination of this contract and/or in accordance with any timescales as set out in the agreed exit plan:
16.2.1 the Provider shall comply with its obligations under any agreed exit plan;
16.2.2 all data, excluding Personal Data, documents and records (whether stored electronically or otherwise) relating in whole or in part to the Services and all other items provided on loan or otherwise to the Provider by XXX shall be delivered by the Provider to HEE provided that the Provider shall be entitled to keep copies to the extent that: (a) the content does not relate solely to the Services; (b) the Provider is required by Law and/or Guidance to keep copies; or (c) the Provider was in possession of such data, documents and records prior to the Commencement Date; and
16.2.3 any Personal Data Processed by the Provider on behalf of HEE shall be returned to HEE or destroyed in accordance with the relevant provisions of the Data Protection Protocol.
16.3 In the event that upon termination of this contract, there remain any Learners who are still on a Programme of education / training pursuant to this contract, subject to the provisions of clause 16.4, the terms of this contract shall remain in full force and effect in relation to such Learners until their Programmes of education / training have completed, or, if this is not feasible, the Provider will, with the agreement of HEE in writing, organise alternative provision of a comparable standard and quality.
16.4 During the Residual Contract Period the Provider shall complete the delivery of all Programmes of education / training for Learners who have not, upon the expiry or termination of this contract, completed the same unless agreed to the contrary with XXX.
16.5 The Provider shall retain all data relating to the provision of the Services that are not transferred or destroyed pursuant to clause 16.2.3 for a maximum of 6 years from termination or expiry of this contract.
16.6 The Provider shall cooperate fully with HEE or, as the case may be, any replacement supplier during any re-procurement and handover period prior to and following the expiry or earlier termination of this contract. This cooperation shall extend to providing access to...

(a) the Instructing Party shall immediately pay to the Expert all of the Expert's outstanding unpaid invoices and interest and, in respect of the Services supplied but for which no invoice has been submitted, the Expert may submit an invoice, which shall be payable immediately on receipt.
(b) the Expert shall on request return any of the Instructing Party's materials not used up in the provision of the Services.
OBLIGATIONS ON TERMINATION AND SURVIVAL. 19.1 Obligations on Termination or Expiry On termination, cancellation or expiry of this Agreement:
(a) the Client shall immediately pay to the Agency all of the Agency’s outstanding unpaid invoices and interest and, in respect of the Services supplied but for which no invoice has been submitted, the Agency may submit an invoice, which shall be payable immediately on receipt;
(b) the Client shall return all of the Agency’s Equipment. If the Client fails to do so, then the Agency may enter the Client’s premises and take possession of the Agency’s Equipment. Until the Agency’s Equipment has been returned or repossessed, the Client shall be solely responsible for its safe keeping; and
(c) the Agency shall on request return any of the Client Materials not used up in the provision of the Services; and
(d) the Agency shall, upon request, return any personal data for which the Client is the data controller.
OBLIGATIONS ON TERMINATION AND SURVIVAL. Any termination of this Agreement shall not impair any other accrued rights or remedies of either Licensor or Licensee. Upon termination of this Agreement and following expiration of the Transition Period, if applicable, Licensee shall immediately cease and desist, and shall cause each of its Sublicensees to immediately cease and desist, from using any and all of the Trademarks, in accordance with the terms set forth herein. Nothing herein shall be construed to relieve Licensee of any obligations with respect to activities undertaken in connection with Licensee's operation and performance under this Agreement prior to the date of such expiration or termination including, but not limited to, Licensee's defense and indemnity obligations, and such obligations shall survive any such termination or expiration. Notwithstanding the above, to the extent applicable, the provisions of Articles III, IV, V, VII, XII, XIII, XIV and XXII shall survive any termination of this Agreement. VIII.

12.2 On termination or expiry of this agreement, the following clauses shall continue in force: clause 1 (Interpretation), clause 7 (Intellectual property rights), clause 9 (Confidentiality), clause 10 (Limitation of liability), clause 11 (Termination), clause 16 (Waiver), clause 17 (Severance), clause (Conflict), clause 24 (Dispute resolution procedure), clause 25 (Governing law and jurisdiction).
OBLIGATIONS ON TERMINATION AND SURVIVAL. 12.1 On termination or expiry of this agreement JML shall immediately return any DJTP information that it may have in its possession. If JML fails to do so, then DJTP may enter JML's premises and take possession of them. Until they have been delivered or returned, JML shall be solely responsible for the safe keeping of all DJTP information in its possession and will not use them for any purpose not connected with this agreement.
12.2 On termination or expiry of this agreement, the following clauses shall continue in force: clause 1, clauses 7-10 and clauses 12-24.
12.3 Termination or expiry of this agreement shall not affect any rights, remedies, obligations or liabilities of the parties that have accrued up to the date of termination or expiry, including the right to claim damages in respect of any breach of the agreement which existed at or before the date of termination or expiry.

(a) the Customer shall immediately pay to the Supplier all of the Supplier's outstanding unpaid invoices and interest and, in respect of the Services supplied but for which no invoice has been submitted, the Supplier may submit an invoice, which shall be payable immediately on receipt;
(b) the Customer shall, promptly, return all of the Supplier's Equipment. If the Customer fails to do so, then the Supplier may enter the Customer's premises and take possession of the Supplier's Equipment. Until they have been returned or repossessed, the Customer shall be solely responsible for their safe keeping; and
(c) the Supplier shall, promptly, return any of the Customer Materials not used up in the provision of the Services.
OBLIGATIONS ON TERMINATION AND SURVIVAL. 11.1. Obligations on termination or expiry On termination or expiry of this Agreement the Participant shall immediately return all of the Consortium's Equipment. If the Participant fails to do so, then the Consortium may enter the Participant's Premises and take possession of the Consortium's Equipment. Until they have been returned or repossessed, the Participant shall be solely responsible for their safe keeping.
