Operational Provisions. Contractor shall develop and maintain administrative and management staff and systems necessary and appropriate for Insert Type of Agreement Contract. Such systems include, without limitation, accounting controls, personnel standards, evaluation procedures, staff training and development as well as other policies that are necessary to operate the program including those specified in the SDWP Operations Manual as may be modified and amended from time to time. These administrative and management systems, policies and/or controls must, in SDWP’s sole discretion, meet SDWP standards. Contractor shall immediately advise SDWP of any changes to the administrative and management systems, policies and/or controls as referenced in Attachment D- Contractor’s Original Proposal or that may affect the program services, operation and/or performance of the program. Contractor shall maintain or exceed all products and services currently provided through this Insert Type of Agreement Contract and at all times shall emphasize coordination and cooperation with SDWP.

Operational Provisions. 9.1.1. PG&E will form a Diversion and Curtailment Working Group to explore alternatives and/or clarifications to PG&E’s current rules relating to a system supply diversion or to a local transmission curtailment. These events are driven by supply shortages and/or by very cold weather, usually over several days. Although these events are infrequent, some Parties are concerned that the current rules and mechanisms for managing such crisis events may not properly reflect current policies, especially those related to the operation of gas-fired electric generation. The Working Group will explore this and other related diversion and curtailment issues raised by participants in the Working Group.
9.1.2. Other operational issues may arise that need to be addressed during the term of the Settlement Agreement. The OFO Forum that was established under the OFO Settlement approved in D.00-00-000 is an available mechanism to discuss and resolve most other operational issues.
9.1.3. This Settlement Agreement does not preclude the ability of the Diversion and Curtailment Working Group, the OFO Forum participants, PG&E and/or any other party from bringing operational issues and solutions to the Commission for its review and approval during the term of this Settlement. Also, any Settlement Party or other party is free to respond as it deems appropriate should any operational issues and solutions be submitted to the Commission.
Operational Provisions. 1. Transmission of inspection reports Upon reasoned request, the relevant inspection services will forward a copy of the last inspection report of the manufacturing or control site, in case analytical operations are contracted out. The request may concern a ''full inspection report'' or a ''detailed report'' (see point 2). Each Party will deal with these inspection reports with the degree of confidentiality requested by the Party of origin. If the manufacturing operations of the medicinal product in question have not been inspected recently, i.e. when the last inspection dates back to more than two years or a particular need to inspect has been identified, a specific and detailed inspection may be requested. Parties will ensure that inspection reports are forwarded in no more than 30 calendar days, this period being extended to 60 calendar days should a new inspection be carried out.
Operational Provisions. While this Agreement is in effect, the following actions may be taken with respect to the Company only with the consent of each Shareholder:
(a) any fundamental change in the nature of the business conducted by it; 105
(b) a reorganization of its capital, a reclassification of its interests or the consolidation or merger of it with another entity;
(c) any sale of all or a substantial portion of its assets;
(d) any transaction with an affiliate (as defined in the rules under the Securities Act of 1933) of either Shareholder on terms less favorable to it than the terms available from an unrelated third party;
(e) entering into any contract or agreement, other than the Time Brokerage Agreement, Lease Agreement, and Construction Agreement (as defined in the Purchase Agreement), that involves over the term of the contract or agreement an aggregate expenditure by it of $25,000 or more;
(f) any individual capital expenditure in excess of $25,000 or any series of related capital expenditures in excess of $50,000;
(g) incurring any indebtedness for money borrowed in excess of $25,000 or any increase, modification or extension of any indebtedness for borrowed money in excess of $25,000;
(h) settling any litigation that requires solely a cash payment by the Company in excess of $25,000 or settling any litigation that requires a remedy other than solely a cash payment if that remedy could have a material adverse effect on the Company or the Station;
(i) guaranteeing any obligation of any person in excess of $10,000;
(j) doing any act in contravention of this Agreement, the Delaware Corporation Law or the Certificate of Incorporation or By-laws of the Company;
(k) doing any act that would make it impossible to carry on its business except upon its dissolution and liquidation;
(l) confessing a judgement against it if the result thereof could have a material adverse effect on it, the Station or any Shareholder;
(m) using any assets of the Station other than for its benefit; or
(n) adopting an annual budget for the Station, provided that the second annual budget shall equal the first annual budget plus CPI. 106

Such systems include, without limitation, accounting controls, personnel standards, evaluation procedures, staff training and development as well as other policies that are necessary to operate the program including those specified in the SDWP Operations Manual as may be modified and amended from time to time. These administrative and management systems, policies and/or controls must, in SDWP’s sole discretion, meet SDWP standards. Contractor shall immediately advise SDWP of any changes to the administrative and management systems, policies and/or controls as referenced in Attachment F- Contractor’s Original Proposal or that may affect the program services, operation and/or performance of the program. Contractor shall maintain or exceed all products and services currently provided through this Out-of-School WIOA Youth Program for Youth Services Contract in San Diego County and at all times shall emphasize coordination and cooperation with SDWP.
Operational Provisions a. Ingleside will loan AP the use of 2 UTVs and one electronic speed limit trailer.
b. The UTVs may be used only for patrolling and crowd control during and at the Shrimporee, a public event held annually in and sponsored by AP, and which will be held this year from June 8th through June 10th.
c. The UTVs may be driven only by full time commissioned peace officers with the AP Police Department.
d. The UTVs will be picked up by AP at the Ingleside Police Department on June 9th, the day before the event commences, and will be returned to the Ingleside Police Department on June 11th, the first business day after the event ends.
e. The UTVs must be cleaned and serviced after the Shrimporee ends and before they are returned to the Ingleside Police Department.
f. The UTVs must be returned in the same condition as they were in when they were picked up.
g. The UTVs shall, throughout the term of this loan, be under the sole possession, direction, care, control, and supervision of the AP Police Department.
h. The speed limit trailer will be deployed by the AP Police Department along the roadway of South Commercial, near the event grounds.
i. The speed limit trailer, throughout the term of this loan, be under the sole possession, direction, care, control, and supervision of the AP Police Department.
j. The speed limit trailer shall be returned in the same condition as it was received.
k. The speed limit trailer shall be picked up and returned at the same time as the UTVs.
