1. Auditing and Financial Changes The Contractor must:
a. Ensure that an independent financial audit of the Contractor
1) Provide EOHHS with the Contractor’s most recent audited financial statements; and
2) Provide an independent auditor’s report on the processing of the transactions using the American Institute of Certified Public Accountants (AICPA) Statement on Auditing Standards SAS 70 protocol and Chapter 647 of the Acts of 1989 (also known as the Internal Control Law);
b. Submit on an annual basis after each annual audit a representation letter signed by the Contractor’s chief financial officer and its independent auditor certifying that its organization is in sound financial condition and that all issues have been fully disclosed;
Other Financial Requirements. The funds provided under the terms of this Award Agreement shall be used to pay for the expenses incurred by your organization in performance of the project in accordance with the terms and conditions of this Award Agreement and its Attachments.

The Welsh Government Transport Company was established under Section 71 of the Government of Xxxxx Xxx 0000. Its objects are set out in the Articles of Association, and to support the Guarantor Member (the Welsh Ministers) to discharge their functions, including those under section 60 of the Government of Xxxxx Xxx 0000 and section 1 of the Welsh Development Agency Xxx 0000, in particular: act in a professional advisory and consultancy capacity in connection with transport projects in Wales by providing support and expertise to the Welsh Government; provide compliance with the Welsh Government’s requirements for projects in respect of the statutory and administrative stages of preparation, engineering standards, construction, propriety and financial and contractual control by providing support and expertise to the Welsh Government; provide project management services in connection with transport projects in Wales by providing support and expertise to the Welsh Government; and to undertake any action whatsoever which in the opinion of the Guarantor Member is necessary or desirable for the furtherance of the Objects including without limitation providing any assistance required by the Guarantor Member in relation thereto.
2. Delivery of the above must be set within the context of the Welsh Government’s strategic aims, and set within the company’s business plan in response to the annual remit letter. Any changes to the Management Agreement will be made via the Management Team and agreed by the Board.
Other Financial Requirements. Within thirty (30) days of the effective date of this contract, Concessionaire will establish a Maintenance Account with a financial institution licensed to do business in California and acceptable to State. Within fifteen (15) days of the end of each month following the first month of the effective date of this contract, Concessionaire shall deposit in the Maintenance Account an amount equal to one quarter of one percent (0.25%) of the monthly gross receipts from the previous month. The account shall be interest bearing with all interest accruing to the account. The account will generate monthly account statements directly to the State and will be structured so that any withdrawal from said account will require the co-signature of State’s authorized representative. Within thirty (30) days of the start of the first contract year and annually thereafter, Concessionaire will submit an Annual Maintenance Plan for the repair or refurbishment of the Premises. If the State disapproves any element of the Plan, Concessionaire shall promptly submit to State all necessary modifications and revisions. Upon approval by State, Concessionaire will implement the Annual Maintenance Plan using funds from the Maintenance Account. Any unspent balance from one contract year may be carried over to the next contract year if pre-approved by the District Superintendent or designee.

Other Financial Requirements. Facility Improvements: Concessionaire shall plan, permit, design, construct, and complete all concession facility improvements as described in Concessionaire’s Facility Improvement Plan, attached hereto as Exhibit I, without cost to State and in compliance with Contract Section 24, Construction and Completion of Improvements, with a minimum expenditure of one million five hundred thousand dollars ($1,500,000). Any penalties, lien charges, and/or costs to resolve construction related disputes shall not be included in the minimum expenditure amount. After completion of all concession facility improvements and acceptance by State, if there remains an unspent balance of the one million five hundred thousand dollars ($1,500,000), Concessionaire shall pay this unspent balance to State as an additional rental payment within thirty (30) days from State’s acceptance of the concession facility improvements.
